WEG ANNOUNCES ACQUISITION OF GERMAN ELECTRIC MOTORS AND
GEARBOX MANUFACTURER
WEG S.A. (“WEG”), in accordance to CVM Instruction number 358/02, announces to
shareholders and the general market that has agreed to acquire the electric motors
and
gearbox
manufacturer
Württembergische
Elektromotoren
GmbH
(“Württembergische”). The acquisition is subject to customary conditions and
approvals by regulatory agencies.
Württembergische is a family owned business founded in 1939, and with
manufacturing plants located in Balingen, south central Germany, 75 km from Stuttgart,
one of the most industrialized regions of the country. The company offers of gearboxes,
three phase, single-phase and direct current electric motors up to 1,000 watts and
fractional servomotors.
The manufacturing plant occupies 5,000 square meters area, employing around 80
people. Net revenues in 2013 were of approximately € 7 million.
The acquisition of Württembergische Elektromotoren GmbH will not trigger withdraw
rights for this acquisition does not fit into any of the situations foreseen in Article 256 of
Law 6404/76, amended by Law No. 10.303/01. The amount paid in the acquisition
does not represent a relevant investment for the purchaser or does the average price
of each share fits any of the hypothesis described in section II of the previously
mentioned article.
