Consultancy Office to collect the invitation letter in hard copy and a CD consisting of the
(T.O.R) Document for the agreement mentioned above and Minutes of Pre-Tender
Meeting and Addendum No. (1) for the above agreement from the Ministry of Public

The Ministry of Foreign Affairs hereby announces the above bidding in accordance with
the conditions and specifications stated in the legal and technical specification documents.

Document Value
The documents shall be obtainable from Ministry of Foreign Affairs Headquarters
(Purchases Committee – Administrative & Financial Dept.) during office hours
against a non-refundable fee of KD 75/-.
Closing Date
After 10 days from the date of publishing this notice in the Official Gazette. Any
changes or amendment in submitted offer value will not be considered after
submitting the offer.
Query Session
After 5 days from the date of publishing this notice in the Official Gazette
including the weekend holidays.
2. The initial guarantee shall be KD 2000/-, which is the announced amount in the
official gazette, to be submitted in the form of a letter of guarantee or certified
cheque issued by a local accredited bank in Kuwait in the same amount in favour
of the Ministry of Foreign Affairs. This guarantee shall remain valid for the entire
offer period (90 days) as per the provision of Article 5 of the Bidding Documents.
This guarantee will be refunded to every unsuccessful bidders when the successful
bidder provides the final guarantee and signs the contract. No interest shall be
payable for this guarantee and the bidder creditors shall have no right to retain this
amount or impose execution attachment thereon.
3. The final guarantee shall be 10% of total contract value to be submitted in the form
of a letter of guarantee or certified cheque issued by a local accredited bank in
favour of the Ministry of Foreign Affairs pursuant to Article 5 of the bidding
documents. This guarantee shall remain valid until the execution of the works
provided for under this bidding throughout the contracting period in addition to 60
days which is the warranty period, from which there shall be deducted any
penalties, administrative expenses or indemnities or the like which may be due for
the Ministry of Foreign Affairs, this is in the event of delay or breach of the
implementation of any of the contractual obligations to be agreed upon. No
interest shall be payable for this guarantee and the bidder creditors shall have no
right to retain this amount.

4. The term of this contract is 12 months effective from the contract signing date and
the bidder shall commence his work satisfactorily according to the conditions
stated therein under the supervision of the competent authority in the ministry
(General Services Control).
5. The penalties payable by the bidder to the ministry against the violations
committed by it shall be pursuant to Article 15 of the bidding documents showing
the value of these penalties against every violation.
6. The offer shall be valid for 90 days as from the date of opening the envelope.
7. The successful bidder shall pay 10% of the contract value, after signing the
contract, as a final guarantee as mentioned in Article (3) of the bidding conditions.
8. This bidding is indivisible and alternative offers are not acceptable.
9. The bidder shall purchase his requirements from the materials, tools, devices or
goods from the national products or such products of national origin according to
the Minister of Commerce & Industry Resolution No. 6 of 1987 amended by his
Resolution No. 23 of 1987 and Resolution No. 282 of 2000 whose provision shall
be an integral part of this contract, any violation to this obligation shall be subject
to the application of a penalty of not less than 20% of the purchased items value in
addition to the other penalties prescribed for the breach by the contractor of his
contractual obligations, together with the complying with the provision of the
Cabinet Resolution No. 412 taken its Meeting No. 23/99 dated 13 June 2000 on the
support of the National Products and Local Contractors.
10. The company shall abide by the National Manpower Percentage by virtue of a
certificate to be issued by the Ministry of Social Affairs & Labour valid during the
invitation and contracting period.
11. All bidding documents shall be considered as personal for those who submitted
bidders and have obtained the same and shall not be assigned to a third person
under any circumstances.
12. All the participating bidders in this bidding shall attend the enquiry session to be
held at the Ministry of Foreign Affairs after five days from the date of announcing
this bidding at 9.00 a.m. in order to discuss certain matters related to the execution
of the works under this bidding. The bidder should observe that all queries shall
be submitted to the General Services Department which they shall contact before
the meeting date so that it can examine these queries. The bidder shall be deemed
as informed of all the contents of the Minutes of Meeting as well as all the
documents of this bidding, whether he attend the meeting or not.
13. The authorized person shall attend and purchase the bidding documents by virtue
of an authorization letter by the company or establishment as well as providing a
copy of his civil identity card.

The project involves the development, design, engineering, construction, ownership,
operation, maintenance and transfer of a power and desalination plant with a net capacity
of at least 1,800 MW of power (Combined Cycle Gas Turbine) and a net dependable
Water capacity of at least 102 MIGD of desalinated water on an IWPP basis at the AzZour North Site on the Arabian Gulf coast approximately 100 kilometers south of Kuwait
City and to export the power and water output from the plant to Kuwait’s electricity grid
and water transmission network. The project also involves the extension of the existing
electrical substation as required for the interconnection of the Project with the electrical
grid facilities and the transfer of these facilities to the Ministry of Electricity and Water
once commissioned and tested (collectively the “Project”).
The Project will benefit from an Energy Conversion and Water Purchase Agreement
(ECWPA) with the State of Kuwait, represented by the Ministry of Electricity and Water
(the “Buyer”) , for a term of 25 years commencing from the date of full Commercial
Operation of the Plant. During the term, fuel will be supplied by the Buyer in accordance
with the terms of the ECWPA. On the expiry of the term, the Project shall be transferred
to the Buyer. The ECWPA will contain commercial and legal conditions covering,
amongst other items.
The development, financing, design, procurement, engineering, construction, testing and
commissioning of the plant;
The ownership, operation and maintenance of the plant by the project Company (as
defined below);
The development, financing, design, engineering, procurement, supply, manufacture,
factory testing, transportation to site, construction, erection, installation, permitting,
completion, testing and commissioning of the extension of the existing KV electrical
substation to be structured as special facility whereby the works are carried out by the
Project Company (ad defined below) and then transferred to the Buyer upon completion;
The terms upon which the public joint stock company (the “Project Company”) will enter
into the shared facilities shareholders’ agreement and subscribe for shares in the Company
incorporated for purpose of owning, operating and maintaining the shared facilities; the
terms upon which the Project Company will sell and the Buyer will purchase electricity
and water, setting out the basis upon which the Project Company will receive payments;
The rights and obligations of the parties regarding the supply, delivery, storage and use of
fuel;

Deductions, liquidated damages and other compensation in accordance with the terms and
conditions of the ECWPA; and the transfer of assets at the end of the term, including
handback requirements.
Other significant agreements includes a Letter Agreement, a step-in and substitution
Agreement, Land Lease Agreement for the use of the Project site and Temporary Areas
and a Shareholder’ Agreement for the Establishment and Management for the Project
Company.
The request for proposals includes all technical criteria, financial criteria, legal criteria and
relevant deadlines relating to the procurement process.
Prior to receiving the Request for Proposals, a confidentiality agreement in the form
specified by KAPP must be signed and returned to KAPP together with a non-refundable
cashiers; cheque for the amount of KWD 5,000 (Five Thousand Kuwaiti Dinars) payable
to the Partnership Technical Bureau issued by any operating bank within the State of
Kuwait, including local and foreign banks in the State of Kuwait.

The bidder shall provide an initial guarantee in favor of PAHW in the form of a
letter of guarantee issued by a local accredited bank and valid throughout the
contract period in an amount of KD 50,000/- (Fifty Thousand Kuwaiti Dinars). The
bidder has no right claim for any interest against this guarantee and the bidder
creditor has not right reserve the same.
Offer shall be valid for 90 days as from the date of submitting the offer.
The contract period for this tender shall be 12 months including preparation period
of 10% of the above period which shall start as from the site receiving date of or
the work commencement order date, whichever is earlier.
The final guarantee (contract bond) shall be 10% of contract value in a form of a
bank guarantee in favor of PAHW issued by a local accredited bank and valid
throughout the contract works implementation period. The bidder has no right
claim for any interest against this guarantee and the bidder creditor has not right
reserve the same.
Advance payment shall be 10% of contract value to be payable to tenderer as per
the tender conditions.
Retention money shall be 10% of executed works value.
The minimum third party guarantee shall be KD 75,000/- per incident and an
unlimited number of incidents.

The PAHC shall have the right to accept or reject any offer without stating any
reasons and without any liability or obligation towards payment of any fees or
expenses against the rejected offer.
15. Every bidder shall attach along with his offer a valid certificate of compliance with
national manpower percentage issued by Ministry of Social Affairs and Labour,
otherwise his offer will not be considered pursuant to the cabinet resolutions in this
respect for fixing the National Manpower Percentage.
