the following resolution was offered:
RESOLUTION NO.
A resolution reassigning all current contracts with Shaw
Coastal, Inc., Shaw Environmental, Inc., and Shaw
Environmental & Infrastructure, Inc. to CB&I Coastal, Inc.,
CB&I Environmental & Infrastructure, Inc., and CB&I
Government Solutions, Inc., respectively. (Parishwide)
WHEREAS, Jefferson Parish received notice that the firms of Shaw Coastal,
Inc., Shaw Environmental, Inc., and Shaw Environmental & Infrastructure, Inc. were
acquired by CB&I, Inc.; and
WHEREAS, the firm f/k/a Shaw Coastal, Inc. is now d/b/a CB&I Coastal, Inc.;
and
WHEREAS, the firm f/k/a Shaw Environmental & Infrastructure, Inc. is now
d/b/a CB&I Government Solutions, Inc.; and
WHEREAS, the firm f/k/a Shaw Environmental, Inc. is now d/b/a CB&I
Environmental & Infrastructure, Inc.; and
WHEREAS, CB&I Coastal, Inc., CB&I Environmental & Infrastructure, Inc.,
and CB&I Government Solutions, Inc. are subsidiaries of CB&I, Inc.; and
WHEREAS, CB&I, Inc. will honor all the conditions of all current original
agreements; and
WHEREAS, Jefferson Parish shall reassign all current contracts with Shaw
Coastal, Inc., Shaw Environmental, Inc., and Shaw Environmental & Infrastructure,
Inc. to CB&I Coastal, Inc., CB&I Environmental & Infrastructure, Inc., and CB&I
Government Solutions, Inc., respectively.
NOW THEREFORE, BE IT RESOLVED by the Jefferson Parish Council, the
governing authority of said Parish:
SECTION 1. That the Jefferson Parish Council does hereby assign all
existing agreements between the Parish of Jefferson and the firm f/k/a Shaw
Coastal, Inc. to CB&I Coastal, Inc.
SECTION 2. That the Jefferson Parish Council does hereby assign all
existing agreements between the Parish of Jefferson and the firm f/k/a Shaw
Environmental & Infrastructure, Inc. to CB&I Government Solutions, Inc.;
SECTION 3. That the Jefferson Parish Council does hereby assign all
existing agreements between the Parish of Jefferson and the firm f/k/a Shaw
Environmental, Inc. to CB&I Environmental & Infrastructure, Inc.,
SECTION 4. That all other terms, provisions, and conditions of the
agreements shall remain in full force and effect.
SECTION 5. That the Chairman of the Jefferson Parish Council, or in his
absence the Vice-Chairman, be and they are, hereby authorized to execute any
and all documents necessary to give full force and effect to this resolution.
The foregoing resolution having been submitted to a vote, the vote thereon
