Business fundamentals

1. What is business? a.

Noah Webster defined the word “business” in his famous dictionary as derived from the adjective “busy” by adding the terminal “ness”. b.

Consequently, “business” is a derived name that corresponds to the state or quality of being busy (engaged in a working activity such as the trade of goods, services, or both to consumers). c. A business in capitalist economy is also known as enterprise or firm that can be: i. For profit ii. Not-for-profit iii. State-owned. d. A company is a for-profit business i. Owned by several persons or other companies. ii. Each person or company provides capital contribution. iii. Capital contribution can be any form of asset (money, premises or any form of tangible assets) iv. The main goal of the owners is to make as much profit as possible. e. A company is legally considered a "legal person" by itself.

2. Business classification a. SIC (Standard Industrial Classification)(annex 1 - B): Established in 1937 classifies industrial organizations by a four-digit code b. NAICS (North American Industry Classification System: (Canada, Mexico and the USA: Annex (1 – A) and Annex (1 – C)) was released in 1997, classifies business establishments according to the type of economic activity.

3. Business ownership categories: Although forms of business ownership vary by jurisdiction, there are several common forms listed below: a. Sole proprietorship: i. For-profit Business owned by one person. ii. The owner may operate the business alone or may employ others. iii. The owner of the business is liable for all the debts incurred by the business b. Partnership: i. Two or more people engage in creating and running a for-profit business. ii. In most forms of partnerships, each partner has unlimited liability for the debts incurred by the business. iii. The three typical classifications of for-profit partnerships are

General partnership: partners conducting a business jointly have unlimited liability, so their personal assets are liable to the partnership's incurred debts and obligations.

2. Limited partnership: Partnership business that has general partners and limited partners. Each limited partner makes an investment of funds into the partnership and is supposed to receive a pre-stated share of the profit.

3. Limited liability partnership: Limited partnership that allows limited partners to enjoy limited personal liability while general partners have unlimited personal liability c. Corporation: i. A corporation is a limited liability business that has a separate legal personality from its members. ii. Corporations can be either government-owned or privately owned iii. Corporations can be either for-profit or not-for-profit. iv. Shareholders own for-profit corporation v. Shareholders elect a board of directors to direct the corporation and hire its managerial staff. vi. A privately owned, for-profit corporation can be:

1. Privately held like Publix, Rolex and IKEA.

2. Publicly held companies (shareholders control the company) d. Cooperative: "CO-OP" i. A cooperative is a limited liability business that can organize forprofit or not-for-profit. ii. Cooperatives are fundamental to the ideology of economic democracy. iii. A cooperative differs from a for-profit corporation in that it has members who share decision-making authority, as opposed to shareholders. iv. Cooperatives are typically classified as:

1. Consumer cooperatives: (Example: Homegrown local food coop) a. Run by producer and consumer members who use its services b. Members usually own the coop.

2. Worker cooperatives: a. Run by its workers elected as board members b. Workers usually own shares in the coop.

4. Family business a. A family business can have be operating as sole proprietorship or partnership or corporation b. Members of a family or more families own and run the business like

Murdoch Media Empire. c. It is estimated that more than 30% of $ 1 billion businesses are classified as family businesses.

d. The major problem of family business is the conciliation between family matters and business matters.

5. Business creation priorities : To start a healthy and legal business, business owners will have to configure a business plan and organizational work that fulfill the following priorities : a. Business mission: short written statement that is able to define: i. Why the business was created in the first place: (Business purpose) ii. Business activity iii. Market and customers, pricing and potential trend. iv. Range of offered products and services v. Business relationship with employees, customers, suppliers and competitors and its strengths vi. Operational and ethical policies b. Legal category of the business: Is usually a function of the target market and the mission of the business among other factors.

c. Name of the business is very important and must have certain important technical characteristics: i. Related to business activity.

ii. Popular, attractive and easy to remember.

iii.

Doesn’t copy trademarked names.

d. Location and exposure: i. Everyone in the business world have heard the following slogan:

“the three most important decisions to make when you plan to start a business are: Location, location and location” ii. Even online businesses need a lot of research in order to make a decision about its location (cybermall, specialized websites o own website) e. Important factors to consider include: i. Exposure ii. Community: Demographical, social and financial level and business friendly behavior iii. Schools, colleges, hospitals and clinics iv. Competitors in the area v. Labor markets: availability of employees and labor cost.

vi. Suppliers vii. Accessibility and parking f. Mall location characteristics include some pros and cons i. Mall location pros:

1. High exposure and effective marketing

2. Benefit from other businesses

3. Parking availability

4. Attract good team members and high level clientele ii. Mall location cons:

1.

High cost

2. Business restrictions compromise flexibility.

3.

Highly trained personnel and management needed to compete and make timely decision.

4. Adequate Information system needed. g. Staffing: i. Hiring knowledgeable employees to perform the different functions: ii. Most critical criteria evolve around computer skills. h. Capital: How much is needed and how would it be collected? i. Break-even analysis: Necessary study used to determine the level of sale that will allow the business to cover its expenses and start making profit.

i. Identify business fixed and variable expenses: this cost must include all hidden and promotional expenses ii. Determine the competitive selling price iii. Breakeven point is reached when the selling amount covers all expenses ($sales = $fixed expenses + $ variable expenses) .

6. Business organization and organizational charts: Business owners and executives will soon realize the importance and necessity of o rganizational charts for their companies. Organizational charts are very helpful tools in many areas of managing business: a. To make it easy for executives and managers to accurately assess the organization as it is currently structured. b. To respond timely to changing market conditions and opportunities and have clear view about the market coverage by the present structure. c. To make it easy for employees to understand the strategy and structure of the company and their role in achieving organizational objectives. d. Using an organizational chart can help business decision makers and human resources (HR) professionals: i. Visualize their current structure ii. Create scenarios to plan for change.

iii. Communicate organizational information across the enterprise.

e. There are 3 models of organizational charts: i. The vertical or hierarchical model ii. The horizontal model iii. The matrix model

7. The vertical or hierarchical model Figure(1-1): a. This model is basically a hierarchical structure model in which all parts of the business are centralized under a single strategy and common goal decided by the board of directors and other upper-level management team. b. This model is vertical because i. Information flow from the top down ii. Decisions, plans and interest start from the top of the organization with executives and moves down through management levels to the workers and laborers. iii. Number of hierarchy levels is usually beyond five c. Weaknesses of this model are:

i. Its focus on hierarchy where the decision making process tends to become very slow and heavy. ii. Companies tend to become less organic and less flexible than other organizational models. iii. Centralized decision-making: Poor decision at the higher managerial level has deep and frustrating impact at the lower levels. iv. Lower levels feel that they lack authority and the ability to interfere on time when prompt interference is needed. d. Strengths of the vertical business model are: i. It is easier to manage: Clear management structure, such that the lines of responsibility and control are clear. ii. The function of each organizational layer is more distinct. iii. The promotion and progression path is easy to apply. iv. Each manager has, under his control, fewer employees, which allow him to more closely supervise his employees. v. Employees at any level report to one manager only, thus, eliminating any confusion about the job and the loyalty.

8. The horizontal model (Figure 1-2): It is also called the “tall” model because of the following reasons: a. Number of hierarchy levels is lower than four levels. b. Allow employees at all levels to effectively contribute in the decision making process c. It is also known as flat structure model. d. Strengths: i. Has better communication between different levels of management and their subordinates improved response to market changes. ii. Perfect fit for training, teaching and teamwork. iii. Decentralized decision-making process allows different levels and departments to be inventive and flexible. iv. Decision-making mistakes at higher level have less impact on the whole company. v. Because there are fewer layers of management in the chain of command and less bureaucracy, making decisions is easier and of higher quality. vi. The smaller number of layers results in lower costs to the organization in number of managers and a lower cap to their salaries. vii. Also noteworthy is that there is better team spirit resulting of the easiness of communication.

e. Weaknesses: i. This model is harder to implement than vertical model. ii. It is more difficult to manage and time-consuming. iii. Significant training of employees is required otherwise employees will get confused as to how to communicate with whom and where to take initiative. iv. This organizational structure typically is limited to smaller and private companies, such as partnerships and LLCs. v. Subordinates may have to answer to more than one superior, which may cause a conflict in their duties or an ambiguity in their work orders. vi. The function of each department could become confusing and merge into the job roles of others.

9. The Matrix Model Fig (1-3) a. The matrix structure model is a combination of both structures that was first used in the USA and has become more popular in the UK. This type of structure combines the traditional departments seen in the vertical or functional structures with project teams as layers in the horizontal structure. i. For example, a project or task team established to develop a new product might include engineers and design specialists as well as those with marketing, financial, personnel and production skills. ii. Project team managers are usually allowed to pick up employees from various functional areas to make their teams operational. iii. Employees assigned to projects shall not necessarily work full time for the project. They are usually used to supply knowledge in the field of their functional expertise while taking care of their original functional assignment. iv. These teams can be temporary or permanent depending on the tasks they are asked to complete. v. Each team member can end up with two line managers - their normal departmental manager as well as the manager of the project. b. The organizational chart of this model must be able to describe the communication scheme between the different members of the functional teams and the project teams. c. The multiple levels of hierarchy are combined with communication responsibilities. Therefore, it has: i. One vertical axis of power (functional authority). ii. One horizontal axis of power (project authority). d. Each employee answers to two immediate supervisors: i. A functional supervisor charged with overseeing employees in a functional area such as research or marketing or engineering.

ii. A project supervisor who manages a specific project. e. Strengths: i. It allows supervisors to focus on their areas of expertise:

1. Functional supervisors focus on hiring, training and managing employees in their field.

2. Project supervisors can focus on achieving the goals of their specific projects or products. ii. Placing employees in functional areas allows them to specialize in a particular field. Instead of being good at a variety of tasks, specialized employees can excel at tasks in their field of focus. iii. Through the project team, employees have the opportunity to develop a wider set of skills than they would in a purely functional structure. iv. Since employees have constant contact with members of different functional areas, the matrix structure allows for information and resources to travel more fluidly between those functional areas. v. The collaboration between functional areas allows a project team to better handle complex challenges and objectives. vi. It allows for human resources to be shared flexibly across different projects or products. vii. Functional areas maintain large crew of talented employees to meet project’s requirements. viii. Help to break down traditional department barriers, improving communication across the entire organization. ix. Allow individuals to use particular skills within a variety of contexts. x. Avoid the need for several departments to meet regularly, so reducing costs and improving coordination. xi. When a team member is chosen for a project, the needs of the project are taken into consideration along with the skills of the person. Therefore, the team chosen is dynamic and adaptable to handle the surging problems in the project. xii. There are specialists, who are also a part of the team, who bring in new perspectives and depth of knowledge to the team; therefore, the product quality is normally very good and a much better customer satisfaction is achieved. xiii. The responsibility of completing the project on time often rests on the project manager. f. Weaknesses i. Members of project teams report to two line managers. ii. This scenario can put project team members under a heavy pressure of work. iii. When isolated in a functional area, employees may have more difficulty benefiting from the skills and experiences of those in other areas.

iv. Given the complex nature of matrix model the line of responsibility and accountability for project teams may be confusing. v. Shifting employees from one team to another, may often lead to a conflict of loyalty. vi. A problem over sharing of resources may ensue between project managers and line managers. vii. In most cases, different project teams have a lot of independence, which can make it difficult for the project progress to be monitored. viii. The cost of the project may spiral with the creation of separate project teams.

10. Business cycle: It comprises the following steps: a. Planning: As requested by the SBA (Small Business Administration), writing the business plan is the first step before starting a business. b. Elements of a Business Plan: i. Cover sheet ii. Executive summary (statement of the business purpose (mission statement)) iii. Table of contents iv. Body of the document

1. Business a. Description of the business b. Marketing c. Competition d. Operating procedures e. Personnel f. Business insurance

2. Financial data a. Loan applications b. Capital, equipment and supply list c. Balance sheet d. Breakeven analysis e. Profit and loss statements f. Three-year summary g. Detail by month, first year h. Detail by quarters, second and third year i. Assumptions upon which projections were based j. Pro-forma cash flow v. Supporting documents

1. Tax returns of principals (partners in the business) for last three years, personal financial statements (all banks have these forms)

2. Copy of franchise contract and all supporting documents provided by the franchisor (for franchise businesses) a. Copy of proposed lease or purchase agreement for building space b. Copy of licenses and other legal documents

c. Copy of resumes of all principals d. Copies of letters of intent from suppliers, etc. c. Implementation: refers to the carrying out process of the business plan including the control and corrections policy. i. Most important topics of the implementation phase are:

1. Location

2. Staffing with personnel and human resources

3. Operating equipment : Lot of equipment is needed to carry out the business mission and can be classified as follow: a. Office equipment b. Training equipment c. Production and packaging d. Storage equipment e. Transportation equipment f. Power equipment g. Telecommunications equipment h. IT equipment i. Software packages

4. Products and/or services: a. Products b. services

5. Operating inventory: supply, production, prepare plans and services

6. Marketing and promotion: a. Target market b. Competition awareness c. Procedures: advertisement and promotional activities focused on promoting own products and services and their advantages as compared to competitors market. d. Control and correction i. Warning system ii. Market intelligence and counterintelligence iii. Market feedback system iv. Copies of (franchise Correction policy) e. Operational and managerial cycle (Figure 1- 6): This cycle comprises a detailed description of the business transactions that is based on the market demand (clients and customers) and the market offer (suppliers) which make the pressure on the business management to synchronize the supply orders to eliminate any shortage possibility. i. Inventory awareness. ii. Timing of supply orders. iii. Minimum and maximum quantity to order iv. Follow-up with the supply market for:

1. The best product quality

2. The best price

3. The fastest delivery

Etc… v. Secured and synchronized financial and bank transactions vi. Information system.

11. Computer impact a. Computer, armed with an arsenal of business application software, was successful in easily convincing business decision makers to invest in business computer systems.

b. This is how we witnessed, since the 50s, most folders and files started moving from closets, shelves and drawers to occupy places on tapes, disks and other digital storage media.

c. These digital files were easy to manipulate and very friendly to help retrieve and process information.

d. However, computer changed the way we do business after the marriage of computer technology and telecommunication technology that gave birth to the networking technology.

Impact of computer networking: Data transmission between computers had a shy start in the late 1960s, computer networking accelerated its pace since the introduction of small mobile computers and the Internet resulted in a global economy that was crowned by the e-commerce in the early 1990s with the addition of the web service to the Internet services. a. Websites replaced bricks and mortar stores to constitute online stores that attracted large clientele because of its convenience and e-commerce , as it is known today, was born in the early 1990s. b. Ecommerce phenomenon imposed itself as a must practice model for businesses around the world which resulted in: i. The market playing field was extended to reach all places in all countries around the world and form a global market. ii. The job market moved to globalism especially in the domain of services and technology follow-up which resulted in outsourcing a lot of jobs to countries where knowledge and cheap labor can be found abundantly like India, Turkey, South east Asia, etc… iii. The competition gap between large and small companies became less and less significant and the business playing field was leveled iv. Many successful clicks and mortar companies flooded the market increasing the pressure on the classical companies to adjust and change their management procedures. v. The traditional business channel became shorter by eliminating some brokerage and wholesale agents thru the (dis-intermediation) process. vi. The business survival formula became more and more based on two pillars:

1. Information system that is able to help take precise and timely decisions at every level of the company and help in collecting market feedback

2. Customer satisfaction based itself on: a. Competitive price b. Best quality c. Accurate delivery d. After sale service e. Customer training and product updating vii. The start-up capital of a business is now less important than it was before. viii. Successful business formula

1. Gets you a lot of investors looking for a share to share your success with you.

2. You can be here in the USA without a warehouse and sell products made by a Chinese factory and deliver to all addresses all around the world using the fast forwarding companies such as: UPS, DHL, FEDEX, etc…

13. Modern business: a. The huge success of online business made all modern bricks and mortar companies look for a second wing that became necessary to enable any business to fly, survive and prosper.

b. The traditional bricks and mortar wing insures the company’s traditional physical presence and helps support its online wing.

c. The new clicks and mortar or online wing enables the company to take its share of the global e-commerce market with unlimited dimensions.

d. Global competition in a virtually unlimited market highlighted the importance of information system. e. Most modern businesses created IT (Information Technology) department that is assigned the job of designing, implementing and operating efficient and effective information system cycle. f. Information is a collection of intangible assets that control every aspect of the business.

14. Importance of business information cycle: Figure (1- 1) below

Information cycle comprises the following systems and their assignments related to information manipulation: i. Data collection and recording assigned to the transaction processing system (TPS). ii. Use of data for the production, analysis and management of information assigned to the Management information system (MIS) iii. Supply of timely information, decision tools and models to decision makers at every level of the company assigned to the decision support system (DSS).

Figure (1-1): Business information system cycle b. TPS (Transaction Processing System) comprises six steps: igure i. Deal with collecting raw data by recording all transactions that happen in the company. ii. TPS is known as the lifeline of the business because its transactions are designed to record all the details of business activity. We can consider two categories of transactions:

1. Internal transactions: For example when Human resources department orders new computers or computer supplies from the purchasing department.

2. External transactions: For example when a client place an order to purchase a container (2000 gallons of olive oil) to be delivered by the end of January. iii. Data editing looking for erroneous or misleading data elements. iv. Correcting data that is found erroneous by fitting it back in the processing system. v. Making sure the final version of data comprises reliable ingredients that produce reliable information when processed and remember computer people jargo n: “GIGO” (Garbage In Garbage Out). vi. Feed MIS with stored easily retrievable data that is:

1. Timely: because outdated data has no value and it usually backfire.

2. Meaningful, clear and closely related to the business operational activity.

3. Easily retrievable and fit into processing applications.

i. A collection of applications designed by MIS expert to work with data supplied by the TPS. ii. Produces information and makes the necessary adjustments and analysis iii. Produces reports that cover all activities of the company: Financial,

Supply chain, marketing, human resources, etc… d. DSS (Decision Support System): i. Gets reports and information supplied by the Management information system and use them to produce enlightened decisions at all levels of the company’s decision making. ii. Designed decision making applications must consider that people are making decision not machines or applications! Hence applications should be designed and configured for people. iii. Special consideration should be taken so that:

1.

Decision at one level or activity doesn’t negatively affect another activity or another level.

2. Clearly draw initiative lines that res pect the company’s assigned responsibilities.

3. Use all available intelligence information and refine our information if needed and focus on effectiveness.

15. Business classification: a. Two American systems are most used worldwide to classify businesses according to their economic activities(see annexes 1- A, 1 - B and 1 - C): b. North American Industry Classification System (NAICS) i. Uses 6-digit code ii. The 1 st 2 digits for the large industrial activity iii. The 3 rd designate a sub-activity sector iv. The 4 th designates specific group v. The 5 th designates the NAICS group code vi. The 6 th digit designates national industry group. c. The Standard Industrial Classification ( SIC ) (See annex 1 - B): is a coding system to classify businesses by their business activity using 4digit code: i. First 2 digits indicate the major industry group ii. Last 2 digits indicate specific activity

Explanation of the O&M cycle

1A simple analysis of picture 1-6 above shows that it represents the following operational steps: a.

The cycle starts with a study of the market needs b.

Check the existing inventory. c.

Launch supply orders d.

Pay suppliers e.

Get supply delivery f.

Update and manage inventory g.

Process orders from customers and stores h.

Process customer payments i.

Establish and fulfill customer delivery schedule

2There are two levels of operational synchronization very critical to the conduct a healthy management of the business. a.

Bank level where deposits from sale must balance and exceed the payment to suppliers b.

Warehouse level where businesses balance the product sale and product supply. c.

Three critical factors must be considered strictly: i.

Order launching time ii.

The delivery delay which is the time needed to get supply delivery since we launch the supply orders iii.

Critical quantity to order which is the minimum quantity needed to prevent any shortage from happening.
