SALES POLICIES
For purposes of these policies, Culinary Products shall mean cookware, cutlery, countertop
appliances and other products identified and classified by Viking Range Corp. and shall not include
ranges, ovens, refrigerators, outdoor grills and other major appliances.
UMRP POLICY
Viking Range Corporation has put into effect a UMRP or “Unilateral Minimum Resale
Price” policy for its Culinary Products division. Under this UMRP policy, Viking Range
Corporation will periodically announce unilateral minimum resale prices for merchandise its
Culinary Products division supplies to retail customers. Viking Range Corporation will use
independently established investigative and disciplinary measures to enforce this policy,
including, but not limited to, cessation of shipment to its retail customers. Viking Range
Corporation will communicate the actual minimum sale prices to its reps and retail
customers from time to time as shown in the UMRP policy bulletin (see “Sales
Presentation”).
INTERNET SALES
Under this policy no retailer may exhibit Culinary Products via the Internet without the
expressed written approval of Viking Range Corporation. Viking Range reserves the right
to enforce this policy by disciplinary measures including, but not limited to, cessation of
shipment to its retail customers.
RE-SALE OF CULINARY PRODUCTS
Under this policy it is stated that the sale of its Culinary Products is to individuals or entities
that will offer these products to retail sale to the public at large. It is expressly forbidden
that those individual or entities should in turn re-sell Viking Culinary Products to another
individual or entity for retail sale to the public at large. Viking Range reserves the right to
enforce this policy by disciplinary measures including, but not limited to, cessation of
shipment to its retail customers.
CHANGES OR CANCELLATIONS
Changes or cancellations of purchase orders must be received at least four (4) business days
prior to scheduled ship date. Changes or cancellations within three (3) business days of
scheduled ship date are subject to a 20% cancellation charges. All changes or cancellations
must be made by fax or e-mail and are recommended to be accompanied by a phone call.

The prices announced this 1st day of March, 2006 to be effective the 1st day of April, 2006 pursuant
to the “unilateral minimum resale price” policy are as stated as the UMRP in the then current
Culinary Products UMRP Schedule.
The unilateral minimum resale price reflects the prices at which Viking Range Corporation believes
its products can be most successfully merchandised and high quality customer service and
satisfaction be maintained.
Questions or concerns regarding the UMRP policy may be submitted in writing to the UMRP Policy
Administrator.

Why institute UMRP policy?
We sell sophisticated, high-end products, which require a knowledgeable
floor sales force, informative POP material and good display arrangements
to allow the consumer to fully evaluate the products’ unique features and
benefits. We therefore want to maximize our retailers’ margins in order to
encourage them to incur the additional expenses needed for that type of
upscale presentation.

What’s the meaning of “unilateral” and why is that important?
Unilateral means one-sided, independent or alone. The point is that there
is no agreement or joint decision between any retailer and Viking Range
Corporation’s Culinary Products to re-sell or advertise at the UMRP price.
Each retailer remains free to set their own pricing. However, Viking
Range Corporation will stop providing product to those retailers who
“unilaterally” determine not to comply with this policy and it cannot be
further discussed by representatives of Viking Range Corporation and the
retailers.

How will retailers know the current UMRP’s and products covered under
the policy?
The UMRP suggested pricing, by specific product line and model number,
will be sent to retailers by Viking Range Corporation on a periodic basis.

What would be Viking Range Corporation’s response to a retailer inquiry
about the policy or to a retailer complaint about another retailer’s
compliance or non-compliance?
Viking Range Corporation can only provide you with copies of the
policy/bulletin and these questions and answers. You may submit
questions or concerns in writing to Viking Range Corporation, attention
UMRP Policy Administrator.

May a retailer advertise “We will meet any price?”
The retailer may advertise in any way it wishes. Viking Range
Corporation will unilaterally determine if the advertisement states or
implies a price below UMRP.

What if a retailer offers its entire stock on sales at a discount (which would
amount to less than UMRP)?
This will be deemed a violation unless UMRP products are expressly
excluded from the discount in the advertisement.

What if a retailer invoices a single price for a UMRP product packaged
with other products which are not covered by the UMRP policy?
This will be deemed a violation of the UMRP policy.

What if a retailer offers “free” gifts with purchase of UMRP product at the
UMRP price?
Regardless of whether a dollar value is indicated in the ads, or on the
invoice, for the “free” gifts, this will be deemed a violation of the UMRP
policy. However, Viking Range Corporation’s Culinary Products or
factory-sponsored rebates, premiums or other offers will be exempt for the
time period of the offer.

What if the price is less than $10.00 below the announced UMRP?
For purposes of established “signature” pricing practices, Viking Range
Corporation will unilaterally determine if the invoice states or implies a
price below UMRP.

What action will Viking Range Corporation take if they become aware of
any UMRP violation?
Viking Range Corporation will cease shipment and cancel all backorders
for the UMRP product category involved. It will also not release any
future orders for such UMRP products and their replacements to that
retailer. This will be followed by a written confirmation from Viking
Range Corporation to the headquarters of the retailer.

What if one outlet of a multi-store retailer violates the policy?
The UMRP product category involved will be denied to all the stores of
that retailer.

May a retailer appeal Viking Range Corporation’s decision to cease
shipment?
No. It is not negotiable. That would defeat the unilateral aspect of the
policy. No employee or agent of Viking Range Corporation is authorized
to discuss such matters with any retailer.

After a retailer has violated the UMRP Policy and has ceased receiving
such product from Viking Range Corporation, can he ever regain selling
status?
Viking Range Corporation may unilaterally decide to review the retailer’s
status after six months. If Viking Range Corporation decides to reinstate
the retailer, the retailer will be notified in writing.
What happens if Viking Range Corporation employees or agents are found
to be improperly discussing any aspect of the UMRP policy with retailers
or are otherwise acting beyond their authority with regard to this policy?
They are subject to discipline, which may include termination. Remember,
Viking Range Corporation employees or agents may only provide retailers
with copies of the current UMRP policy/bulletin and the UMRP questions
and answers. No other discussion or determination is permitted.

What happens if a retailer insists on discussing or negotiating any aspect
of the policy despite these restrictions?
Viking Range Corporation may consider such insistence a violation of the
UMRP policy and may take steps toward cessation of shipment of the
products involved.
What if a retailer has a question pertaining to UMRP policy which is not
covered in these questions and answers?
The retailer will have to use its own individual judgement or submit
questions in writing to Viking Range Corporation, attention UMRP Policy
Administrator.
