Bonjour becoming Strategic Shareholder of Town Health
Town Health Appoints Dr. Ip Chun Heng, Wilson as the Executive Director
And Acquires Bonjour Beauty at the Consideration of HK$424 million
Venturing into Medical Cosmetic Dermatology Business
(Hong Kong, 20 August 2014) Town Health International Medical Group Limited (“Town Health” or “the
Group”; Stock code: 3886) and Bonjour Group Limited (“Bonjour Group, a company wholly owned by
Bonjour Holdings Limited (“Bonjour”; Stock code: 653)) entered into the agreement pursuant to which the
Group has conditionally agreed to allot and issue 365,327,586 consideration shares to Bonjour Group, and
acquire the 100% equity interest in Bonjour Beauty International Limited (“Bonjour Beauty”, a company
wholly owned by Bonjour Group) at the consideration of approximately HK$424 million.
The consideration shall be paid by the Group by the allotment and issue of 365,327,586 shares, credited as
fully paid, at an issue price of HK$1.16 per consideration share to Bonjour Group. The consideration shares
holding by Bonjour represent approximately 7.91% of the issued share capital of the Group as at the date of
announcement; and approximately 7.33% of the issued share capital of the Group as enlarged by the allotment
and issue of the consideration shares. Dr. Ip Chun Heng, Wilson will be appointed as an executive Director of
Town Health. In addition, Dr. Ip will be appointed as the chairman and chief executive officer of the Bonjour
Beauty to keep running the business.
Bonjour Beauty has 8 subsidiaries and is principally engaged in the operation of 19 beauty and health salons
under the brands of “About Beauty”, “Dr. Protalk” and “Top Comfort” in Hong Kong, Macau and the PRC.
The unaudited consolidated financial information of the Bonjour Beauty for the two years ended 31 December
of 2012 and 2013 are as follows:

Bonjour Beauty is a well-established cosmetic beauty chain in Hong Kong with a large customer base, which
has been enjoying good brand name. The Group is one of the leading medical services providers in Hong
Kong, offering primary and specialty medical services to the general public. The Group has been striving to
develop medical centers in five specialties in Hong Kong, which include cosmetic dermatology center. The
Group plans to develop a cosmetic dermatology medical center which provides advanced medical
dermatology treatments, including plastic surgery treatments. The Group believes that by integrating this
planned cosmetic dermatology medical center with the cosmetic beauty chain network of the Bonjour Beauty,
substantial synergy could be created for both parties. The large customer base of the Bonjour Beauty could
serve as the clientele referral pool for the Group’s cosmetic dermatology medical center. On the other hand,
such center could further enhance the service scope and quality of Bonjour Beauty, offering to the customers
more quality, advanced and professional medical dermatology services. Also, the combination could offer a
good branding effect to boost up the image of the cosmetic beauty chain of the Bonjour Beauty, hence
enhancing its market share. The Group believes the cosmetic dermatology business could be further developed
to become an important business segment of the Group, and bring in steadily growing net profit and operating
cash flows.
