(the Foundation) as of June 30, 2009, and the related statements of activities and cash flows for the year then ended. These financial statements are the responsibility of the Foundation’s management. Our responsibility is to express an opinion on these financial statements based on our audit. The prior year comparative information has been derived from the Foundation’s 2008 financial statements and, in our report dated August 21, 2008, we expressed an unqualified opinion on those financial statements. We conducted our audit in accordance with auditing standards generally accepted in the United States of America and the standards applicable to financial audits contained in Government Auditing Standards, issued by the Comptroller General of the United States. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation. NOTES TO FINANCIAL STATEMENTS JUNE 30, 2009 (1) Significant Accounting Policies: The following is a summary of the more significant accounting policies and practices of the University of Florida Foundation, Inc. (the Foundation), which affect the accompanying financial statements. (a) Organization––The Foundation is a not-for-profit entity established to solicit and manage funds for the benefit of the University of Florida (the University). The Foundation is governed by a self-perpetuating board of directors consisting of a majority of volunteer board appointed members, some of whom are significant donors to the Foundation. The Board also includes ex-officio University of Florida and Foundation officials. The Foundation functions as a direct support organization of the University and is a component unit (for accounting purposes only) of the University. (b) Basis of accounting––The accompanying financial statements of the Foundation have been prepared on the accrual basis and have been prepared to focus on the Foundation as a whole and to present balances and transactions according to the existence or absence of donor-imposed restrictions. In the normal course of business, the Foundation accepts financial assets from a donor on behalf of a specified beneficiary to which it is financially interrelated and recognizes the fair value of assets received as a contribution. This has been accomplished by classification of net assets and transactions into three classes – permanently restricted, temporarily restricted or unrestricted as follows: Permanently restricted net assets – net assets subject to donor-imposed stipulations that they be maintained permanently by the Foundation. Generally, the donors of these assets permit the Foundation to use all or part of the income earned on related investments for general or specific purposes in support of the University. Temporarily restricted net assets – net assets subject to donor-imposed stipulations that may or will be met by actions of the Foundation and/or the passage of time. Unrestricted net assets – net assets which represent resources generated from operations or assets not subject to donor-imposed stipulations. Revenues are reported as increases in unrestricted net assets unless use of the related assets is limited by donor-imposed restrictions. Amounts received that are designated for future periods or restricted by the donor for specific purposes are reported as temporarily restricted or permanently restricted support that increases these net asset classes. Expenses are reported as decreases in unrestricted net assets. Gains and losses on investments and other assets or liabilities are reported as increases or decreases in unrestricted net assets unless their use is restricted by explicit donor stipulations or by law. Expirations of restrictions on net assets (i.e., the donor-stipulated purpose has been fulfilled and/or the stipulated time period has elapsed) are reported as reclassifications between the applicable classes of net assets. Contributions, including unconditional promises to give, are recognized as revenues in the period received. Conditional promises to give are not recognized until they become unconditional, that is, when the conditions on which they depend are substantially met. Contributions of assets other than cash are recorded at their estimated fair value on the date of contribution. Income and realized and unrealized gains and losses on investments of permanently restricted net assets are reported as increases or decreases in temporarily restricted net assets. -7- UNIVERSITY OF FLORIDA FOUNDATION, INC. NOTES TO FINANCIAL STATEMENTS JUNE 30, 2009 (1) Significant Accounting Policies: (Continued) (c) Liquidity––Assets are presented in the accompanying statement of financial position according to their nearness of conversion to cash and liabilities according to the nearness of their maturity and resulting use of cash. (d) Use of estimates––Management uses estimates and assumptions in preparing financial statements in conformity with accounting principles generally accepted in the United States of America. Those estimates and assumptions affect the reported amounts of assets and liabilities, and reported revenues and expenses. Significant estimates used in preparing these financial statements include those used in calculating the allowance for doubtful pledges receivable, those used in calculating the annuity and trust liabilities under split interest agreements, those used in calculating the pension benefit obligation, and those used in determining the fair value of certain investments. Actual results could differ from these estimates, and the change may be material. (e) Cash and cash equivalents––Cash and cash equivalents consist of cash on hand and cash in operating accounts. (f) Mortgages and notes receivable––Mortgages and notes receivable are stated at the amount management expects to collect from outstanding balances. Management provides for probable uncollectible amounts through a charge to earnings and a credit to a valuation allowance based on its assessment of the current status of individual accounts. Balances considered uncollectible after management has used reasonable collection efforts are written off through a charge to the valuation allowance and a credit to mortgages and notes receivable. Changes in the valuation allowance have not been material to the financial statements. (g) Property and equipment––Vehicles and equipment purchased with an original cost of $5,000 or more are recorded at cost. Donated vehicles and equipment having a fair value of $5,000 or more are recorded at their estimated fair value on the date of donation. All real property (buildings and land) is capitalized. Contributed property and equipment is recorded at fair value at the date of donation. If donors stipulate how long the assets must be used, the contributions are recorded as restricted support. In the absence of such stipulations, contributions of property and equipment are recorded as unrestricted support. Property and equipment are depreciated using the straight-line method of depreciation over the estimated useful lives of the assets. The estimated useful lives for vehicles and equipment is 3 years and ranges from 5 years to 30 years for buildings and building improvements. In the case of equipment donated to the Foundation on behalf of the University, the Foundation transfers title to the specified University recipient. (h) Permanent collection––The Foundation capitalizes its collections. Accessions are capitalized at cost if purchased and at appraised or fair value at date of accession if received by donation. Gains and losses on deaccessions of donated collections are recorded based on the presence or absence of donor restrictions placed on items at the date of donation. -8- UNIVERSITY OF FLORIDA FOUNDATION, INC. NOTES TO FINANCIAL STATEMENTS JUNE 30, 2009 (1) Significant Accounting Policies: (Continued) (i) Fundraisers’ salaries and expenses paid by various colleges of the University––A portion of certain fundraisers’ salaries and expenses is paid either directly to the fundraisers by the colleges which they represent or is reimbursed to the Foundation by the colleges. These amounts, which totaled $6,921,542 and $6,680,658 for the years ended June 30, 2009 and 2008, respectively, are included in unrestricted operating revenues as support from the University and in expenses as fundraising costs. At June 30, 2009 and 2008, $437,815 and $527,992 of these amounts are included in accrued interest and other receivables. (j) Pledges receivable––Unconditional promises to give that are expected to be collected within one year are recorded at net realizable value. Unconditional promises to give that are expected to be collected in future years are recorded at the present value of their estimated future cash flows. The discounts on those amounts are computed using risk-free interest rates applicable to the month in which the promises are received. Amortization of the discounts is included in contribution revenue. Pledges over six months past due are fully reserved. An additional 10% reserve is applied to all nonpast due pledges. (k) Split interest agreements––The Foundation accepts gifts subject to split interest agreements. These gifts may be in the form of annuities, life estates or charitable remainder trusts. At the time of receipt, a gift is recorded based upon the fair value of assets donated less any applicable liabilities. Liabilities include the present value of projected future distributions to the annuity or trust beneficiary and are determined using the Internal Revenue Service rate for computing charitable deductions for such gifts in effect at the time of the gift ranging from 2.4% to 8.2%. Funds subject to split interest agreements are classified as temporarily restricted or permanently restricted based upon donor designations. Current Florida law requires charities to maintain certain minimum gift annuity reserves. As of June 30, 2009, the Foundation held assets in excess of the minimum required by state law. (l) Accrued compensated absences––The Foundation accrues accumulated unpaid vacation and sick leave and associated employee-related costs when earned (or estimated to be earned) by the employee. Eligible employees are entitled to annual vacation and sick leave with pay. Employees are allowed to accumulate vacation leave up to a maximum of 480 hours, of which 352 hours will be paid upon termination. Any unused accrued hours in excess of 480 hours at the end of a calendar year will automatically be converted to sick leave hours. Sick leave balances accrue as long as the employee is actively employed. However, payment upon termination is limited to the lesser of 480 hours or 1/4 of the employee's sick leave balance for those employees who have completed ten years of continuous service. Accrued compensated absences totaled $1,504,450 and $1,581,889 at June 30, 2009 and 2008, respectively, and are included in accrued expenses in the accompanying statement of financial position. (m) Income taxes––The Foundation is exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in 501(c)(3). However, the Foundation is subject to income tax on unrelated business income. The Foundation’s primary source of unrelated business income is from certain investments in private equity partnerships. For the year ended June 30, 2009, the Foundation had a current income tax benefit of approximately $99,000, which is included as an increase to investment return in the accompanying statement of activities. For the year ended June 30, 2008, the Foundation had a current income tax expense of approximately $450,000, which is included as a decrease to investment return in the accompanying statement of activities. -9- UNIVERSITY OF FLORIDA FOUNDATION, INC. NOTES TO FINANCIAL STATEMENTS JUNE 30, 2009 (1) Significant Accounting Policies: (Continued) (n) Amounts invested on behalf of University of Florida related entities––Gator Boosters, Inc. and the University of Florida Law Center Association, Inc. have entered into written agreements with the Foundation for investment services. These funds are invested in pools along with the Foundation’s investments. The liability included in the accompanying statements of financial position represents the amounts due to these entities, including their share of investment returns. (o) Deferred revenue––Amounts received in advance under agreements with terms in excess of one year are recorded as deferred revenue and are amortized to the statement of activity using the straight-line method over the life of the agreement. (p) Summarized financial information for June 30, 2008––The financial information as of June 30, 2008 is presented for comparative purposes and is not intended to be a complete financial statement presentation. Certain amounts from the 2008 financial statements have been reclassified to match the 2009 presentation. These reclassifications had no effect on net assets. (q) Recent accounting pronouncements––In March 2008, the FASB issued Statement of Financial Accounting Standards No. 161 (SFAS 161), Disclosures about Derivative Instruments and Hedging Activities, an amendment of SFAS No. 133. This statement requires enhanced disclosures about an entity's derivative and hedging activities and thereby improves the transparency of financial reporting. This Statement is effective for financial statements issued for fiscal years beginning after November 15, 2008. The Foundation is currently determining the impact of this standard on its financial statements. (r) Subsequent Events––The Foundation has evaluated events and transactions for potential recognition or disclosure in the financial statements through August 20, 2009. No subsequent events have been recognized or disclosed other than those noted in Note 8 (2) Cash and Cash Equivalents: The Foundation maintains demand deposit accounts with a regional bank with bank balances totaling $271,838 and $8,420,696 at June 30, 2009 and 2008, respectively. These demand deposits are federally insured up to FDIC limits. (3) State Match Receivable: In accordance with Florida Statute Chapter 1011.94, Trust Fund for Major Gifts, endowment contributions of $100,000 or more, made after July 1, 1985, with income to be used to "support libraries and instruction and research programs," are eligible for state match. The State of Florida did not appropriate funds for this matching program during the past two fiscal years, therefore, no state match receivable has been recorded in the accompanying financial statements. This corporation is called the University of Florida Investment Corporation (UFICO). UFICO is managed by an independent volunteer board of directors. The Foundation has a management agreement with UFICO to manage a significant portion of its investments. - 11 - UNIVERSITY OF FLORIDA FOUNDATION, INC. NOTES TO FINANCIAL STATEMENTS JUNE 30, 2009 (6) Investment Management Agreement: (Continued) Management fees are payable at the beginning of each quarter and are computed based on UFICO budgeted management fees and the market value of the assets as reported by the custodians at the previous quarter-end. The asset valuations used in the fee calculations include all funds and assets under management, including cash and accrued income. Annualized fees charged were 0.18% and 0.15% for the years ended June 30, 2009 and 2008, respectively. Management fees expensed during the years ended June 30, 2009 and 2008, under this agreement totaled $2,063,043 and $2,078,672, respectively. UFICO staff were employees of the Foundation during the fiscal year ended June 30, 2008. UFICO reimbursed the Foundation for the cost of the salaries, benefits, and payroll taxes for employees who work for UFICO. During the years ended June 30, 2009 and 2008, UFICO incurred $164,413 and $1,210,591, respectively, in salaries, benefits and payroll taxes that were reimbursed to the Foundation. On August 1, 2008 UFICO began to pay its own payroll and benefits and its staff were no longer employees of the Foundation. The Foundation provided computing, legal, human resource, and office service support to UFICO for an annual fee of $68,842 and $77,300 for the years ended June 30, 2009 and 2008, respectively. Included in accrued interest and other receivables in the accompanying statement of financial position at June 30, 2009 and 2008, is $111,525 and $371,972 due from UFICO, respectively. Included in accrued expenses in the accompanying statement of financial position at June 30, 2008 are accrued management fees due to UFICO in the amount of $521,640. Included in liabilities are $913,274 and $600,673 of management fees that are associated with the UFICO deferred compensation plan for the years ended June 30, 2009 and 2008, respectively. (7) Investments: The Foundation's investments in government issued domestic and foreign bonds, corporate bonds and stocks, short-term investments, fixed investment mutual funds, and equity mutual funds are carried at fair value based on publicly available trading values. Investments in hedge funds are recorded at fair value based on values provided to the Foundation by the respective fund's manager. Such values are evaluated by UFICO prior to reflecting changes in the value reported by the fund manager. Due to the lack of readily determinable fair values, investments in private equities and real estate are carried at the lower of cost or market in the aggregate. To date, the total amount requested for investment by the private equity fund managers is approximately $616,439,000. Additionally, these fund managers have the ability to request additional investments in these funds of approximately $308,006,000. Investments are generally pooled and managed under various asset diversification strategies, depending upon the specific pool’s objectives, and to avoid significant concentrations of market risk. Endowment earnings are temporarily restricted to support the University. Under the Foundation’s endowment spending policy, certain amounts (based on a percentage of the investment value of the endowment) are appropriated to support current operations. Investments in the endowment pool and the split interest pools are intended to be held for an extended period of time and are not subject to near term withdrawal. Investments in the non-endowed pools are subject to immediate withdrawal. Individual securities in either pool may be sold at any time, but the endowment and split interest pools are expected to remain at the current level or increase during the coming years. While investments in the non-endowed pools may be withdrawn immediately, it is not expected that there will be significant reductions in the investment balance during the coming year. (8) Investment Custody Agreement: The Foundation has an agreement with The Northern Trust Company (Northern) to provide custody and other services related to the Foundation’s investments. Each University related corporation may commingle its assets with the Foundation upon execution of an adoption agreement. All assets held with Northern under this agreement are managed by UFICO. On July 1, 2009, the Foundation restructured its investment ownership. As a result of the restructuring, the Foundation transferred substantially all of its investments to three newly formed investment limited partnerships in exchange for limited partnership units. The underlying investments in the Foundation’s investment portfolio (through the newly formed limited partnerships) have not changed as a result of this restructuring. The limited partnerships have entered into an agreement with BNY Mellon to provide custody and other services related to the investments. UFICO serves as the general partner and the investment manager for each of the limited partnerships. (9) Fair Value Measurements: The Financial Accounting Standards Board Statement established a framework for measuring fair value under accounting principles generally accepted in the United States of America. That framework provides a fair value hierarchy that prioritizes the inputs to valuation techniques used to measure fair value. The hierarchy gives the highest priority to unadjusted quoted prices in active markets for identical assets or liabilities (level 1 measurements) and the lowest priority to unobservable inputs (level 3 measurements). The three levels of the fair value hierarchy are described below: Level 1 - Quoted prices in active markets for identical assets the Foundation has the ability to access at the measurement date. These types of quoted prices would include publicly traded securities. Level 2 - Pricing inputs (other than quoted prices included in Level 1) that are observable for the asset, either directly or indirectly. Observable inputs are those that reflect the assumptions market participants would use in pricing the asset developed based on market data obtained from sources independent of the Foundation. These types of sources would include quoted prices for similar assets, models or other valuation methodologies. Level 3 - Pricing inputs that are unobservable for the asset. Unobservable inputs are those that reflect the Foundation's and UFICO's own assumptions about the assumptions that market participants would use in pricing the asset developed based on the best information available. These types of sources would include investment manager pricing for private equities, hedge funds and certain limited partnerships. (the Board) has interpreted the State of Florida Statute (1010.10) cited as the “Florida Uniform Management of Institutional Funds Act” (FUMIFA) as requiring the Board to use reasonable care, skill, and caution as exercised by a prudent investor, in considering the investment management and expenditures of endowment funds. In accordance with FUMIFA, the Board may expend so much of an endowment fund as the Board determines to be prudent for the uses and purposes for which the endowment fund is established, consistent with the goal of conserving the long term purchasing power of the endowment fund. The remaining portion of the donor-restricted endowment fund that is not classified as permanently restricted net assets is classified as temporarily restricted net assets until those amounts are appropriated for expenditure in a manner consistent with the standard of prudence prescribed by FUMIFA. However, by Board policy, any appreciation is considered an asset of each individual endowment fund and is not appropriated for general Foundation or University use. Spending Policy The Foundation’s spending policy is designed to provide for positive growth in the market value of its endowment, net of distributions, over an extended period of time. In establishing this policy, the Board considered the long-term expected return of the endowment investment pool and the goal of maintaining the purchasing power of the endowment assets. Over the long term, the current spending policy is designed to return a net positive gain in market value (growth) after spendable transfers. The annual rate for spendable transfers, distributed quarterly, is 4% of each endowment’s principal fund’s spending base. The principal fund’s spending base is a percentage of the market value, and is adjusted quarterly, if necessary, to fall within a range of 85% to 95% of the market value of the endowment investments. In addition, the principal fund is assessed an annual 1% administrative fee, charged quarterly. This policy is designed to tolerate volatility in short and intermediate-term performance. The endowment assets are invested by UFICO, per the terms of a management agreement dated January 1, 2009, in a manner that is intended to produce results that exceed both the UFICO Board Policy benchmark (a blended benchmark that reflects the actual asset allocation of the investment pool) and the 70% Russell 3000 / 30% Barclays Aggregate Bond Index benchmark. Endowment administrative fees are increasing to 0.325% per quarter from 0.25%. Non-endowed administrative fees are decreasing to 0.50% per quarter from 0.75%. (18) Financial Instruments: The carrying amount reported in the statement of financial position for cash and cash equivalents, certificates of deposit, accrued interest and other receivables, mortgages and notes receivable, accounts payable, accrued expenses, and other liabilities approximate fair value because of the immediate or shortterm maturities of these financial instruments. The carrying amount of pledges receivable, annuity liability, and trust liability approximate fair value as they are presented on a discounted basis. The carrying amount of the Foundation’s notes payable approximate their fair value based on the fact that the rates of such notes are similar to rates available for debt of the same terms. See Note 9 for a description of the fair values and carrying amounts for investments and amounts due from externally managed trusts. (19) Related Party Lease: The Foundation assumed a parking garage facility and the related $3,000,000 note payable, current yearend balance of $1,500,000, from Shands Teaching Hospital, Inc. during 1994. Simultaneously, the Foundation executed a non-cancelable operating lease with the University as the tenant. The lease agreement requires the University to make annual lease payments of $100,000 to the Foundation through June 30, 2024. See Note 13 for related debt. The Foundation has several long-term lease agreements relating to office facilities with the University of Florida expiring in 2044 to 2046. Lease payments for these facilities range from $1 per year to $10 per year, well below the current market rates for comparable space. NOTES TO SCHEDULE OF EXPENDITURES OF STATE FINANCIAL ASSISTANCE FOR THE YEAR ENDED JUNE 30, 2009 (1) Significant Accounting Policies: The accounting policies and the presentation of the accompanying schedule of expenditures of state financial assistance of University of Florida Foundation, Inc. (the Foundation), have been designated to conform with accounting principles generally accepted in the United States of America as applicable to governmental units, including the reporting and compliance requirements of Chapter 10.650, Rules of the State of Florida, Auditor General. Basis of Accounting The accompanying schedule of expenditures of state financial assistance is presented using the accrual basis of accounting. Expenditures are recognized when the related liability is incurred. The expenditures under the state license plate program in the schedule represent $961,532 in scholarship expenditures and $800,000 in fundraising expenditures. Receipts from the program during the year ended June 30, 2009, of $2,770,180 are allocated to be spent for scholarships and for fundraising, consistent with the allocation plan originally submitted to the Board of Education and the Department of Highway Safety and Motor Vehicles. Investment losses on receipts and unexpended amounts from prior years totaled $275,021. In prior years, the Foundation has collected more in receipts for scholarships than it has expended. As a result, the Foundation has the ability to expend more in future years related to scholarships. Receipts for scholarships exceeded expenditures during the year ended June 30, 2009, by $733,627. Unexpended amounts from prior years are pooled in the investment portfolio of the Foundation and a proportionate share of income, gains and losses are allocated to these unexpended amounts. Amounts are not expended until eligible scholarship recipients are identified. At June 30, 2009, the Foundation had $3,007,485 in collected, but unexpended funds related to scholarships. Receipts for fundraising are used in the year of receipt for the Foundation’s fundraising programs. The expenditures under the state major gifts challenge program are made from investment earnings in compliance with the program requirements. All private contributions, and the state match, are retained in the fund corpus. Investment earnings are used in accordance with the program guidelines. Investment earnings on these funds in the amount of $33,001,051 were expended during the year ended June 30, 2009. (2) Contingencies: Grant monies received and disbursed by the Foundation are for specific purposes and are subject to audit by the grantor agency. Such audits may result in requests for reimbursement due to disallowance of expenditures.
