OF 100 KVA MODULAR UPS SYSTEMS WITH BATTERIES UNDER BUYBACK AND 60 MODULAR UPS FOR HEAD OFFICE, HYDERABAD THROUGH
E-TENDERING PROCESS
Online tenders (technical bids) are invited through e-tendering from the UPS
MANUFACTURERS EMPANELLED WITH STATE BANK OF INDIA- All India
ONLY for supply & installation of UPS Systems of 100 & 60 KVA Modular UPS
with Batteries makes of EXIDE/ PANASONIC, CSB, AMARARAJA, AMCO BEST, HBL.
The Number of UPS Systems required is as under:
1) 100 KVA Modular UPS –Maintenance free batteries (SMF) with 30
minutes back up – One number, Under buyback.
2) 60 KVA Modular UPS –Maintenance free batteries (SMF) with 30
minutes back up – One number
The UPS System required Head Office and the details of buy-back UPS
Systems with batteries are placed in Annexure IV.
NOTE: Addition to battery specifications – Battery should be suitable for
continuous operation along with the UPS (i.e., purely Maintenance free
batteries (SMF).
2) TECHNICAL DETAILS: The required Configuration & Technical Specification
are given as per Annexure I.

(The format for submission of technical details and bids is as given in
Technical Bid)
Checklist as per Annexure – III
Vendors must submit the technical (non financial) bid through online as per the
terms specified in Annexure II provided for the purpose. Bids submitted otherwise
will not be accepted
The vendor along with the technical bid must also submit:
1) A copy incorporating the name, contact number and address of the
authorized representative of the company with whom correspondence
will be made as and when any clarifications are called for.
2) Details of Bank Account viz., name of the Bank, Name of the Branch,
Account Number, IFSC/ Branch code etc. in order to affect online
credit towards supplies made upon identification as L-1 vendor.
Authorized signatory of the vendor should duly sign each page of the offer.
3) SUBMISSION OF BIDS /TENDER DOCUMENTS: The response to the present tender
will be submitted by way of two stage bidding process. The technical details with the
relevant information /documents/acceptance of all terms and conditions strictly as
described in this tender document will be submitted online through M/s e-Procurement
Technologies Ltd., Ahmedabad, the outsourcing agency approved by the Bank for etendering on the website http://sbi.abcprocure.com. If short-listed, the vendor will have to
participate in the online reverse auction to be conducted by M/s e-Procurement
Technologies Ltd. (the company selected by the Bank for conducting e-procurement
reverse auction process).
Short-listed vendors will be trained by e-Procurement
Technologies Ltd., for this purpose and they will have to abide by the e-business rules
framed by the Bank in consultation with e-Procurement Technologies Ltd.

The vendors will have to upload the duly signed and scanned tender document
containing pages No. 1 to 22 along with Scanned copy of EMD DD as part of
technical bid. This tender document is not required to be sent to us in hard copy.
The Technical Bid with relative brochures must be submitted online latest by 2.30
P.M. on 20.03.2013. Please ensure that all the documents are attached while
submitting the tender.
The vendors are requested to note that they cannot make their online submission after the
time stipulated above and no extension of time will normally be permitted for submission of
bid.
The bidders are requested to note that it is mandatory to have a valid digital
certificate issued by any of the valid certifying authority approved by Govt. of India
to participate in the online bidding. The bidders are requested to ensure that they
have the same, well in advance or if any assistance is required for the purpose,
bidders can contact our service provider (M/s e-Procurement Technologies Ltd.) at
the under mentioned numbers:

4) OPENING OF BIDS: The technical bid/tender will be opened online on the same day i.e.,
on 20.03.2013 at 3.30 P.M. Any change in opening date and time will be notified by the
Bank in advance. After opening of the Tender Bid through online procedure, during
technical evaluation, if any further clarifications are warranted, the same should be
submitted physically to the DGM, ITSD, Head Office, Hyderabad within a maximum period
of 2 days time. (The period may vary depending on urgency). After technical evaluation of
the bids, vendors found to be eligible will be short listed and invited to participate in the
Reverse Auction. Incomplete, unsigned pages, non-submission of required documents or
evidence as specified by the Bank will be treated as non-compliance and the vendors’ bid
will be liable for rejection.
The vendors should mention the make and model of the system. Vendors should offer only
a specific make and model meeting the tender specifications. Bids with multiple models and
options will be rejected. Such bids will be rejected during technical evaluation and also such
vendors will not be considered for participating in Reverse Auction. Bids with enclosures
containing terms, which are not in conformity with any of the above terms and conditions /
specifications will be disqualified.
The vendor /bidder is requested to submit the indicative prices (all inclusive, except octroi
and entry tax), in a separate sealed cover along with the EMD amount. However, Bank
reserves the right to use or not use such indicative prices in fixing the start bid price for
Reverse Auction. Bank may choose independent market enquiries for arriving at the start
bid price.
If any vendor offers any of the components / parts / equipments of higher capacity than that
specified, it will be considered as equivalent and no weightage will be given.
The reverse auction will be conducted by M/s e-Procurement Technologies Ltd., (abc
procure) AHMEDABAD and the date, time and venue of the Reverse Auction will be
advised separately.
Necessary training, procedure and business rules applicable for Online Technical Bidding
and Reverse Auction procedure will be furnished to the empanelled vendors.
For the vendors who qualified in the technical bid, necessary training on the bidding
process will be provided by M/s e-Procurement Technologies Ltd.
The vendors are required to execute all the required documents for the e-procurement
reverse auction, if any, as per the stipulation as and when necessary.

Bank will prescribe a Start Bid price and bid decrement amount for the Reverse Auction.
Vendors have to adhere to the terms and conditions and business rules prescribed for
participation in the Reverse Auction proceedings. Participation in the Reverse Auction will
be deemed to be acceptance of terms and conditions of the Auction. The terms and
conditions and business rules will be specified and advised to participating vendors in
advance through M/s e-Procurement Technologies Ltd.
5) EVALUATION OF L1 RATES: Bank will take the cost of the following items for
arriving at L-1 Price:
a) Total cost of items as indicated in Technical Bid– Annexure IV.
b) 1 year AMC cost. (after 3 years warranty period)

6) CANCELLATION OF TENDER: Bank reserves the right to cancel the tender at any
time at its sole discretion without assigning any reason.
7) EARNEST MONEY DEPOSIT: A draft favouring STATE BANK OF HYDERABAD
towards Earnest Money Deposit for ` 1,25,000.00 (One lac Twenty five thousand)
should be sent by Speed Post addressed to the DGM, SBH, ITSD, Head Office
Hyderabad. The EMD DD should be submitted well before the submission time of the
technical bids i.e. 2.30 P.M. on 20.03.2013. Xerox copy of the EMD DD should be
enclosed along with the technical bid. If the EMD of any bidder is not received by the
Bank till the deadline i.e. 2.30 PM on 20.03.2013, the technical bids of the concerned
bidder is liable to be rejected and they will not be allowed to participate in the price
bidding by way of Reverse Auction.
Refund of the EMD will be made only on completion of the tender exercise. EMD
will be forfeited in the event of vendor not accepting the purchase order.
However, the vendors on whom the purchase orders are placed have to submit
10% of actual value of the contract towards Security Deposit by way of a Bank
Guarantee for 18 months from any Scheduled Commercial Bank other than State
Bank Group Group (As per format given in Annexure-VI).
The EMD will be forfeited:
a) If a bidder withdraws his bid after becoming L1 and not accepting the
Purchase order.
b) The Bid Security will be forfeited and also the Guarantee will be invoked in
case successful bidder dishonours his bidding commitments.
Further, in case of forfeiture of the EMD or forfeiture of Bid Security along with
revocation of the Bank Guarantee, if any of these instances arise for any of the
reasons mentioned above, the bidder would be debarred from participating in the
next three (3) tenders.
The bidder must give an undertaking signed by the Authorized Signatory (Annexure-V)
that all components used in the machines supplied are original and not re-furbished.
This must be submitted along with the technical bid. The successful bidder must furnish
a list of all the license numbers of the pre-loaded OS supplied by the vendor, along with
a COA (Certificate of Authenticity) from Microsoft for the same. This must be submitted
along with the invoices.

8) COMPLYING WITH CONFIGURATION: The indicated configuration has to be strictly
adhered to and quotation submitted as per the formats given therein. Non-furnishing of
any responses in the ‘response sheet’ of technical bid may result in disqualification of
the tender. The Bank reserves the right to decide whether or not, to open one or all the
covers of the vendor / to permit the vendor to participate in the reverse auction without
assigning any reason whatsoever. No
bids
will
be
considered
unless
accompanied by technical documentation or literature giving the full particulars of
systems and components offered to the Bank.
Insufficient, incorrect or invalid information provided by the vendor or his representative,
if any may disqualify the vendor and vendor’s bid may not be considered valid. Bank
reserves the right to disqualify the vendor without any notice in all such events.
Vendors should generally seek clarifications if any at least five working days before the
date of tender opening.
9) VALIDITY OF OFFER: The validity of prices finalized in the tendering process will
remain valid for purchase of systems for a period of 120 days from the date of opening
of tender. The validity period may be extended by another two months with approval of
the Procurement Committee in case purchase of the tendered equipment is not
completed. This will be binding on the vendors, if the Bank chooses to place Purchase
Order/Letter of Intent for any or some or the entire lot of equipment, as indicated in the
tender document on or before that date. The offer should also be valid for the orders
directly placed by any branch /office of the Bank.
The offer should also be valid for any additional quantity which may vary up to 25%.
10) TAXES / LEVIES / DUTIES: The quoted prices should be inclusive of all taxes,
duties and other charges like packing /forwarding/ freight /transit insurance etc., for the
equipment to be delivered, installed and commissioned at our specified installation
site(s). In the event of any downward revision of levies/duties etc., the same should be
passed on to the Bank, notwithstanding what has been stated in the quotation provided
the relative Letter of Intent /Purchase Order was not placed by then. However, Octroi
/Entry Tax charges will be reimbursed on submission of original receipts from
concerned authority.
11) ENHANCEMENTS AT NO ADDITIONAL COST: The configuration given is the
minimum configuration that is/ are required. Vendors may choose to supply higher
/enhanced systems/ storage devices/ peripherals, but their financial quotes shall be
treated as if they have been offered for the specified configuration only.
12) INSPECTION AT FACTORY LOCATION: Bank may, at its discretion, conduct
Factory Acceptance Test /Site Acceptance Test of a suitable proportion of systems as
deemed necessary. The inspected systems shall be packed /sealed in the presence of
the Bank representatives. Vendor should dispatch the goods inspected after successful
completion of Factory Acceptance Test /Site Acceptance Test and in any case ensure
delivery of systems to Branches as per Purchase Order. The revised date of delivery
on account of Factory Acceptance Test /Site Acceptance Test, if any required will be
advised by the Bank. Incase of any shortfall or wrong supply, not in accordance with
purchase order, vendor should immediately replace with equipment that is specified in
bids specifications, wherever necessary vendor should provide required spares
immediately. Vendor should provide stand by system whenever the system has to be
shifted to the vendors’ site for the purpose of repairs /replacement.
13) DELIVERY TERMS: DELIVERY TERMS: Bidding should be for the entire lot of
items mentioned in the tender. L-1 vendor, immediately on completion of the reverse
auction activity, has to provide the unit wise prices of all the items in the tender to the
Bank. Orders can be placed for the whole lot or part thereof. The orders should
be executed and systems should be delivered and installed within 30 days from
the date of receipt of the confirmed purchase order(s) from this office or from
designated offices. The items are to be supplied to the Branches /Administrative
offices spread over the country as per the list enclosed with purchase order.

If the delivery & installation is not done within the stipulated time period, a penalty of 2%
on the cost per week or part thereof subject to a maximum of 24% (with a cap limit of
12 weeks) will be levied for the delayed period.
In case of non-delivery, any delay beyond 12 weeks will lead to cancellation of PO/LOI
itself and also forfeiture of EMD. Apart from the above, the vendors shall be barred from
participating in the next three eligible tenders.
Where Inter State movement of equipment / systems is involved, the compliance and
completion of statutory formalities including matters relating to transport, Sales tax,
excise duty, or other access or tax and delivery of equipment / systems at the bank
specified premises is at the sole responsibility of, and at the cost of vendor only. In
case any document is to be signed for the purpose, the same may be obtained by the
vendors representative from the specified office / branch of the bank and the same will
be signed and returned by the bank after due verification.
14) DIVERSION OF EQUIPMENT: In the event of the Bank deciding to install the
ordered equipment, either the entire lot or a part thereof, at a different location /Branch,
the Vendors will have to provide the documentation (invoices, delivery challans etc.,)
accordingly. The Bank may, at its own discretion, pay the cost of transportation, on
actual basis, only if the entire lot was delivered at the designated branch before the
diversion of equipment is intimated to the vendors.
15) SHORT-SHIPMENTS: No short-shipments are permitted. In the unlikely event of
such short-shipments, the EMD would be forfeited automatically. Moreover, the vendors
should invariably seek the written consent of the Bank, before dispatching the ordered
equipment with some short-shipments. In the event of very important or critical
equipment (in the view of the Bank) getting short-shipped, no payment will be released
till the short-shipped items are delivered (this is in addition to the forfeiture of the EMD).
16) WARRANTY: Vendors should undertake to provide the Bank Thirty six (36) months
unconditional and unlimited, free maintenance service (which will include repair and
maintenance of all kits or parts, and supply of spare parts as and when required for
smooth functioning of the systems) from the date of installation. The systems supplied
should carry three years (3) on site / comprehensive warranty from the date of
Installation. Date of installation of the ordered equipment will be decided by the Bank.
The Warranty shall cover all the Hardware and networking items and any software
accompanying the Hardware and included in the cost thereof. It shall also cover the
Operating System Software.
17) POST WARRANTY-ANNUAL MAINTENANCE CONTRACT: AMC for maintenance
and support after expiry of warranty period should be quoted on the price exclusive of
taxes. The rate of AMC should be minimum 4% but not exceeding 8% of the
hardware cost. Bank will assume the life as minimum 5 years for the system, only
for the purpose of evaluation of commercial offers and to estimate total cost of
ownership to the Bank. The vendor should spell out the end of life of the system.
The vendor should provide Maintenance support till the end of life of the product.
18) PAYMENT TERMS:
The bank proposes to utilize the original Duty Credit Scrip’s (DSC) allotted by DGFT,
in lieu of the value of excise /custom portion of the payment.
1. The successful vendor has to provide the breakup of Excise Duty (ED)/Customs
Duty (CD) payable, to enable the Bank to provide the Original Duty Scrip’s for the
ED / CD value. Vendor shall obtain the necessary endorsement on these Scrip’s
from the Excise / Customs Department with the Duty value and return the same
to the Bank thereafter.
2. Consequently the extent of amount of ED/CD value will be adjusted from the
value of the Purchase Order.
3. The invoice to be raised should clearly indicate the value of Purchase Order, the
deduction towards ED/CD paid directly by us and balance payable.

Installation of systems the vendor is advised to contact the IT Support Manager, IT
Services Department< Head Office.
The payment terms are as under:
A. 75% will be released after 15 days from the date of delivery to the respective
branches after adjusting ED/CD.
B. 15% on successful installation at the branch.
C. “after completion of installation, 10% of money will be retained with the Bank
towards the security for warranty period up to 36 months OR for an equivalent
amount of Performance Guarantee for 36 months will be accepted. The amount will be
released on submission of a Performance Guarantee. The Bank Guarantee should be
issued only by a Scheduled Commercial Bank other than State Bank Group.”
Vendor should submit duly signed receipts and satisfactory installation certificate from
respective office while submitting the bills with the Purchase Order.
The payment will be made at Head Office after successful installation and
commissioning of the system at the Head Office.
No advance amount will be paid along with the Purchase Order / Letter of Intent
19) COPYRIGHT / LICENSE VIOLATIONS & PROVISION OF LEGAL COPIES:
Vendors shall explicitly absolve the Bank of any responsibility and indemnify the Bank.
Venders should unconditionally absolve the bank of any responsibility and indemnify
bank against any liability for the use of system OS and Software with regard to
copyright/license if any. Whenever the hardware is supplied with preloaded OS
appropriate LTU (License to Use)/paper license with necessary media for each of the
system shall be provided.
20) RESIDENT ENGINEER OR SERVICE SUPPORT ON SATURDAYS/ SUNDAYS
AND HOLIDAYS: During the entire warranty period it is incumbent on the vendors to
provide complete and satisfactory technical support in the areas of hardware
installation, setting up of LAN, installing Operating System and helping the users in
installation and stabilization of the application software. As most of these activities are
carried out during holidays / Saturdays / Sundays, it is necessary for the engineers
/ technical support personnel from the vendor’s side to work (along with the technical
staff /operating staff from the Bank’s side) on these days as well, even though these
may be holidays as per their service conditions. In addition to the 36 months
unconditional comprehensive warranty, the Bank may insist upon the selected vendors
to position one exclusive Resident Engineer /Help Desk at a branch/cluster/zone during
the entire warranty period (or for that length of period as it may consider necessary) to
ensure smooth implementation. All expenses incurred by the vendors in extending such
support will be borne by the vendors only. All Resident Engineers should be accessible
through telephone/cellular phone and non-availability of the Engineer on any particular
day should be conveyed in advance to the branch and alternative arrangements worked
out.
The Resident Engineer or Service support personnel to execute a NonDisclosure Clause agreement as per Performa hereunder:
Non –Disclosure Clause :
In the performance of this Agreement or in contemplation thereof, receiving party and its
employees and agents may have access to private or confidential information owned or
controlled by the Bank relating to equipment, apparatus, programs, software, plans,
drawings, specifications, Intellectual Property and other data (hereinafter ‘Information’),
and the Information may contain proprietary details and disclosures. All Information
supplied by Bank to the other which is Licensed Software, or which is derived therefrom
(collectively, ‘Proprietary Information’) shall remain the exclusive property of the Bank
supplying same. The receiving party shall use a reasonable degree of care, which in
any event shall not be less than the same degree of care which the receiving party uses
to protect its own proprietary and confidential information, to keep, and have its
employees and agents keep, confidential any and all Proprietary Information. In keeping
therewith, the recipient shall not copy or publish or disclose the Proprietary Information

to others, or authorize its employees, or agents or anyone else to copy, publish or
disclose it to others, without the Bank’s written approval, nor shall the receiving party
make use of the Proprietary Information except for the purposes of executing its
obligations hereunder, and shall return the Proprietary Information to the Bank at its
request.
21) ADJUDICATION: All disputes or differences whatsoever arising between the parties
out of or in relation to the construction, meaning and operation or effect of these Tender
Documents or breach thereof shall be settled amicable. If, however, the parties are not
able to solve them amicably, the same shall be settled by courts of law with jurisdiction
in Hyderabad or by arbitration in accordance with the applicable Indian Laws, and the
award made in pursuance thereof shall be binding on the parties. The Arbitrator
/Arbitrators shall give a reasoned award. Any appeal will be subject to the exclusive
jurisdiction of courts at Hyderabad.
The vendor shall continue work under the contract during the arbitration proceedings /
legal action unless otherwise directed in writing by the Bank or unless the matter is such
that the work cannot possibly be continued until the decision of the court/arbitrator or
the umpire, as the case may be, is obtained. The venue of arbitration shall be
Hyderabad.
OTHER TERMS AND CONDITIONS
1. Please enclose a copy of your ISI & ISO certificate / registration
number.
2. Please indicate the ratings of battery (viz. 12V, 100AH) and number of
batteries.
3. In case batteries are procured separately, you should be able to service the
Batteries along with the UPS. Batteries should be provided with a stand on
wheels. UPS and Batteries should carry a warranty of three (3) years
from the date of installation.
4. If any vendor offers any components/parts/equipments of higher
capacity than that specified it will be considered as equivalent and no
weightage will be given.
5. Insufficient or invalid information will disqualify your quotation without any
notice.
6. Comprehensive/on site AMC should be on the price exclusive of taxes.
7. On Site Warranty should include free replacement of batteries and UPS
during the warranty period of three years.
8. The UPS system shall confine to the Bank’s standard specifications
supplied with this notice and any deviation will be suitably penalized. In
case of any deviation, a separate detailed deviation statement may be
enclosed. If no deviation statement is enclosed, then it will be deemed that
the tenderer has accepted all our terms and conditions and the rates
quoted accordingly.
9. The Vendor should submit a test certificate with each UPS (irrespective of
the capacity). The test should be conducted by SAMEER/ETDC/ERTL/IITs.
The Bank reserves the right to depute its representatives during the testing
of each UPS. The test may be conducted at the factory / branch site. The
test certificate to be obtained at or before delivery of the UPS systems. No
payments shall be released unless the satisfactory test certificates are
produced.
10. Bank reserves the right to depute its officials to witness during test of UPS.

Testing : i). The supplier shall have facilities to carry out all the tests at factory
center, and tests will have to be satisfactorily carried out before acceptance. A list of
tests prescribed are enclosed in annexure-“D”.
ii) Tests shall be carried out and certified by the manufacturer and by the
agencies specified here under (a). SAMEER (b).ETDC (c).ERTL (d) I.I.T.s as per
sampling below:

Specimen Undertaking
With reference to your Request for Proposal (RFP) for (100 & 60 KVA UPS Systems
with batteries) dated 27.02.2013 we hereby confirm that all the components / parts /
assembly / software used in the (100 & 60 KVA UPS Systems with batteries) to be
supplied shall be original new components / parts / assembly / softwares from Original
Equipment Manufacturer and that no refurbished / duplicate / second hand components
/ parts / assembly / softwares shall be supplied or shall be used .
We shall also produce certificate from the Original Equipment Manufacturers in support
of the above statement. We also confirm that in respect of licensed operating systems
and other softwasre utilities to be supplied, the same will be procured from authorized
sources and supplied with Authorized License Certificate such as Paper Licenses,
Product Keys etc.
In case the Bank finds that the above conditions are not complied with, we agree to take
back the Hardware etc. supplied as above and return the money paid by you, in full

performance by the CONTRACTOR. The Bank shall not be released from its liabilities
under these presents by any exercise of the PURCHASER of the liberty with reference
to the matter aforesaid.
7. The PURCHASER shall have the fullest liberty, without affecting this guarantee to
postpone from time to time the exercise of any powers vested in them or of any right
which they might have against the CONTRACTOR and to exercise the same at any
time in any manner, and either to enforce or to forbear to enforce any covenants,
contained or implied in the CONTRACT between the PURCHASER and the
CONTRACTOR or any other course or remedy or security available to the
PURCHASER and the BANK shall not be released of its obligations/ liabilities under
these presents by any exercise by the PURCHASER of his liberty with reference to the
matters aforesaid or any of them or by reasons of any other act or forbearance or other
acts of omission or commission on part of the PURCHASER or any other indulgence
shown by the PURCHASER or by any other matter or thing whatsoever which under law
would, but for this provision, have the effect of relieving the Bank Guarantee. The Bank
further undertakes not to revoke this guarantee during its currency without the previous
consent of the PURCHASER.
8. The Bank further agrees that the decision of the PURCHASER as to the failure on
the part of the CONTRACTOR to fulfill their obligations as aforesaid and/or as to the
amount payable by the BANK to the PURCHASER hereunder shall be final, conclusive
and binding on the BANK.

terms of the Contract or of the Works to be performed under any of the Contract
documents which may be made between the Purchaser and the Contractor shall not in
any way release us from any liability under this guarantee, and we hereby waive notice
