On Saturday, April 17, 2010, Historic Macon Foundation is sponsoring an exciting new event to showcase businesses that serve Macon and Middle Georgia that are involved in the “green” conservation movement. Historic Macon is the award winning leader in the historic preservation movement in Middle Georgia. Since 1975 Historic Macon has reached out to Middle Georgians with the message that Preservation Is Conservation. Now, with sponsorship and support from renowned conservationists like Chuck and Rose Lane Leavell, we are launching a PIC Green Field Day. Because of your commitment to our community, you are being invited to become a vendor/exhibitor for this event. You will be identified as a recognized leader in the green movement. April 17, 2010 Vendor Contract Information and Conditions ____________________________________________(Please print clearly). "Vendor" hereby acknowledges having read the Vendor Information and Conditions below and agrees to follow and abide by these stated policies and terms at the 2010 Historic Macon PIC Green Field Day to be held in Macon, Georgia on April 17, 2010. 1. This application shall constitute a valid and binding contract between the Vendor and Historic Macon Foundation "HMF". Applications are considered on a first-come. first-served basis, based upon receipt of this signed contract and payment in full. Table assignments are made after receipt of payment. Placement/destination location of table is not guaranteed. HMF reserves the right, in its sole discretion, to refuse participation in the Field Day, or to limit the number of tables provided, to any applicant for any or no reason. 2. Vendor gives HMF or its designees permission to use their voice, image or likeness as it appears in any photographic or audio recording in any manner, in all media, in perpetuity. 3. Vendor shall indemnify, defend and hold harmless HMF and its volunteers, event sponsors and their employees, representatives and agents of each from claims, liabilities, costs and charges (including attorneys' fees and costs) for injury, loss or damage to property or persons (including death) arising out of Vendor's activities in connection with the Field Day. 4. Vendor may distribute non-food samples, printed advertising and souvenirs and may display signs and artwork from Vendor's table(s), provided that all distributed or displayed materials shall be subject to HMF approval in its sole discretion. Vendor shall be solely responsible for obtaining, and warrants to HMF that it has obtained, any necessary licenses and permissions to distribute, perform or display any Vendor Material which is protected by copyright, trademark, publicity or misappropriation laws, or any other intellectual property or other laws. 5. Vendor shall pay all sales or other taxes, fees and assessments required by any applicable federal, state or local law in connection with Vendor's participation in the Field Day. Vendor shall indemnify, defend and hold HMF harmless for any taxes (including fees and penalties, if any) required to be paid by HMF in connection with Vendor's activities under this contract. 6. Failure to adhere to any deadlines set forth in this agreement may result in forfeiture of related benefits. 7. Table rental fees are non-refundable.
