BUYER NON DISCLOSURE / NON CIRCUMVENTION AGREEMENT

and or Corporation to be formed herein known as Prospect acknowledges and agrees that
United Realty Group Inc. (Transaction Broker), Rudy Singh was the first to advise Prospect of the availability of, and details
concerning the following business for sale.
Property/Business Description.
GAS STATION/FOOD MART with REAL ESTATE. BizBuySell Ad # 1061977
1.
Prospect understands and agrees that all dealings concerning said Business Opportunity/Real Estate will be
handled through TRANSACTION BROKER who has entered into an agreement for payment of a Commission
with the Seller or Seller’s Broker.
2.
That the Prospect will not in any way whatsoever, CIRCUMVENT the Transaction Broker with respect to the
transaction in which the Parties enter or discuss that involves Seller of business/property that the Transaction
Broker has introduced. That in the event of CIRCUMVENTION by the Prospect, directly or indirectly, the
Transaction Broker shall be entitled to a legal monetary compensation, plus any and all expenses, including
legal fees, which would involve the recovery of these funds.

Prospect agrees that information received with respect to the above mentioned Business/Real Estate
will be kept in strict confidence, and that Prospect shall not disclose this information to any person,
excluding those parties involved in the transaction itself. Prospects sole purpose in seeking information
is for a purchase and shall not be used for any other purpose.
4.
All Participation Fees and / or Commissions will be paid by the Seller and to be disbursed at closing by
Attorney/Closing Agent or Title Company.
5.
All data provided is for information purposes only. No representation is made by Transaction broker
as to the accuracy provided. Prospect is advised to seek independent counsel of an Attorney and/or an
Accountant. Prospect is also advised to get all necessary inspections.
6.
ANY INSPECTION OF THE ABOVE BUSINESS/PROPERTY BY PROSPECT MUST BE APPROVED
FIRST BY SELLER. PROSPECT MUST BE ACCOMPANIED BY REALTOR AND NOT SPEAK TO
EMPLOYEES OR MANAGER.
7.
This agreement shall be construed under and enforced in the laws of the State of Florida and
the signing parties hereby accept jurisdiction as the exclusive venue. The duration of this
agreement shall perpetuate for twenty four (24) months from the date hereof.
