MEMBERSHIP AGREEMENT
This MEMBERSHIP AGREEMENT (“AGREEMENT”) is made and entered into at Hyderabad on dated
________ by and between “HarNeedi” a division of M/s. VNS Makro Technologies Pvt.Ltd., a company
incorporated under companies act 1956, having its registered office at #1-65/2/256, Makro Towers, Kavuri
Hills, Madhapur, Hyderabad-500033 (hereinafter referred to as “HarNeedi”, which expression shall, unless
repugnant to the context or meaning thereof, mean and include its successors and assigns) of the FIRST
PART;
AND
___________________________ a company incorporated under the Indian companies act, 1956 having its
registered address_______________________________________(hereinafter referred to as ‘Member’,
which expression shall, unless repugnant to the context or meaning thereof, mean and include its
successors and permitted assigns) of the SECOND PART.
(HarNeedi and member hereinafter collectively referred to as “the Parties” and severally as “Party”)
WHEREAS HarNeedi is in the business of e-recruitment / resource providing and has ownership and
exclusive rights for its website www.harneedi.com;
WHEREAS Member is in the business_______________ and desirous of taking membership from HarNeedi
for the purpose of gaining access to HarNeedi on the terms agreed and contained herein;
NOW, THEREFORE, IN CONSIDERATION OF MUTUAL COVENANTS AND PROMISES, AGREEMENT
HEREINAFTER SET FORTH, THE PARTIES HEREBY AGREE AS FOLLOWS:
1) In consideration of the Membership Agreement, the member agrees to pay to HarNeedi the amount
mentioned in Order form, the price is exclusive of any applicable service tax or any other applicable
taxes / tariffs, which taxes/tariffs and shall be paid by the member to HarNeedi in addition to the
price (“Total Price”)
2) Payment Terms: Member shall pay advance payment as per the Order Form. The mode of pay is
either Cheque / Demand Draft / CASH /Credit Card (All payments to be made in favor of “ VNS
Makro Technologies Private Limited”). Services by HarNeedi shall commence after realization of
payment by whatsoever mode.
3) In case of dishonor of Cheque by Member, the services (if any provided at the discretion of
HarNeedi) will be deactivated with immediate effect, and reactivation shall be carried out post
payment of dishonored Cheque amount along with bank charges and any other damages caused to
HarNeedi decided solely by HarNeedi.
4) HarNeedi shall issue an Invoice for the total price of Order Form to the Member after execution of
this Agreement/Order Form and Member shall pay as per the Order Form.
5) The agreement herein shall be valid and effective for 12 months; Incase of expiry, Membership
agreement can be renewed at the option of both the parties with mutual consent and in writing to
that effect for the periods to be mentioned in the renewal agreement.
6) The Member has to post the jobs as per Order Form within the validity period mentioned. The
validity period mentioned in the Order Form may void if the member post the jobs within the period
of validity or on the end date of validity whichever is earlier. Incase of any balance of job postings
with the client after expiry of validity, the client cannot post the same on the site and the Job
postings are expired.

7) General Terms:

HarNeedi shall provide Username and Password to the Member. Member can post jobs
onto the concerned website of HarNeedi once Member receives the Username and
Password.

If necessary or Member feels important to have training on HarNeedi services and products
under this agreement, HarNeedi may arrange for Training to the Members at its sole
discretion.
Member may purchase HarNeedi’s Regular Posting or Premium Posting services at his
discretion and the same shall be mentioned in the relevant Order Form. Harneedi provides
only profiles (Resumes) for required job posting and no candidate selection or interviews will
be conducted on behalf of member.




Subject to the other provisions of this Agreement or any applicable law, HarNeedi will allow
the Member’s Job postings as mentioned above, on the concerned website of HarNeedi,
with each job posting having a validity of 45 days maximum. However Member agrees that
for any Job requirement if HarNeedi provides services/resumes, as per Order Form, within
45 days, the date on which total services/resumes provided/issued is deemed to be final
date for posting of any certain/particular service. The particular date shall be intimated
through electronic mail.
HarNeedi shall endeavor to maintain its website in a fully operating condition and error free,
except for unavailability and errors which may result from (a) insufficient or inadequate
customer bandwidth or technology (b) general internet brown-outs and slowdowns,(c) bringdowns in the ordinary course that are necessary to maintain, update or refresh
HarNeedi.com or any other applicable relevant website,(d) any “hacking” or “denial of
service” activity by a third party and (e) any other reason beyond HarNeedi’s reasonable
control.
By signing this agreement herein Member is agreeing and binding itself to the Terms and
Conditions of Use of Harneedi web site.
Liability: HarNeedi’s liability to any cause of action or damages or claims shall be limited to the amount
mentioned in the Order Form related to the agreement. HarNeedi is not liable for indirect, special, incidental
or consequential damages.
Any ambiguity arising out of Agreement herein or Order Form the clauses shall be interpreted in harmony
and shall be resolved accordingly.
Governing law: The terms of the agreement herein and any breach of any of the clauses of this agreement
or dispute arising in or out of this agreement shall be governed by laws of India and shall be adjudicated by
competent Honorable Courts of Hyderabad, India.
