Hampshire Cultural Trust is a new and dynamic charitable business with bold ambition. We champion world-class culture and exist to showcase, connect and empower Hampshire’s creative economy. From Saturday 1st November 2014, we took over the operation and funding of Hampshire’s council-owned museums, galleries and arts centres in order to boost the county’s cultural offering and make Hampshire a world-class destination for arts and culture. The county has so much to offer culturally, both to residents and visitors. Our aim is to build upon the fantastic success of what is already on our doorstep and elevate our portfolio into something world-class that has the power to transform local people’s lives. Simultaneously, we will use our independence to create an enterprising business culture that generates funding through commercial endeavour and philanthropy, so we help local councils save their funding for other public services, including adult social care and children’s services. We are now looking to appoint 5 additional high calibre trustees to join our Founding Board and add the vital capacity and expertise we need to deliver a vibrant future for culture in Hampshire. Statutory Duties as a Trustee & Director of the Board i. To ensure that the charity complies with its governing document, with charity and company law, and with any other relevant legislation or regulations ii. To ensure that the charity pursues its objects as defined in its governing document iii. To ensure that the charity uses its financial and other resources exclusively in pursuance of its objects iv. To contribute actively to the Board of Trustees’ role in giving clear strategic direction to the charity, defining overall policy, setting goals and targets, and evaluating performance against these targets v. To safeguard at all times the good name, and to represent the values, of the charity vi. To protect and manage the property of the charity, to ensure the proper investment of its funds, and thereby to ensure the financial stability of the charity vii. To lead the Committee in all its aims To plan the cycle of Committee Meetings, to set agendas, and to chair meetings; ensure that recommendations made are taken to the Board for decision To ensure the Committee is functioning effectively as a body To ensure that Committee meetings and decision-making are conducted in an open and transparent manner, with all relevant information being available to trustees and all opinions being fairly heard and respected 5. To lead the company in all its aims To plan the cycle of Board Meetings, to set agendas, and to chair meetings of Directors; ensure that decisions taken are implemented To ensure the Board is functioning effectively as a body To lead and help develop the team of Directors and to motivate them to fulfil their roles and responsibilities To represent the company at meetings of Hampshire Cultural Trust and to ensure a strong working relationship between HCT Trading and HCT To ensure that board meetings and board decision-making are conducted in an open and transparent manner, with all relevant information being available to trustees and all opinions being fairly heard and respected To ensure that reports and accounts are produced annually PERSON SPECIFICATION FOR TRUSTEES Ideal candidates will: i. ii. iii. iv. v. vi. Have strategic vision, good independent judgement and an ability to think creatively Understand and accept the legal duties, responsibilities and liabilities of trusteeship Be able to work effectively as a member of a team Be willing to devote the time necessary to fulfil effectively the above duties as Trustee; experience suggests that this will be at least 10 hours/month Be committed to the values and ethos of the charity Have the leadership skills and experience to chair an HCT committee in the relevant area of expertise, as appropriate Hampshire Cultural Trust is a registered charity in England and Wales (no. 1158583). COMMITMENT OF TRUSTEES Each Trustee serves 4 years with an option to be re-appointed by the Board for a further 4 year term.
