Sponsorship Agreement between [Insert Club/ Society
name] and [Insert Company name]

This is to certify that [Insert Company name] (“The Company”) has agreed to sponsor
[Insert Club/ Society name] (“The Club”) for the University of Kent Academic Year
2015 - 2016].
This contract will be reviewed each academic calendar year, at the end of the
aforementioned sponsorship period a new contract and agreement may be negotiated.
[Insert Club/ Society name] has agreed to:
1.1 Display the [Insert Company name] logo on the Club Kent Union webpage, Club
independent webpage and Facebook page, linking directly to the Company’s careers
page, [Insert address of the careers page].
1.2 To distribute a limited amount [confirm specifics] of promotional materials (flyers and
emails) to Club members detailing company information and upcoming events when
required. General flyering to the whole student body on campus is not permitted.
1.3 Provide information on [Insert Company name] on the Club’s webpages – This will
include information on upcoming events, deadlines and any other information
provided by [Insert Company name].
1.4 Announce details of [Insert Company name] events, workshops and application
deadlines during Club meetings.
1.5 Display [Insert Company name] logos or slogans on all Club emails and
promotions including the [Insert names of specific Club/ Society events].
1.6 Attend the [Insert name of event] inviting Club members to attend.
1.7 Display the Company banner at the [Insert name of event].

[Insert Company name] agrees to:
2.1 Sponsor the Club, paying the sum of [Insert amount to be paid] upon acceptance
of this agreement.
2.2 Make payment/s at the dates indicated in section 6.1 providing that the Sponsor is in
receipt of a correctly drawn invoice from Kent Union.
2.3 Provide merchandising for events such as the Freshers’ Fayre, and other events, as
required and agreed with the Kent Union’s Business Development Manager. [Insert
Company name] agrees to submit all material, content, advertising, promotions or
products to the Club in advance for their approval. Such approval will not be
unreasonably withheld by the Club.
2.4 Supply details regarding work experience and graduate application deadlines.
2.5 Supply electronic templates of the Company’s logo and brand guidelines if required.
2.6 Supply information in the form of text for the Club’s web/ social media pages.
Warranties:
3.1 The Club warrants:
That the (The Club) shall act in good faith towards the Sponsor.

That the (The Club) will cooperate with the Sponsor’s publicity team in the
production of any pre-Event, Event and post-Event publicity material.

That all publicity material incorporating the logo shall be supplied to the Sponsor
for written approval prior to publication.
3.2 The Company warrants:
That it shall cooperate in a timely manner in the proof reading and approval
process for all publicity material in which the company’s logo is to be used.
Liabilities and Exclusions:
4.1
The liability of the parties:
For death or personal injury caused by negligence

For fraudulent misrepresentation

Under section 2 and 7 of the Supply of Goods and Services Act 1982 is not limited
or excluded.

4.2
Neither party shall be liable for damage or loss of profits, anticipated savings,
goodwill, business or contracts or for any inconvenience, however caused, or any
indirect or consequential loss or damage however caused, arising out of or in
connection with this Agreement.
4.3
In all other cases the liability of each party shall not exceed in the aggregate, a
sum equivalent to any amounts inclusive of VAT paid in respect of Sponsorship
Consideration.
Publicity:
5.1
All publicity and marketing materials shall be designed by the [Insert name of
Club] and produced at the [Insert name of Club] sole cost unless otherwise
agreed.
5.2
The licence given by the Sponsor to the [Insert name of Club] in relation to the
use of the Sponsor’s logo in publicity and marketing materials does not mean
[Insert name of Club] any rights in relation to the Sponsor’s logo.
5.3
Publicity material produced for [Insert names of club/ society events]
including any reference to the Sponsor shall not be published without the
Sponsor’s prior written approval.
5.4
Publicity material produced by the Sponsor that includes the use of the Kent
Union or GK Unions logo must have written confirmation from the Kent Union
marketing department.
Use of the University of Kent is not permitted within this agreement.
Sponsorship agreement:
6.1
The period of sponsorship shall commence on (dd/mm/yyyy) and continue
through to (dd/mm/yyyy). Payment should be made within 30 days of invoice.
6.2
No money is to be given directly to students under any circumstances; it must be
paid to Kent Union either by BACs, cheque/cash at Mandela Reception or by
Credit/ Debit card on receipt of a Kent Union invoice re section 2.2.
