Proposed Amendments to the By-Laws of the East Coast Trail Association
1. Section V. 8 is deleted and substituted with the following:
“8. The Chairperson of the Association shall act as Chair of every meeting of the Board, the
Annual General Meeting and every Special Meeting. In the absence of the Chairperson, the ViceChairperson shall act as Chair. In the absence of the Vice-Chairperson the Board shall appoint a
Director to be Chair.”
2. Section VII. 3 is deleted and substituted with the following:
“3. The Executive Officers of the Board of Directors shall be the President, Vice-Presidents,
Secretary, the immediate Past-President and the Chairperson, who shall be non-voting.”
3. Section VII. 16 is deleted and substituted with the following:
“16. Meetings of the Directors shall be called by the Chairperson, or in the absence of the
Chairperson by the Vice-Chairperson, or at the written request of at least three Directors. At
least five days notice shall be given to the Directors of the time and place of the meeting.”
4. The Title of Section VIII is deleted and substituted with the following:
“The President and Chairperson”
5. Section VIII. 2 is deleted and substituted with the following:
“2. The Chairperson shall prepare the Agenda and preside at all of the meetings of the Board,
the Annual General Meeting and every Special Meeting.
6. Section IX is deleted and substituted with the following:
“The Vice-Presidents and Vice-Chair
1. In the absence of the President or his/her ability to act for any cause, a Vice-President
appointed by the Board shall discharge the duties of the President.
2. In the absence of the Chairperson or his/her ability to act for any cause, the ViceChairperson shall discharge the duties of the Chairperson.”
7. Sections XIV 1 and 3 are deleted and substituted with the following:
“1. The election of Directors shall be held at the Annual General Meeting. Only members in good
standing may vote.
3. The Board shall elect at its first meeting following the Annual General Meeting an Executive
consisting of the President, Vice-Presidents, Chairperson, Vice-Chairperson, and Secretary.”
8. Section X is amended by deleting the word “Treasurer’ wherever it appears and substituting it
with the words “Vice-President, Finance and Administration.”
