I. Project Statement and Background
A. General Description
The Daniel Boone Regional Library Board of Trustees (DBRL) requests
proposals from qualified individuals or vendors to provide a decorative wrap
for the bookmobile located at the Columbia Public Library (CPL) 100 W.
Broadway, Columbia, Missouri, 65203.
The vendor will work in consultation and through the guidance of Mitzi St
John, Public Relations Manager.
B. Specifications
Vendor shall supply a design template for an OBS Concept 2000 rear engine
bookmobile – 2001 Bluebird AARE 4000 with a Bluebird chassis. The
successful Vendor will need to consult with DBRL’s design staff during
preparation of final artwork to make sure that the preliminary wrap design,
provided by DBRL staff in Attachment A, translates appropriately for use on
the vehicle and that it meets the vendor’s production requirements.
Successful Vendor will be required to provide color proof for approval. Once
proof is approved, the successful Vendor shall print a full-color high
performance cast vinyl wrap that Vendor will apply and laminate. Wrap will
cover all vehicle surfaces except top, front windshield, 2 side windows and
two windows in the patron entrance door. A window perf application will need
to be applied on the back and third side windows.

A line drawing of the vehicle is included, see Attachment B.
Vendor also needs to prepare surface of current bookmobile for the wrap
application, including washing the exterior. The current image design is
painted on the bookmobile. See Attachment C that details the painted on
images.
The successful vendor will enable DBRL staff to view a portion of the vehicle
wrap application in progress for approval. This can be done via webcam or
other method.
The first available date the bookmobile would be available for the wrap
application is July 29, 2013. The successful vendor will need to plan to
complete installation of the wrap as close to this date as possible.
II. INSTRUCTIONS AND GENERAL CONDITIONS OF BIDDING
A. Bid Documents
1. Copies
Bidders may obtain complete sets of the Bidding
Documents at the Columbia Public Library Administration Office
100 W. Broadway Columbia, MO 65203 or at our website
www.dbrl.org/rfp. Bidders shall use complete sets of Bidding
Documents in preparing Bids; DBRL assumes no responsibility for
errors or misinterpretations resulting from the use of incomplete
sets of Bidding Documents. DBRL or DBRL’s designee may make
copies of the Bidding Documents available for the purpose of
obtaining Bids on the Work. No license or grant of use is conferred
by issuance of copies of the Bidding Documents.
2. Interpretation or Correction of Bidding Documents The Bidder
shall carefully study and compare the Bidding Documents with each
other and shall at once report to DBRL staff errors, inconsistencies
or ambiguities discovered. Interpretations, corrections and changes
of the Bidding Documents will be made by Addendum.
Interpretations, corrections and changes of the Bidding Documents
made in any other way will not be binding, and Bidders shall not
rely upon them.
3. Substitutions The materials, products, and equipment described in
the Bidding Documents establish a standard of required function,
dimension, appearance, and quality to be met by any proposed
substitution. No substitutions will be considered prior to receipt of
Bids unless written request for approval has been received by
DBRL no later than April 19, 2013. Such requests shall include the
name of materials, equipment for which it is to be substituted and a
complete description of the proposed substitution including
drawings, performance, and test data, and other information
necessary for an evaluation. A statement setting forth changes in
other materials, equipment or other portions of the Work shall be
included. The burden of proof of the merit of the proposed

substitution is upon the proposer. DBRL’s decision of approval or
disapproval of a proposed substitution shall be final. If DBRL
approves a proposed substitution prior to receipt of Bids, such
approval will be set forth in an Addendum. Bidders should not rely
on approvals made any other manner. No substitutions will be
considered after the Contract award unless specifically provided for
in the Contract Documents or through an accepted change order.
4. Addenda Addenda will be transmitted to all who are known by
DBRL to have received a complete set of Bidding Documents and
posted on our website at www.dbrl.org/rfp. Copies of Addenda will
be made available for inspection whenever Bidding Documents are
on file for that purpose. Addenda will be issued no later than three
(3) working days prior to the date for receipt of Bids except an
Addendum withdrawing the request for Bids or notice which
includes postponement of the date of receipt of Bids. Each Bidder
shall ascertain prior to submitting a Bid that the Bidder has received
all Addenda issued, and the Bidder shall acknowledge their receipt
in the Bid.
B. Proposal Submittal Requirements
1. A completed and signed Bid Form, a copy of which is
attached hereto, and which includes the name, title and
telephone number of the person authorized to discuss the
Bid, and all other information requested by the Bid Form and
this RFP, must be submitted as a Response to this RFP in
the manner specified in this Instructions and General
Condition of Bidding and any possible amendments issued
to this documents. Only complete Bids that are submitted in
the form, quantity and procedure established within the
Response Documents will be considered. Bidders must use
the Bid Forms provided for the purpose of submitting Bids.
Any Bid must give, where appropriate, unit prices, and
extended totals. All blanks on the Bid Form shall be legibly
executed in a non-erasable medium. In case of discrepancy,
the amount written in words shall govern. Interlineations,
alterations and erasures must be initialed by the signer of
the Bid. The Bid must be signed by a duly authorized
representative of the Bidder, legally authorized to bind the
Bidder.
2. Bid sums shall be expressed in both words and figures. In
case of discrepancy, the amount written in words shall
govern.
3. References: The names of three (3) firm(s) and the contact
person(s) and telephone number therewith, who may be
contacted concerning the reliance and reputation of the
Bidder and the reliance and performance of the Goods or

Services to be supplied by the Bidder.
4. Samples: Either include images of past bus wraps or direct
DBRL to where samples can be viewed. Listing projects
you’ve done in Mid-Missouri also helpful, but not mandatory.
5. Each copy of the Bid shall state the legal name of the Bidder
and the nature of legal form (Corporation, Partnership, Sole
Proprietor, etc.) of the Bidder. A Bid by a corporation shall
further give the state of incorporation and have the corporate
seal affixed.
6. MARK THE RETURN ENVELOPE, which contains the Bid
as follows:

If you do not care to Bid, please return the bid sheets and
note your reasons for declining to Bid. Mail completed bid
form to the above address.
7. Vendor shall provide a list of all Subcontractors who will be
used on the project. The list of subcontractors shall be
provided to DBRL or DBRL’s designee as expeditiously as
possible. No payments will be made until the subcontractor’s
list has been received.
C. Performance Bonds
The Bidder shall include the cost of a
performance bond in their bid and the successful Bidder shall deliver
the performance bond to DBRL staff no later than three (3) days
following the date of execution of the Contract. If the Work is to be
commenced prior to the execution of the Bond, then the Bidder will
need to furnish a letter of intent prior to commencement of the Work.
The letter of intent should detail satisfactory evidence that such bonds
will be furnished and delivered. The Bond shall be dated on or after the
Contract date. If the bond is executed by an attorney, then we will
require the surety to affix thereto a certified and current copy of the
power of attorney.
D. Proposal and Project Schedule:
The following is a schedule of events anticipated by the Library for the
proposal process, award of contract, and planning and implementation
of the project. The Library may, at its discretion, revise the schedule of
events at any time as may be necessary.

Vendor can submit a request for a site visit by 4/10/13; a date will be
scheduled between 4/17-4/23/13. No site visits will be scheduled after
this date. Addenda will be sent to all bidders after the site visit, if any.
An informal bid opening will be held at 3:00 p.m. on April 30, 2013 in
the Young Room at the Columbia Public Library, 100 West Broadway
Columbia, MO 65203. Attendance at the bid opening is not required.
No decision will be made at this opening.
A summary of the proposals received will be available upon written
request after 5/17/13.
DBRL reserves the right to request any additional information after bid
opening.
E. Withdrawal Vendor may withdraw their Response at any time prior to
the scheduled closing time for receipt of Response, but no Vendor may
withdraw his Response after the scheduled closing time for receipt of
Responses unless agreed to by the Director or the Director’s designee
in writing. The request to withdraw may be made in person, in writing,
or by telephone. Withdrawal request submitted by telephone must be
confirmed in writing.
F. Validity of Responses Responses shall remain valid for acceptance
by DBRL for a period of not less than ninety (90) days from the
Response due date and if it is accepted within that time period it shall
be binding upon the Vendor. All proposals will state that the offer
contained therein is valid for ninety (90) days from the date of the
opening of the Responses.
G. Proposal Evaluation and Selection
An evaluation of the Responses/Bids, will proceed, based on the
criteria given below.

All responses to this RFP must be clear, certain and unambiguous,
and must be such as may be fully and clearly understood, without
additional explanation or information. DBRL reserves the right to select
the most responsive and responsible bid that best meets DBRL’s
requirements. Cost will be a primary consideration, but Responses will
be evaluated on all criteria contained in this RFP.
DBRL has the right to reject any or all Responses, waive or not waive
any informality in any Response, to re-advertise the award of the
contract or cancel the RFP in its entirety, to establish pre-determined
pre-qualifications, negotiate with the Vendor that DBRL views as
having the Response that best meets the needs and interests of the
Daniel Boone Regional Library. Responses may be rejected where
they are incomplete or improperly executed. Contracts shall be
awarded to the lowest responsible Vendor or to any other Vendor
DBRL determines will best serve the interests of the Daniel Boone
Regional Library.
H. Contract Process
The final evaluation and selection of the submitted Response shall rest
solely with the Daniel Boone Regional Library staff.
The Contract between DBRL and the successful Bidder shall consist
of:
1.
This RFP and any amendments to this RFP;
2.
The Response or Bids submitted by the Bidder in Response to
the RFP;
3.
Any acceptance of such Response submitted by DBRL to the
successful Bidder or, alternatively, any written contract or
agreement entered into by DBRL and the successful Bidder.
All such documents shall be read together, collectively, and shall
constitute the Contract between DBRL and the successful Bidder.
In the event of a conflict in language between the documents
referenced above, the provisions and requirements set forth and/or
referenced in the contract will govern over all other documents.
The DBRL reserves the right to clarify any contractual relationship
in writing with the concurrence of the Vendor, and such written
clarification will govern in case of conflict with the applicable
requirements stated in the Bid Documents or the Vendor's
Response. In all other matters not affected by the written
clarification, if any, the Bid Documents will govern. The Vendor is
cautioned that their Response will be subject to acceptance without
further clarification. Unless otherwise agreed to in a subsequent
agreement or contract, this RFP and any subsequent contract shall

be governed under the laws of the State of Missouri, and venue for
any legal actions shall be Boone County, Missouri.
I. Termination by DBRL: DBRL reserves the right to terminate any
purchase order, Letter of Authorization, agreement or contract by
giving at least five (5) days prior written notice to the Vendor
without prejudice to any other rights or remedies of the Library
should the Vendor be adjudged as bankrupt, or if Vendor should
make a general assignment for the benefit of its creditors, or if a
receiver should be appointed for Vendor or for any of its property,
or if Vendor should not supply services as agreed, or persistently
disregard instructions of the Library or fails to observe or perform
any provision of the contract.
Upon receipt of written notice from DBRL of such termination for
DBRL’s convenience, the Vendor shall:

Cease operations as directed by DBRL in the notice
Take actions necessary, or that DBRL may direct, for the
protection and preservation of the work, and
Except for Work directed to be performed prior to the
effective date of termination stated in the notice, terminate
all existing subcontracts and purchase orders and enter
into no further subcontracts and purchase orders.
J. Commencement of Work: DBRL will not be responsible for
payment of any work or materials supplied by the successful Vendor
before full execution of a contract between the Vendor and DBRL.
The services of the Vendor will commence only as authorized in
writing by DBRL and will be undertaken and completed as promised
by the Vendor in its Response.
K. Tax Do not include Federal Excise Tax or state or local Sales or Use
Taxes in Bid prices as DBRL is exempt from such taxes by law. As
such, it is authorized to issue to the Vendor a "Project Exemption
Certificate" pursuant to Section 144.062 RSMo (the Revised Statutes
of Missouri). The Vendor shall furnish such certificate to all of its
suppliers, and to any Vendors, as an authorization to purchase, on
behalf of DBRL, all materials and other tangible personal property to
be incorporated into, or to be consumed in the Project. All such
suppliers and Vendors, and their suppliers, shall issue invoices, which
must comply with the provisions of Section 144.062 RSMo and must
bear the name of the Board of Trustees of the Daniel Boone Regional
Library District and the Project identification number. If the Vendor
complies with the provisions of Section 144.062 RSMo, then all
purchases of materials, and supplies, and other tangible personal
property incorporated into or used in the Project, or consumed in the
performance of same (including materials, and supplies and tangible

personal property provided for the work of the Vendor) will be exempt
from sales taxes of the state of Missouri and of any local governmental
entity. However, strict compliance by the Vendor with Section 144.062
RSMo is required. DBRL’s obligation shall be to provide Vendor with
the Missouri Project Exemption Certificate required by Section 144.062
RSMo, in the form, and with the contents, required by the Missouri
Department of Revenue, which DBRL will do following execution of the
contract. Vendor’s obligation shall be to otherwise comply with the
provisions of Section 144.062 RSMo. If DBRL and Vendor comply with
such Section, then materials, supplies and other tangible personal
property purchased by the Vendor or its Vendors for incorporation into
the Project or to be consumed in pursuit of the work, will be exempt
from Sales Taxes.
L. Conflict of Interest Under Section 171.181 of the Revised
Statutes of the State of Missouri, no Board Member, officer or
employee of DBRL, or any of its affiliated library districts is permitted to
sell or provide any of the materials, articles, items or services
described within this RFP. The Bidder covenants that the Bidder
presently has no interest and shall not acquire or employ anyone with
any interest, directly or indirectly, which would conflict in any manner or
degree with the performance of the obligations and services under this
Request for Proposals.
N. Public Record All information received from prospective brokers will
be deemed public records and presumed to be open. If the prospective
broker submits with the Response any information claimed to be
exempt under the Revised Statutes of Missouri (RSMo) Chapter 610
then this information must be placed in a separate envelope and
marked as follows:
“This data shall not be disclosed outside DBRL, or be duplicated, used,
or disclosed in whole or in part for any purpose other than to evaluate
the Response; however, if a contract is awarded to this vendor as a
result of or in connection with the submission of such information,
DBRL shall have the right to duplicate, use or disclose this information
to the extent provided in the contract. This restriction does not limit
DBRL’s right to use information contained herein if it is obtained from
another source."
O. Personnel and Substitutions The Vendor will secure at the Vendor’s
own expense all personnel required to perform the services called for
under this contract. Such personnel will not be employees of or have
any contractual relationship with the Library except as employees of
the Vendor. All of the services required hereunder will be performed by
the Vendor or under Vendor’s direct supervision and all personnel
engaged in the work will be fully qualified and will be authorized under
state and local law to perform such services. None of the work or

services covered by this contract will be subcontracted without the
written consent of the Library.
P. Indemnification: To the fullest extent permitted by law, the Vendor
agrees to save and indemnify and hold harmless DBRL and its
affiliate(s), and its (and each of their) administrators, Board members,
employees, staff, agents, and servants and insurers from and against
any and all claims, demands, damages, losses, penalties, fines and
expenses (including but not limited to attorneys’ fees and expenses,
including those incurred in enforcing this provision) to the extent same
arise, in whole or in part, or result, in whole or in part, from the
performance of this Agreement or the work by Vendor, or those
employed by it, or acting on Vendor's behalf, or a failure of
performance of Vendor's obligations provided for by the Contract
Documents, and from any claim, damage, loss or expense (including
but not limited to attorneys’ fees) which (1) is attributable to bodily
injury, sickness or disease, or death or injury to or destruction of
tangible property, including loss of use thereof, and (2) is caused, in
whole or in part by any negligent or intentional act or omission of such
Vendor, or anyone directly or indirectly employed by such Vendor or
by anyone for whose acts Vendor may be liable, regardless of
whether it is caused in part by a party indemnified hereunder.
1. In no event will DBRL be liable to the Vendor for special,
indirect, or consequential damages, except those caused by the
Library’s gross negligence or willful or wanton misconduct
arising out of or in any way connected with a breach of this
contract. The maximum liability of the Library will be limited to
the amount of money to be paid by DBRL under this contract.
2. The Vendor assumes full responsibility for relations with Vendor,
and will defend, indemnify and hold harmless DBRL from and
against any and all liability, suits, claims, damages, costs
(including attorneys’ fees), losses, outlays, and expenses in any
manner caused by, arising out of, or connected with this
Contract, notwithstanding any possible negligence (whether
sole, concurrent, or otherwise) on the part of the Library, its
agents or employees.
Q. Equal Opportunity: The Vendor and the Vendor’s subcontractors
shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin.
The Vendor shall take affirmative action to insure that applicants are
employed, and that employees are treated during employment without
regard to their race, religion, color, sex, sexual orientation or national
origin. Such action shall include, but not be limited to, the following:
employment, upgrading, demotion or transfer; recruitment or
recruitment advertising; layoff or termination; rates of pay or other

forms of compensation; and selection for training, including
apprenticeship. The Vendor agrees to post in conspicuous places,
available to employees and applicants for employment, notices setting
forth the policies of non-discrimination.
R. Drug-Free Workplace: Any vendor contracting with DBRL must
follow DBRL’s Substance Abuse policy 1-241 to conform to the DrugFree Workplace Act of 1988. Copies of the policy can be provided
upon request.
S. Insurance: The successful Vendor agrees to obtain and maintain
throughout the term of the contract, the minimum insurance coverage
listed below, and include DBRL as an additional insured under the
policies. The required insurance must be written by a company
licensed to do business in Missouri at the time the policy is issued and
in effect. If requested by DBRL staff, the Vendor will furnish DBRL,
prior to beginning the work, satisfactory proof of coverage of all the
insurance required by this contract, with the provision that policies will
not be cancelled, modified, or non-renewed without thirty (30) days
written notice to DBRL. Neither party will be responsible for personal
injury or property damage or loss except that resulting from its own
negligence or the negligence of those within its control or employ.
i. Commercial General Liability Coverage Insurance coverage
adequate to protect the vendor and any subcontractor
performing work covered by this contract from claims for
damages for personal injury, bodily injury (including wrongful
death), and from claims for property damage which may arise
from the operation under the contract. The coverage must
provide protection for all operations by the Vendor or any
Subcontractor or by anyone directly employed by either of them.
ii. Comprehensive Automobile Liability Coverage Insurance
adequate to include coverage for all owned, hired, and nonowned vehicles. The coverage must include protection of the
vendor and any subcontractor or by anyone directly or indirectly
employed by either of them. The coverage must provide
protection for all operations by the Vendor or any Subcontractor
or by anyone directly employed by either of them.
iii. Workman’s Compensation Insurance, whether or not required
by law. The amount of the workman’s compensation should be
in the amount required by statute for all employees to be
engaged in the work of this contract ($500,000). Workers
Compensation Insurance for all the Vendor’s employees at the
site of the project, and in case any work is sublet, the Vendor
shall require any subcontractor similarly to provide Worker’s
Compensation Insurance for all of the latter’s employees, unless
such employees are covered by the protection afforded by the
Vendor. This coverage shall comply in all material respects with

the requirements of the Statutes of the State of Missouri.
iv. Property Damage Insurance containing replacement value
coverage.
The Vendor shall require any Subcontractors to provide and as
required maintain any and all insurance as required.
T. [If the goods and services are expected to be over $25,000 this clause
will apply] Domestic Content Policy. Any manufactured goods or
commodities used or supplied in the performance of this contract or
any subcontract thereto, shall be manufactured or produced in the
United States unless exceptions of Section 34.353 RSMo can be met.
U. Work Authorization Program Any vendor, firm, contractor, etc.
contracting with DBRL for services equal to or more than Five
Thousand Dollars ($5,000) will be required to affirm by sworn affidavit
that it has enrolled and participates in a federal work authorization
program with respect to the employees working in connection with the
contracted services and the company does not knowingly employ any
person who is an unauthorized alien in connection with the contracted
services.
V. Lien Waivers The Vendor shall assure that no mechanic’s liens are
asserted against the property as a result of any work performed,
material furnished, or improvements made to the property so long as
the DBRL pays the sums required to be paid to the vendor pursuant to
the contract. The Vendor shall pay in full all subcontractors, material
suppliers and laborers in a prompt and timely manner. The Vendor
shall in return receive from all Subcontractors, Material Suppliers and
Laborers mechanic’s lien waivers. Final payment will not be made to
the Vendor until all mechanic’s lien waivers have been delivered to
DBRL.
Z. Payment
1. Two payments will be made. One fifty (50%) percent deposit will be
made and the remainder will be paid at the completion of the work.
2. Payment may be withheld or nullified in whole or part to such extent
as may be necessary to protect DBRL from loss on account of:
a. Failure to properly submit material certifications and substantiating
test reports required by the plans and specifications.
b. Defective work not remedied.
c. Failure of Vendor to properly make payment to suppliers or
subcontractors for material and/or labor.
d. A reasonable doubt that the contract can be completed for the
balance then unpaid.
e. Damage to another Vendor.

f.
Failure to submit required paperwork such as the workers
eligibility affidavit, prevailing wage affidavit, certified payrolls, etc.
AA. Changes in the Work Changes in the Work may be accomplished after
execution of the Contract, without invalidating the Contract, by Change
Order. A Change Order is a written instrument prepared by DBRL staff
and signed by DBRL Director, Vendor and others as required by DBRL
stating their agreement of the following:
1. change in the Work;
2. the amount of the adjustment, if any, in the Contract Sum; and
3. the extent of the adjustment, if any, to the Contract Time.
The adjustment shall be based on one of the following methods:
1.mutual acceptance of a lump sum properly itemized and supported
by sufficient substantiating data to permit evaluation;
2. unit prices stated in the Contract Document or subsequently agreed
upon; or
3. cost to be determined on a time and materials basis quoting a cost
not to exceed.
BB. Inspection and Supervision
DBRL, DBRL’s designee, representatives of the City of Columbia, Public
Works and Water & Light Departments, representatives from Boone
County, representatives of the Missouri Department of Natural
Resources, and other authorities with jurisdiction shall at all times have
access to the work. DBRL may be represented on the site by DBRL’s
Representative, Architect and/or an Engineer whose duty it will be to
observe the work for compliance with the plans and specifications.
EE. Clean Up
Upon completion of the work and before final approval, all trash, debris
and other material created as a result of construction will be removed
from the site.
JJ. Guarantee/Warranty The Vendor guarantees all work performed under
this contract against defects in material and workmanship for a period of
two (2) years from the data of substantial completion. This statement
does not limit any special warranties or guarantees provided by
manufacturers, suppliers or other on installations, equipment, material or
supplies.
KK. Record Retention The Vendor and all Subcontractors shall retain all
project related records for three years after final payment(s) and all other
pending matters are closed.
LL. Protection of Property: The vendor shall provide any and all barricades,

The undersigned, having received the above-referenced RFP from DBRL
and having examined and being fully familiar with the said RFP, and addenda
thereto, and modifications thereof, and having examined the specifications for
the Goods and Services, and fully understanding the extent and character of
Goods and Services to be furnished to DBRL, as described in the said RFP,
