By-Law relating to Proxy designation:
A Member entitled to vote at a General Meeting may vote by proxy, provided however that the proxy,
which may only be given to a Senior Member or Associate Member in good standing, is given in
writing signed by such Member and in such form as the Executive may from time to time approve or
require. No such Senior or Associate Member may hold or vote more than four (4) proxies either singly
or in combination with a related Senior or Associate Member and should any such Senior or Associate
Member attempt to vote more than four (4) proxies, he or she shall not be entitled to vote any proxies
held by him or her at the relevant meeting. Proxies shall be deposited with a Director prior to the
General Meeting and the Senior or Associate Member holding proxies shall receive approved ballot forms
for each of the proxies not in excess of the permitted four (4).
EACH DEBENTURE MUST SUBMIT 2 PROXIES (ONE FOR EACH ELIGIBLE VOTE).
