CALL TO ORDER
The meeting was called to order by Mr. Samaniego at 5:30 p.m.

Ms. Smith called for a moment of silence followed by the Pledge of Allegiance.
Mr. Samaniego called for a motion to adopt the meeting’s agenda. Ms. Smith moved to approve the agenda
as presented and Ms. Arthur seconded the motion. Upon call to a vote, the motion carried.
VISITOR QUESTIONS AND/OR COMMENTS
Ms. Rosanne Langer addressed the Board to thank them for hiring Dr. David Santellanes as Interim
Superintendent and expressed her optimism for the hiring of Mr. Quintana as Superintendent.

Ms. Smith moved to approve the Consent Agenda as presented and Ms. Arthur seconded the motion. Upon

EXECUTIVE SESSION
Mr. Samaniego stated the Board would now consider convening to executive session and asked Ms. Smith to
recite the reasons for which it would be convened. Ms. Smith stated the Board would consider convening to
executive session for the following purposes:
a. In accordance with A.R.S. § 38-431.03(A)(1) for the purpose of discussion regarding employment,
assignment, appointment, promotion, demotion, dismissal, discipline, salaries or resignation of a public

officer, employee or appointee, specifically regarding the terms of employment of Mr. Joe Quintana as
Superintendent.
b. In accordance with A.R.S § 38-431.03(A)(4) for the purpose of considering its position and to instruct the
attorney for the public body regarding contract negotiations with Mr. Joe Quintana as Superintendent.
c. In accordance with A.R.S. § 38-431.03(A)(3) for the purpose of obtaining legal advice from the attorney for
the public body regarding the contract terms of the proposed form of contract with Mr. Joe Quintana for
Superintendent.
Ms. Smith moved to convene to executive session for the purposes stated and Ms. Arthur seconded the
motion. Upon call to vote, the motion carried, and the Board convened to executive session at 5:38 p.m.
RECONVENE TO PUBLIC SESSION
Ms. Smith moved to adjourn from executive session and reconvene to regular session and Ms. Arthur
seconded the motion. Upon call to a vote, the motion carried and regular session resumed at 6:09 p.m.
ACTION ITEMS
Instruction to
Attorney:
Ms. Wilson moved to vacate item 7.A. Instruction to Attoryney and Ms. Arthur seconded the
motion. Upon call to vote, the motion carried with three votes in favor from Mr. Samaniego,
Ms. Arthur and Ms. Wilson, and one opposed from Ms. Smith.
Approval of
Superintendent’s
Contract:
Ms. Wilson moved to approve the ratification of the Superintendent’s employment contract
as presented for Mr. Joe Quintana and Ms. Arthur seconded the motion. Ms. MacLennan
advised the Board to add wording to the motion that the start date would be Monday, July
26th and salary would be prorated for time worked in the 2010-2011 school year. Ms. Wilson
moved the amend the motion as recommended. Upon call to a vote, the motion carried with
three votes in favor from Mr. Samaniego, Ms. Arthur and Ms. Wilson, and one opposed from
Ms. Smith.
Authorization to
Certify 2009-2010
Cash Balance
Projections:
Dr. Santellanes recommended the Governing Board authorize Dr. Santellanes to certify the
District’s projected cash balances for the 2009-2010 fiscal year. Ms. Smith moved to
approve the recommendation and Ms. Arthur seconded the motion. Upon call to vote, the
motion carried.
SUPERINTENDENT AND BOARD COMMENTS
Dr. Santellanes thanked the Board for the opportunity to serve the District again, noting this is his last Board
meeting. He shared some observations he had made while serving as Interim Superintendent of the last nine
weeks: balance is needed between the focus on academics and on nurturing staff; diversity and disagreement
need to be accepted and embraced; time is needed to implement programs before new one’s are introduced; a
positive approach needs to be applied; actions make leaders, and not titles; differing opinions should focus on
the issue and not be taken personally; a nurturing environment that values people and capitalizes on their
strengths is needed; staff need to be able to feel comfortable coming forward with ideas or opinions without
fear for retribution; everyone needs to be treated fairly and consistently, and favoritism avoided; staff need to

support decisions once they are made, even if they do not agree; and the village must be united in order to
educate the children.
Ms. Smith stated for the record she will support Mr. Quintana despite her negative vote on his employment
contract.
Ms. Wilson welcomed Mr. Quintana and thanked Dr. Santellanes for his service.
Ms. Arthur thanked Dr. Santellanes for his efforts and welcomed Mr. Quintana.
Mr. Samaniego thanked Dr. Smith and her staff for the tremendous job done to conduct the superintendent
search, which had yielded the best of the best.
Mr. Quintana thanked the Board for the kind words and for the honor and privilege of their confidence.
ADJOURNMENT
Ms. Smith moved to adjourn the meeting and Ms. Arthur seconded the motion. Upon call to a vote, the motion
carried and the meeting adjourned at 6:25 p.m.
