SPECIFICATIONS
The University of Northern British Columbia is seeking to purchase microscopes to replace the
current microscopes in four of its laboratories. Each lab has two different microscopes. One
compound microscope and one stereomicroscope equals a set. Lab 8-317 – 12 sets, Lab 8321 – 13 sets, 8-322 – 20set, and 8-325 23 sets for a total of 68 compound microscopes and
68 stereomicroscopes.
Vendor must completely assemble microscopes and ensure they are functioning properly.
Compound Microscopes
The current model that is to be replaced is an Olympus CH2. This microscope has adequately
met the teaching needs with the exception of being able to take pictures of specimens.

Duly authorized officers of the Proponent(s) shall properly execute the Proposal as follows:
If the Proponent is a corporation, the proposal shall be signed in the name and under the seal of the
corporation by a duly authorized officer of the corporation, with the designation of hislher official
capacity, and attested properly. The proposal shall show the place in which the corporation is
chartered.
If the Proponent is an individual, he or she shall sign the proposal in person or by representative and be
witnessed, stating the name or style, if any, under which he or she is doing business. If the signing is
by representative, his or her power of attorney or other authorization shall be stated, and a certified
copy thereof shall be attached to the Proposal.
If the Proponent is a joint venture or partnership, the proposal shall be signed by each of the persons or
firms, which is a party to the joint venture agreement. A certified copy of the joint venture agreement
shall be attached to the Proposal. A joint venture will not be accepted unless the joint venture
agreement or some other signed and legally binding instrument is certified and attached to the
proposal, containing provisions for one of the parties to the joint venture to be in full direction of the
project and to exercise this direction through a single individual, to be appointed Manager of Operations
with the consent of all parties to the joint venture agreement.

SCHEDULE III
DELIVERY

Please provide delivery time of materials to UNBC from point when the purchase order is
issued. Earliest installation could occur between December 7 and December 18, 2015. Then
the next available installations would be February 9 – February 12, 2016 and/or April 12 – July
31, 2016.
All four labs do not need to be replaced at the same time, but all 4 labs need to have the exact
same microscopes. If proponent is including installation as an option in proposal, indicate
below a timeline for installation.

INSTALLATION

If install is part of the proposal installation, please describe what this entails.
At minimum, the Vendor is to completely build and ensure functional, all of the microscopes
ordered.
Is this included in the Proposal? If yes, is it included in the microscope purchase price or is it
included in the labour cost?
These questions can be answered in the Questionnaire that form part of the proposal
submission. See Bonfire Submissions Instructions.
For any work performed by the Vendor on the UNBC campus:
Proof of insurance must be presented at the time the RFP is awarded.
The proponent warrants and represents that it has the following insurance coverage:
General Liability Insurance with a limit of not less than $2,000,000.00 inclusive per
occurrence for bodily injury, (including death) and damage to property including loss of
use thereof. Such insurance shall include coverage for broad form property damage,
contractual liability, completed operations and product liability. The University of
Northern British Columbia shall be named as an additional insured on the policy, but
only with respect to the operations of the vendor in the performance of this contract.
The proponent with whom the University wishes to award warrants and represents that
it shall comply with the relevant Workers’ Compensation Board requirements.
If eligible for Workers Compensation Insurance, the Vendor shall maintain Workers
Compensation coverage and shall at all times pay or cause to be paid any assessment
or contribution required to be paid pursuant to the Workers’ Compensation Act. Said
coverage shall fully cover all employees, employers, partners, proprietors, officers and
directors of Consultant and Sub-contractors involved in any aspects of The Work at the
Place of Work. Prior to Commencement Date, Date of Substantial Performance, the
issuance of the final payment and at any other time during the Agreement, the
University may request the Vendor and Sub-Contractors to provide evidence that all
required assessments and contributions have been paid. If the Vendor and/or Subcontractors fail to do so the University may deduct the amount of assessment or
contribution from any payment due or to become due to Vendor.

The Vendor will at all times be responsible for and will indemnify, defend and save
harmless the University and the members of its board of governors, its officers,
employees,
contractors,
subcontractors
and
agents
(the
“University’s
Representatives”) from all claims, demands, losses, costs (including, without limitation,
legal costs on a solicitor and own client basis, incurred by the University in enforcing or
interpreting the terms of this Agreement, or with respect to any matter which is the
obligation of the Vendor under this Agreement), damages, liens, actions, suits or other
proceedings, including, without limitation, claims arising by reason of any injury to or
death of any person, or damage to any property, including consequential loss, by
whomsoever suffered, made, brought or prosecuted and howsoever caused which are
in any manner based upon, occasioned by, or attributable to this Agreement, or any
action taken or thing done by the Vendor in exercise or purported exercise by the
Vendor of any right arising hereunder, or omitted to be so taken or done or maintained,
or in respect of any matter in connection with or arising out of the Vendor’s operations in
connection herewith unless and to the extent the same is directly caused by the gross
negligence of the University, or by any cause the University would reasonably expect to
be beyond the Vendor’s control, including third party labour disputes or acts of God.

WARRANTY
