mentioned on the website as well as Through Mail or SMS send by the company with the
schemes and others.
Business Associate can have Trading Terminals and will be given only one Associate
code.

Such Business Associates can introduce customers to existing Bigmans Consultant &
Marketing Pvt. Ltd. Branch.
In case introducer joins as employee or Associate with any of the company who is doing
the same business, all future payouts will have to be foregone.
Introducer has to be associated with Bigmans Consultant & Marketing Pvt. Ltd. only he
cannot introduce clients with any of the company who is doing the same business, if it is
found of such practices, them introducer will have to forego all his revenues from such
quarters, and old revenues also could be recovered back.
Business Associates can hand over forms at Bigmans Consultant & Marketing Pvt. Ltd.
branch for processing.

Business Associates cannot use Bigmans Consultant & Marketing Pvt. Ltd. branch
network such as net, telephone etc. They need to have their own network.
G. Deactivation criteria

Business Associates needs to bring in minimum average 20 Trading AOF in a month and
also other products for minimum criteria. If Business Associates is not able to bring in
average 20 forms in a month and other minimum products, then at financial year end such
Business Associates code will be deactivated and such Associate will be deactivated from
further activities including payout.
Any other unlawful/unethical activities noticed from such partner will be deactivated
with immediate effect.

Terms and Conditions
A. Commission on each account successfully opened and necessary processing charges paid by
customer. One time commission will be Rs. 150/- for each account opened.
B. Commission on Account Activation. One time commission will be Rs. 150/- per account for
each account activated.
The commission will be eligible, if activation happens within one month of account opening.
Activation of client here means any one of the below mentioned conditions fulfilled by client.

If client generates a single trade of value Rs 5000/- or more

If client generates cumulative trades of value of Rs 7500/- or more in a month

If client trades in 1 lot of futures

If client pays/receives premium of Rs 5000 in a single trade or Rs 7500/- in a month in

1) Also other revenue will be paid to Business Associates other than mentioned in term sheet.
2) Business Associates shall have Trading terminals and will be given only one outlet code.
3) In case Business Associate joins as employee or Business Associates with any other similar
company doing same business, then all future payouts will have to be foregone. Bigmans
Consultant & Marketing Pvt. Ltd. may recover from Business Associate.
4) If such Business Associate registers as Employee OR Online Associates with Bigmans
Consultant & Marketing Pvt. Ltd. then he may allow to transfer all his clients to the Branch
or Online Associate code.
5) Business Associates cannot use Bigmans Consultant & Marketing Pvt. Ltd. branch
infrastructure such as internet, telephone etc. They need to have their own infrastructure.
6) The appointment of the Business Associates at the sole discretion of Bigmans Consultant &
Marketing Pvt. Ltd.
7) Bigmans Consultant & Marketing Pvt. Ltd. shall have the sole and exclusive discretion
either to accept or reject any of the proposals from the customers approached by the Business
Associate for availing the Products. Such decisions of Bigmans Consultant & Marketing Pvt.
Ltd. shall be final and conclusive.
8) It shall be the duty of the Business Associate to collect all necessary and relevant documents
from customers to whom Bigmans Consultant & Marketing Pvt. Ltd. has either provided
services or agreed to provide services and submit the same to Bigmans Consultant &
Marketing Pvt. Ltd. without any delay on demand.
9) If Business Associate suppresses or fraudulently represents any information to Bigmans
Consultant & Marketing Pvt. Ltd. the Business Associate shall be held liable for the loss
caused to Bigmans Consultant & Marketing Pvt. Ltd. In such case, Bigmans Consultant &
Marketing Pvt. Ltd. may terminate the appointment and take recourse to appropriate legal
proceedings.
10) The Business Associate shall carry out few transactions in cash which will be mentioned by
the company with receipt.
11) The Business Associate shall under any circumstances neither share in part or in full the
commission/fees/charges received from Bigmans Consultant & Marketing Pvt. Ltd. with any
customers nor shall provide any incentive either in cash or kind.
12) The Business Associate shall not launch any promotion scheme pertaining to the Products
without prior written approval from Bigmans Consultant & Marketing Pvt. Ltd.
13) The Business Associate shall not accept any payments from customers or Bigmans
Consultant & Marketing Pvt. Ltd. in its own name or in the name of its employees/associates.
14) The Business Associate shall not provide any financial advise to any customers of Bigmans
Consultant & Marketing Pvt. Ltd.
15) For the services provided by the Business Associate, Bigmans Consultant & Marketing Pvt.
Ltd. will pay such fees/charges as mutually decided between Bigmans Consultant &
Marketing Pvt. Ltd. and Business Associate. Any change in such fees/charges will be
intimated (Via - SMS, Websites, Mails) Bigmans Consultant & Marketing Pvt. Ltd. to the
Business Associate in advance.
16) All payments are subject to deduction of taxes at source as applicable from time to time.
Payments will be made to Business Associate by cheque or direct credit to its bank account
as deemed fit by Bigmans Consultant & Marketing Pvt. Ltd. It shall be the duty of the
Business Associate to intimate Bigmans Consultant & Marketing Pvt. Ltd. of his bank details
for receipt of payment of Fees, in case of change if any as well as provide any mandates as
required by Bigmans Consultant & Marketing Pvt. Ltd. shall not be liable or responsible for
non-receipt of Fees by the Business Associate due to incorrect bank details provided by the
Business Associate. Bigmans Consultant & Marketing Pvt. Ltd. reserves the right to withhold
payment of Fees pending receipt of bank details of the Business Associate. Business
Associate may be required to open an account with a bank designated by Bigmans Consultant
& Marketing Pvt. Ltd. to receive credit of any Fees. Any cancellation and/or reversal of a
transaction by a customer may lead to reversal and subsequent recovery of any fees
payable/paid to Business Associate. Such recovery may be by set off and/or withholding of
fees payable to the Business Associate or other necessary action. Bigmans Consultant &
Marketing Pvt. Ltd. reserves the right to withhold payment of Fees, if any complaints are
received against the Business Associate.
17) The Business Associate shall keep Bigmans Consultant & Marketing Pvt. Ltd.indemnified at
all times against any penalties, claims, demands, costs, charges, expenses and damages that
Bigmans Consultant & Marketing Pvt. Ltd. may incur or be put to by reason of the
appointment of the Business Associate or because of the Business Associate violating or
infringing any law, regulation, or any condition of his appointment or for any third party
action against Bigmans Consultant & Marketing Pvt. Ltd. for reasons attributable at the
Business Associate. For this purpose, the term “Business Associate” includes anyone acting
on his behalf or on his instructions.
18) The Business Associate shall not be entitled to transfer or assign all or any part of his rights
or duties and any such transfer or assignment shall be void.
19) The Business Associate shall not use the name logo or any trade name or
trademark/copyright or Bigmans Consultant & Marketing Pvt. Ltd. without prior written
consent of Bigmans Consultant & Marketing Pvt. Ltd. In the event of the Business Associate
being granted consent to use name logo or trade mark of Bigmans Consultant & Marketing
Pvt. Ltd. pursuant of his appointment, the same shall be on a limited basis as permitted by
Bigmans Consultant & Marketing Pvt. Ltd. in writing and the Business Associate shall not
claim any right, title or interest to the same. Upon termination of his appointment, the
Business Associate shall immediately cease to use and withdraw any such material carrying
the name logo or trade mark of Bigmans Consultant & Marketing Pvt. Ltd. and destroy the
same forwarding the evidence therof to Bigmans Consultant & Marketing Pvt. Ltd. within 5
days of termination of his appointment.
20) All information obtained by the Business Associate during the course of performance of its
duties, whether expressly furnished to it by Bigmans Consultant & Marketing Pvt. Ltd. or
otherwise, relating to Bigmans Consultant & Marketing Pvt. Ltd.’s customers or regarding its
business, shall be treated as strictly confidential and the Business Associate shall not divulge
it except to its own employees strictly in the course of business. Such employee as well as the
Business Associate shall be bound by the provisions of this clause during the duration of the
appointment and even after its termination not to disclose such information except as may be
required by law.
21) The Business Associate shall not make any statement/representation/ warranty/promises or
assurances on behalf of Bigmans Consultant & Marketing Pvt. Ltd. to its customers beyond
what is contained in the brochures or catalogues setting out the details of the Products as
issued by Bigmans Consultant & Marketing Pvt. Ltd.
22) The Business Associate shall not make any false promises or gives any assurances or make
any representation which is not otherwise contained in the schemes circulated by Bigmans
Consultant & Marketing Pvt. Ltd. and on account of such representation if Bigmans
Consultant & Marketing Pvt. Ltd.suffers any damage, loss or is made to institute/defend any
litigation, the Business Associate shall be bound to indemnify Bigmans Consultant &
Marketing Pvt. Ltd. under such circumstances, for all the loss suffered or sustained and this
indemnity by the Business Associate shall survive the termination of his appointment.
Bigmans Consultant & Marketing Pvt. Ltd. may, at its sole discretion, withhold any and all
monies payable to the Business Associate and adjust the same against any losses/damage
incurred by Bigmans Consultant & Marketing Pvt. Ltd. This is without prejudice to the other
rights and remedies in law and/or contract that Bigmans Consultant & Marketing Pvt. Ltd.
may have against the Business Associate.
23) Notwithstanding the aforesaid, Bigmans Consultant & Marketing Pvt. Ltd. may also
terminate Business Associate’s appointment without assigning any reason for the termination
but after giving to the Business Associate a notice of at least one month. This appointment is
subject to immediate termination without any notice if it comes to the notice of Bigmans
Consultant & Marketing Pvt. Ltd. that the Business Associate of any of his employees/agents
have indulged in unlawful activities or have done something which has caused losses to
Bigmans Consultant & Marketing Pvt. Ltd. and/or to any of its affiliates or caused damage to
the reputation of Bigmans Consultant & Marketing Pvt. Ltd. and/or its affiliates.
24) The Business Associate may terminate his appointment by giving to Bigmans Consultant &
Marketing Pvt. Ltd. a written notice of at least one month.
25) On the termination of the appointment, the Business Associate shall immediately return to
Bigmans Consultant & Marketing Pvt. Ltd. all the documents and relevant papers concerning
the Products and all information, agreement, documents and papers lying with the Business
Associate relating to transactions executed between Bigmans Consultant & Marketing Pvt.
Ltd. and customers and give a written confirmation of its having so done.
26) In the event of termination of the appointment, Bigmans Consultant & Marketing Pvt. Ltd.
may withhold any payments due to the Business Associate in connection with any
application of any customer, such payments being due to the Business Associate, till such
time as the Business Associate deposits all documentation concerning any existing
customer(s) and/or potential customer(s) with Bigmans Consultant & Marketing Pvt. Ltd.
27) Appointment is subject to immediate termination if Business Associate and/or his dependant
relatives are employee of Bigmans Consultant & Marketing Pvt. Ltd. and/or its group
companies. In such an event appointment may be terminated forthwith and Business
Associate shall be liable to repay Bigmans Consultant & Marketing Pvt. Ltd. all monies
earned by him during the course of his appointment till termination. This is without prejudice
to any other rights of Bigmans Consultant & Marketing Pvt. Ltd..
28) These terms and conditions may be amended and/or modified by Bigmans Consultant &
Marketing Pvt. Ltd. with prior notice.
29) Any and all disputed arising out of or in connection with this agreement or its performance
shall be settled by arbitration by a single Arbitrator to he appointed by Bigmans Consultant
& Marketing Pvt. Ltd.
F. Deactivation criteria
a) Business Associates needs to bring in minimum average 10 Trading AOF in a month and
minimum criteria for other products. If Business Associates is not able to bring in average 10
forms in a month, then at financial year end such Business Associates code will be
deactivated and such partner will be deactivated from further activities including payout.
b) If any unlawful/unethical activity of Business Associate is noticed then its registration will be
deactivated with immediate effect.
