KENTRIDGE HIGH SCHOOL PTSA 9.7.118 Standing Rules- 2015-2016 1. The name of this Parent Teacher Student Association Local PTA is Kentridge High School PTSA 9.7.118. The National PTSA number is 034327. It was chartered by the Washington State PTA on October 8, 1997. This PTSA serves the students in the Kentridge High School community, which includes the residences and businesses in the Kentridge High School enrollment area. 2. This PTSA is registered with the Secretary of State under the Charitable Solicitations Act. The registration number is 6248. The treasurer is responsible for filing the annual registration. 3. This PTSA was incorporated on February 2, 1998. It was assigned corporation number 601 851 685. The treasurer is responsible for filing the annual corporation report. The registered agent for this corporation is the Washington State PTA. 4. This PTSA’s Federal Employer Identification Number (EIN) is available from any Executive Committee member (elected officers). 5. This PTSA was granted tax-exempt status under section 501 (c) 3 February 2, 1998. 6. The current treasurer is responsible for filing the IRS forms, in conjunction with a CPA, if desired. Copies of the current and past year’s returns are located in the Legal Documents Binder maintained by the President, Secretary and Treasurer. 7. Student Activity Committees and Lydia Dacy budgets shall have balances that carry forward to the next year. 8. The membership service fees for Kentridge High School PTSA 9.7.118 shall be Fifteen Dollars ($15.00) for individual membership and Ten Dollars ($10.00) each for Kentridge staff and spouses. 9. The elected officers of this PTSA shall be President, Vice President, Secretary, Treasurer and Cashier. President and Vice President may be held jointly by up to two (2) people and Cashier up to (3) people. The Treasurer may be held by only one individual. Elections shall be held prior to June 30th. The Executive Committee (the elected officers) shall meet at the discretion of the President. Ten members shall constitute a quorum. 10. This PTSA’s General Membership shall meet monthly, September through June, unless otherwise directed by the Executive Committee. For this unit, ten (10) members shall constitute a quorum. There shall be the right to make telephone calls and/or emails for Board decisions between meetings in emergencies. 11. Attendance: Elected Officers, Standing Committee Chairs and Student Activity Chairs (or a representative) are required to attend monthly membership meetings. Special Committee Chairs are required to attend the membership meetings the month prior, the month of, and the month following their respective events. 13. The Kentridge students are honorary (non-paid) members of the KR PTSA. They may have a voice in decision making, however, only paid members of the KR PTSA may vote. 14. Fundraising done by any Student Activity Committee shall follow the guidelines of the KR PTSA for specific procedures. Student Activity Committees should have their fundraisers approved by the Executive Committee prior to the start of fundraising. 15. Expenses incurred by committees will be paid by those committees (i.e. bank fees). 16. The election of a Nominating Committee shall be held at a Membership Meeting prior to March 31st each year. The approval of the Standing Rules & Budget shall be held prior to June 30th of each year. For this unit, ten members shall constitute a quorum. 17. Absentee, mail or electronic ballots are prohibited with two (2) exceptions election of officers and election of nominating committee positions. Voting for officer or nominating committee positions may be by mail or by electronic transmission if the name of each candidate is contained in the notice of meeting. 18. To request funds from the Kentridge PTSA, a written application must be prepared and submitted to the PTSA for review at the next monthly meeting. The President should be notified one week prior to the meeting when funding will be requested. Representatives requesting the funds should be prepared to attend the board meeting to answer any questions that may arise. 19. Student Enrichment and/or School and Student Benefits Grant Applications of $100.00 or less may be approved by the President(s). Grants greater than $100.00 require PTSA board approval. 20. Unbudgeted Administrative expenditures over $100.00 require approval of the General Membership. 21. This PTSA shall keep a copy of each of its legal documents with the President, Secretary and Treasurer. The treasurer shall be responsible for providing updated copies to the named officers. The PTSA may maintain a safe deposit box for original legal documents. The Executive committee will be responsible for the keys. 22. The PTSA may conduct a mid-year financial review of its books and records in addition to the required financial review at the close of the fiscal year. 23. Each member of the Board of Directors has the fiduciary responsibility to make sure a Financial Review is done at the end of the PTSA fiscal year. The Treasurer shall close the book on June 30 and submit the books and records for financial review no later than July 31st to a financial review committee of no fewer than three (3) members appointed by the President or to a qualified accountant. The financial review committee shall not include the people who were authorized to sign or individuals living with the same household as those authorized to sign on the bank account for the period being reviewed. 24. Only signatures of elected officers shall be on the authorized signature card for this PTSA’s bank account, safe deposit box and post office box. 25. Special meetings of the board may be called by the president(s) or upon written request by a majority of all members of the board. Written notice (email will suffice) stating date, time, place and purpose of the meeting shall be delivered to each member of the board at least five (5) days prior to the special meeting. If less than 10 days notice is given, documentation of each member’s consent to conduct business must be obtained in writing or via email. A quorum of the board must be present to conduct business. A majority of those currently serving on the board of directors shall constitute a quorum. 26. One or more Awards may be presented annually to an outstanding volunteer(s), educator(s) or advocate(s). A committee appointed by the President shall select the recipient(s). The board of directors shall determine the number of recipients. 27. At least one elected officer will attend each Kent Area Council general membership meeting to act as our voting delegate(s). Non-officer members may fill this position as long as the KAC secretary is previously notified that he or she is an authorized delegate. 28. The vote of this PTSA for the position of Washington State PTA Region Director shall be determined by the Board of Directors. 29. Up to four voting delegates to the annual state PTA convention shall be selected by the Board of Directors with preference to the incoming and outgoing officers. 30. The primary voting delegate to the State PTA Legislative Assembly shall be the Advocacy Chair unless otherwise designated by the Board of Directors. Up to four voting delegates may represent this Local PTA at Legislative Assembly. 31. Any funds leftover from the current years’ senior party will be distributed the following way; 40% to the next graduating class, 30% to the class following, 20% to the class following the previous one, and 10% to the class following that. 32. Should the PTSA receive an NSF check(s), any bank penalties that the PTSA may accrue shall be paid by the writer of the NSF check. If the NSF check(s) and fees are not paid within 60 days of the PTSA sending notice of the NSF check, then the PTSA will not accept any checks from this individual in the future. 33. Committees must have a “plan of action” completed and approved by the board prior to incurring any expenses. 34. The Budget Committee shall consist of at least three people and shall be chaired by the outgoing/ongoing treasurer and consist of, but not be limited to, representatives from the incoming and outgoing Executive Committees, giving priority to the incoming treasurer. This Committee shall prepare and present the budget for the following year for adoption at the final General Membership meeting prior to the end of the fiscal year, June 30. 35. The Board members will comply with the training requirements necessary to remain in good standing, as specified in the most current WSPTA Standards of Affiliation. Each Executive Committee member will attend a minimum of one (1) WSPTA approved training during the PTSA year. Further, at least one member of the Executive Committee will attend the PTA and the Law training during each school year. 36. Per the Washington State PTA Uniform Bylaws, we will annually review, complete, sign, and submit the WSPTA Standards of Affiliation Agreement by the required deadline. 37. These Standing Rules have been adopted by this PTSA on November 4, 2015.
