Constitution of an unincorporated association
1.0
Club Name
1.1.
The club shall be known as Soaring Eagle and herein referred to as ‘the club’.
2.0
Purpose

To improve health and well being in supporting people of all abilities who wish to learn
Karate in a welcoming environment
2.2.
To adhere to the principles, and further the aims, of Wado Ryu Karate as a martial art,
sport and a past-time, promoting to all of its members to use their skills only in selfdefence, defending others, in competition and never to seek confrontation or to initiate
violence, to intimidate or coerce.

Powers
In order to carry out the charitable purposes, the management committee has the power to:

raise funds, receive grants and donations
apply funds to carry out the work of the club
co-operate with and support other charities with similar purposes
do anything which is lawful and necessary to achieve the purposes
Membership
Membership to the club will be available to anyone regardless of sex, age, ability, ethnicity,
nationality, sexual orientation, religion or other beliefs by completing the membership
application form and payment of membership fees as set down from time to time by the
committee at the Annual General Meeting

Limitation of membership according to the capacity of available facilities is allowed on
a non discriminatory basis.
Once accepted by the management committee, membership lasts for 3 years and will
be reminded and renewed by the paying of any fees annually
The management committee will keep an up-to-date membership list.
The management committee has the right to refuse or withdraw membership. The
member has the right to be heard by the management committees before the decision
is made and can be accompanied by a friend.

Junior members, those members under 18 years of age may not vote at club meetings but can
raise issues through the nominated welfare officer

General Meetings
The AGM must be held every year, with 14 days notice given to all members telling them what
is on the agenda. Minutes must be kept of the AGM.

There must be at least 5 members present at the AGM.
Every member has one vote.
The management committee shall present the annual report and accounts.
Any member may stand for election as part of the management committee.
Members shall elect between 3 and 10 management committees to serve for the next
year. They will retire at the next AGM but may stand for re-election.
5.2
If the Management committee consider it is necessary to change the constitution, or wind up
the club, they must call a General Meeting so that the membership can make the decision. The
management committee must also call a General Meeting if they receive a written request from
the majority of members. All members must be given 14 days notice and told the reason for
the meeting. All decisions require a two thirds majority. Minutes must be kept.

Winding up - any money or property remaining after payment of debts must be given
to a club with similar purposes to this one.
Changes to the Constitution - can be made at AGMs or General Meetings. No change
can be made that would change the purpose of the club
General Meeting - called on written request from a majority of members. The
management committee may also call a General Meeting to consult the membership
Management Committee Meetings
The Management Committee must hold at least 3 meetings each year. At their first meeting
after the AGM they will elect a chair, treasurer and secretary [the Officers] and up to 5 others
by a majority decision.
At least 3 members of the management committee must be present at the meeting to be able
to take decisions. Minutes shall be kept for every meeting.
If the management committee have a conflict of interest they must declare it and leave the
meeting while this matter is being discussed or decided.
During the year, the management committee may appoint up to 2 additional management
committee members. They will stand down at the next AGM.
The management committee may make reasonable additional rules to help run the club.
These rules must not conflict with this constitution or the law.
Money & Property
Money and property must only be used for the clubs purposes
The management committee must keep accounts. The most recent annual accounts can be
seen by anybody on request.
The management committee and membership cannot receive any money or property from the
club, except to refund reasonable out of pocket expenses.
Money must be held in a bank account under the name of the club. All cheques must be
signed by 2 of 3 signatories designated in the management committee who are not related or
reside at the same address.
Setting up the Club
This constitution was adopted on _____________ 20___ by the people whose signatures
appear below. They are the first members of the club and will be the management committee
until the AGM, which must be held within one year of this date.
