Controller's Office Ways that the Unit can help to improve the process to get an External Sales signed agreement (Contract) in place. Provide the following information to the External Sales Office and follow the suggested process: 1) DeptID #, Description of the department and approved I/ESAF #. 2) Offer the latest revision of the University Standard Agreement to the customer first. (Confirm by obtaining the contract from the Standard Contracts Library). Do not use a version from a previous External Sale that may be stored on a unit computer, as it may be outdated. 3) Background information on the contract and/or related or past contracts with this customer. 4) Determine if the activity has been classified correctly as an External Sale as opposed to a Sponsored Project or Gift by the Classification group. 5) Identify, report and resolve any potential Conflicts of Interest. 6) Supply the rate development or detail to support the contract price if the contract price is not based on a standard rate sheet that has already been provided. 7) Provide the contact information for the customer's legal representative. 8) Provide a "need date" of when you need the contract to be ready for customer signature in order to start work. 9) Provide any proposed changes to the insurance clause. 10) Provide information if the activity is for a foreign entity, in a foreign country or is coming from a foreign county. We need to comply with Export Control policies. 11) When amending an agreement provide the original signed agreement and all signed amendments to date. 12) Set the term of the agreement and amendments to 5 years. 13) Do not put any contractual obligations in the description of services, attachments or exhibits that conflict with the agreement.
