United Way of Delaware & Otsego Counties, Inc. FUNDING AGREEMENT FOR PROGRAMS FOR 2015 THIS FUNDING AGREEMENT IS MADE BETWEEN UNITED WAY OF DELAWARE AND OTSEGO COUNTIES, INC. (HEREIN AFTER REFERRED TO AS “UNITED WAY”) AND ___________________________________, (HEREIN AFTER REFERRED TO AS “AGENCY”) FOR THE USE OF UNITED WAY FUNDS. THIS AGREEMENT APPLIES TO ALL PROGRAMS OF AGENCIES THAT HAVE BEEN REVIEWED AND FUNDED THROUGH UNITED WAY OF DELAWARE AND OTSEGO COUNTIES, INC. REVIEW PROCESS. PURPOSE The purpose of this agreement is to outline the responsibilities and expectations for accepting funding support from United Way for specific program services in the Delaware and Otsego County area. Failure to comply with this agreement will result in its termination. Both United Way and the agency will honor all aspects of the agreement through the effective date of termination. The term of this agreement shall commence on January 1, 2015 and terminate on December 31, 2015, unless ended sooner. With respect to the termination of funding, the agency of a funded program will be given 14 days notice to respond to any perceived alterations in the program’s performance as was defined in the individualized program applications. Grounds for such action may result from concerns of program changes since application process, severe loss of funds, failure to notify United Way of changes or deviations from original application for said funds in a timely manner. Any allocated funds not used during this term must be returned to United Way by January 15, 2015, following the end of this agreement or an approved extension date. United Way funding is program specific and must be used as detailed in the budget sheets submitted for 2015. Any changes of use of United Way funds of 10% or greater must be approved by United Way. These funds may not be used to offset any type of legal fees. In the event pledged funds made to the United Way are less than anticipated, United Way shall not be required or obligated to all funding payments. FUNDED PROGRAMS AND THEIR AGENCIES AGREE TO: Submit reports as required mid-year and year end as required by United Way. Provide the program and services outlined in their individualized program application which is based on the most critical needs in Delaware and Otsego Counties as indicated in needs assessments of the service area. Agencies accept the responsibility of reporting to United Way any significant matters, such as loss of fund, problems within the program, staff violation of policy that made be made public, 1 etc. that affect their funded programs and relationship with United Way within 14 days of the event. Support the United Way efforts by: Participate in the annual United Way fund raising campaign. Agencies do this by conducting staff and board campaigns throughout the year and assisting in opportunities to promote the Campaign such as public speaking, providing information and/or successes for others to use in presentations. Promote United Way as a funding sources of the program/agency by listing “Funded in part by United Way of Delaware and Otsego Counties” in all publicity, printed materials and on the website. Display the UW Logo displaying in the agency and is available from United Way upon request. Publicize United Way support of funded programs (feature your service as United Way funded, display the United Way logo and name; acknowledge United Way in annual reports, program brochures, advertisements, newsletters, PSA’s, mailing and informational pieces). Cooperate with and assist United Way in public information programs Recognize donors who designate to you via the United Way campaign with written confirmation copied to United Way. Engage in collaborative activities with agencies providing similar services, e.g.: Shared occupancy, shared training and strategic planning, cooperative purchasing, shared transportation, combined marketing, collaborative networking, shared office supplies, information sharing, collaborative needs assessments. All funded programs and their agencies have met the basic eligibility criteria for receiving United Way funds. This agency agrees to conduct affairs in such a manner as to remain eligible. United Way seeks to raise funds through a strategic process of year-round education and involvement at the workplace and community wide, to gain support of individuals and corporations alike. In order to successfully implement that process in a manner that is effective for the donor and efficient administratively, funded programs and their agencies are asked to refrain from solicitations that duplicate United Way efforts and distract from the value of giving through United Way. For example, we ask that funded programs and their agencies not solicit corporation or corporate foundations by soliciting employee groups, charging fees to corporation for funded programs, receiving funds through payroll deductions, campaigning for designations, or accepting financial support from another federation raising funds at the work place unless such fund raising is in conjunction or cooperation with United Way. Avoid any form of fund raising that would compromise public confidence and support. United Way funds are reserved for specific health and human services addressing community needs and are not intended for use on other program activities, capital campaigns, lobbying efforts, or legal fees. Will conduct all fundraising by our agency in a manner compatible with United Way policies. The following fund raising guidelines are offered: Strong accountability to the donor for dollars raised; Prudent watch by the agency on administrative costs associated with fund raising, striving always to do better than average expense-to-revenue ratio; Full and easy disclosure to the public of fund raising practices; Active management of all fund raising efforts by the agency to protect the mutual interest of United Way and the agency 2 Agencies agree to hold United Way harmless from any and all liability, damage, or claims of any kind or nature, arising out of the agency’s business, including but not limited to, claims arising out of programs and/or activities funded by United Way. Agencies agree to have a representative serve on and attend the United Way Program/Agency Committee meetings. This committee meets semiannually. Programs will be reviewed periodically and agencies agree to submit a mid-year program progress report and an end of year progress report. These reports will require that each program report its progress towards meeting the program outcomes specified in the application as well as reporting the programs’ financial health for the reporting period. Program funding is contingent upon receipt of these progress reports. In addition, future funding will be contingent upon receiving the end of year report and compliance with requests to provide more information or requests to modify objectives from the program’s mid-year or end of year reports. ● THE UNITED WAY AGREES TO: In entering into this agreement, united Way obligates itself to conduct its activities in a manner that builds a strong sense of community in the two-county area. The United Way relationship with funded programs will be conducted in an open and positive manner and will be directed towards increasing available resources to alleviate community needs. Actively market, as appropriate, funded programs with its donors for the purpose of building community awareness of program services, and for the purpose of accountability to the donor for contributed dollars, e.g., special events, agency visits, agency speakers, annual reports, community directives, advertisements, mailings to constituents and other informational pieces. Allocate funds quarterly provided all stipulations of this agreement are met and sufficient funds are received by United Way as indicated in italics on page 1. Any remaining allocation payments for the current funding cycle may be reduced, withheld or withdrawn by motion of the United Way Board of Directors should an Agency not meet the requirements set forth in this agreement. Initiate year-round activities that highlight funded programs for donors and volunteer interests. Communicate the allocations process to funded agencies. As part of ongoing stewardship and its responsibility to United Way donors, the United Way will review semi-annual and end of year reports, and periodically visit funded programs. Review mid-year and end of year progress reports in a timely manner and provide necessary feedback to programs or the United Way Board of Directors. In cases of funding reductions to programs receiving state and federal funds, the United Way will support the agency and join in advocating the restoration of funds. Advocacy in other ways is a role that United Way may engage in depending on the situation. 3 ● RESOLVING BREACHES IN THIS FUNDING AGREEMENT The purpose of the appeals process is to provide an avenue to resolve issues relating to breaches of this funding agreement. A funded agency requesting a review must submit its request in writing to the United Way within 21 calendar days of notification of the breach of this agreement. The request must be signed by both the agency’s Board President and its Executive Director. It is the agency’s responsibility to: Clearly identify grounds for the review, and Provide written justification to the Allocations and Audit Committee The United Way will appoint a sub-committee which will meet and determine the validity of the request and notify the program within 21 calendar days of the initial receipt of the review request. Decisions made by motion of the United Way Board of Directors will be final. SIGNATURES The execution of this agreement shall be by the agency’s Board President and Executive Director.
