Conditions for Bills Receivable Purchase Financing without prior notice to us at any time, and DBS Bank (Taiwan) Ltd. will publicly announce the
amended Terms and Conditions for Bills Receivable Purchase Financing on its premises and official website.
We hereby acknowledge and confirm our receipt, understanding and acceptance of the bank’s BILLS RECEIVABLE PURCHASE FINANCING TERMS

In the event that DBS Bank (Taiwan) Ltd. (which expression shall include its Offshore Banking Unit) provides us with Bills Receivable Purchased Financing, we hereby agree
to all terms and conditions stipulated below as well as the terms and conditions set out in [General Agreement for Banking Transactions] and any letter of offer or any facility
letter from DBS Bank (Taiwan) Ltd. to us. 如星展銀行（台灣）（包括其國際金融業務分行）提供本公司進口記帳融資時，本公司同意下列各條件及條款以及銀行往來總約定書之
條款及其他本公司自星展銀行（台灣）收受之授信函或其他授信文件所載內容之約束。
Bills Receivable Purchased Financing provided or to be provided to us and without prejudice to the provisions set out below, we warrant and/or agree that: 就星展銀行（台灣）
已提供或將提供本公司之進口記帳融資，於不影響下列條文之前提下，本公司聲明及/或同意：
1.
There is a genuine, underlying transaction for the sale / purchase of the Goods. 確有貨品銷售/購買之標的交易，且該交易為真實。
2.
We will at the request of DBS Bank (Taiwan) Ltd. provide other documents evidencing the transaction.本公司將於星展銀行（台灣）要求時，提供其他交易證明文件。
3.
We have not obtained and shall not obtain any other form of type of financing from any party other than DBS Bank (Taiwan) Ltd. for the Goods or the Letter of Credit.就
貨品或信用狀，本公司並未且亦將不會自除星展銀行（台灣）外之任何人取得任何型態之融資。
4.
We will repay the full amount of financing extended to us on due date as well as all outstanding interest, charges and commissions due to DBS Bank (Taiwan) Ltd.
本公司將於融資到期時，償還星展銀行（台灣）融資全額及所有未償之利息、費用及手續費。
5.
On maturity of the loan, DBS Bank (Taiwan) Ltd. are authorised to deduct our account and we undertake to indemnify or repay DBS Bank (Taiwan) Ltd. of all outstanding
amounts including principal, interest, charges and commissions. 於融資到期時，本公司承諾補償或償還所有未償款項，包括本金、利息、費用及手續費，本公司並授權
星展銀行（台灣）自本公司帳戶中扣抵該等未償款項。
6.
This Terms and Conditions is governed by and construed in accordance with the laws of the Republic of China (“R.O.C.”) and we hereby agree to submit to the nonexclusive jurisdiction of Taipei District Court. 本條件及條款依中華民國法律解釋及適用，雙方同意以臺灣臺北地方法院為非專屬之管轄法院。

The Terms and Conditions are made in English and Chinese. In case of any discrepancy between the English and Chinese versions, the English version shall prevail. 本
條件及條款以英文和中文作成，如英、中版有歧異，以英文版為準。
