CA -ACME BYLAWS As of: 22 January 2013 ARTICLE I- NAME The name of this organization shall be the California Advisory Council on Military Education (CA-ACME) ARTICLE II - PURPOSE Section 1. This organization is established to: A. Promote and support quality education programs that are available to all military personnel, veterans and their family members. B. Collaborate with military and college educators and other professional organizations associated with academic and vocational education. C. Submit recommendations to institutions and governmental agencies that support CA-ACME purposes. Identify, study, and seek solutions to issues that jointly affect colleges and military, veterans and eligible family members. ARTICLE III- MEMBERSHIP AND VOTING RIGHTS Section 1. Voluntary Membership is encouraged and may be held by: A. Representatives from private and public schools accredited by regional or national agencies and/or approved by State Approving Agencies (SAA). B. Federal and state agencies that have professional, helping, supportive and educational interest in serving CA-ACME objectives. C. Education Services Officers and education staff from all military services. D. Veterans, Educational Counselors, Advisors and all staff persons of public and private academic/vocational institutions assisting active duty, veteran students and eligible family members. E. Representatives of state and federal education regulatory agencies. Section 2. Members are entitled to elect Board Members and vote on matters brought before general membership. 1 ARTICLE IV - ORGANIZATION Section 1. Board of Directors. The Board of Directors shall supervise, control, and direct affairs of the organization pursue its purposes and determine its policies, except as otherwise provided in these Bylaws. The Board may propose operating rules and procedures as deemed advisable to carry on day-to-day operations. The CA-ACME members shall be informed of any policies adopted by the Board since the last regular meeting. These policies shall remain in effect unless the voting members elect to change or rescind them. Section 2. Officers. The officers of this Association shall be: President, Vice President, Treasurer, Secretary, Chair Military, Chair Veterans, Chair Institutions, one Director per region, Director of Technology, Director of Development, Director of Communications, Director of Membership, and Military Educational Representatives. All Board Members will serve without compensation. Any elected officer who is unable to perform their duties may be replaced subject to the review of the board. A. Election of Executive Officers. The election in odd years will include the following Board Members, which are: The Vice President, Treasurer, Secretary, Chair Military, Director of Development, Director of Communication, and Directors of Region 1 and 3. The election in even years will include the following Board Members, which are: Chair Veterans, Chair Institutions, Director Technology, Director Membership, and Directors of Region 2, 4 and 5. B. President will be replaced by the existing Vice President on odd election years and may remain on the Board as Past President. C. Elections will be held annually by Director of Membership conducting electronic ballots. Formal Induction will occur after tally of votes at the Advisory Board Meeting. Candidates can run more than one term. If unopposed, they can be re-elected another two year term. In the event of a tie, a run-off will be conducted for one additional week. D. Military Educational Representatives shall be appointed based on the review of the board and will hold no voting rights. E. Terms of Office. Shall be approximately two years for elected and appointed officers. Past Presidents shall have a non-expiring term with no voting rights. Immediate Past President retains voting rights as long as they are an active participant of the Board. F. Vacancies in Offices. Any vacancy shall be appointed by the President. If the President is vacant, the Vice President shall become President. Section 3. Meetings. The Executive Board Meetings shall be determined by the Board and occur at least annually. The Regional Chairs shall determine the Regional Meetings. General membership meetings shall be determined by the Board. 2 Section 4. Quorum. A majority of the voting members shall constitute a quorum at general membership meetings. A majority of the Board shall constitute a quorum at board meetings. At a minimum, the President or one of the three Chairs must be in attendance. ARTICLE V- ADMINISTRATION Section 1. Duties of Officers. A. President. The President shall be the principal officer of CA-ACME and shall: 1. Preside at all board and general meetings. 2. Be an ex-officio member of all committees. 3. Appoint all standing and special committee chairs with advice and consent of the Board. 4. Ensure program is developed and carried out to achieve the purposes of CAACME. 5. Appoint replacements for the offices of Chair Military, Chair Veterans, Chair Institutions, Secretary, Treasurer, Director of Development, Director of Technology, Director of Membership, Director of Communications, and Regional Directors with advice and consent of the Board, if any positions become vacant. 6. Perform other duties as assigned by the Board and/or membership. 7. Attend at least one regional meeting per region, per year, or coordinate an appropriate substitute. B. Vice President shall: 1. In absence of president, preside over meeting. 2. Assist president in any administrative function of CA-ACME. 3. In the event of an emergency, and the president position becomes vacant, Vice President will serve as the interim president. C. Treasurer shall: 1. Maintain a complete accounting of accounts receivable and payable and make a report available upon the Board's request. 2. Maintain State and Federal Compliance requirements for 501c3. 3 3. Perform other duties as assigned. D. Secretary shall: 1. Keep a record of the deliberations of CA-ACME minutes and agendas. 2. Maintain the correspondence and history of CA-ACME. 3. Perform other duties as assigned. E. Chair Military shall: 1. Represent the Department of Defense constituency within the organization. 2. Perform other duties as assigned. F. Chair Veteran shall: 1. Represent Veteran constituency within the organization. 2. Perform other duties as assigned. G. Chair Institutions shall: 1. Represent the Civilian higher education constituency. 2. Perform other duties as assigned. H. Regional Directors shall: 1. Represent their region at all Board meetings. 2. Survey all institutions and agencies within their region for input and recommendations prior to Board meetings. 3. Act as liaison between CA-ACME and regional constituents. Recruit members for the CA-ACME within their region. 4. At a minimum, conduct one annual regional meeting. 5. Form committees as needed to organize and conduct regional business. 6. Perform other duties as assigned. 4 I. Director of Technology shall: 1. Establish and maintain organizations website. Organize information systems, electronic data, computer programming and system analysis. 2. Evaluating the use of the organization’s technology and its need. 3. Recommend improvements to software and hardware upgrades. 4. Perform other duties as assigned. J. Director of Development shall: 1. Planning, organizing, and directing overall communication strategies and public information activities for the organization; 2. Managing, planning, directing, controlling and implementing a proactive communication program to enhance the reputation of the association and visibility of the field 3. Representing the organization in the media and other relevant occasions. 4. Perform other duties as assigned K. Director of Communication shall: 1. Oversee the flow of information within the organization. 2. Develop and implement strategies and plans to communicate the organizations message. 3. Manage media/public relations with press conferences and press releases. 4. Strive to build good relationships with media and local public. 5. Perform other duties as assigned. L. Director of Membership shall: 1. Develop and implement membership plans for retention of current members and growth of new members, according to client work plan activities and Board goals. 2. Coordinate, manage, track, and evaluate all membership and renewal activities, including new members, renewal, and potential member. 3. Ensure membership lists are updated on client websites on a monthly basis. 5 4. Perform other duties as assigned. M. The Past President shall: 1. Advise and assist the President and other officers of CA ACME. 2. Perform other duties as assigned. N. Military Educational Representatives shall: 1. Advise and assist the President and other officers of CA ACME. 2. Performed other duties as assigned. Section 2. Roberts Rules of Order, Revised, shall govern all meetings of the CA-ACME, as consistent with applicable statues and these Bylaws, unless other specific procedures are provided by the Board. Section 3. Power of Attorney. The executive officers of the Association shall have authority as attorney-in-fact to execute and acknowledge on behalf of the Association, legal documents or other instruments in connection with the operation of the Association as approved by the Board of Directors. ARTICLE VI - STANDING COMMITTEES Standing committees will be appointed by the Board as needed. ARTICLE VII - AMENDMENT OF BYLAWS Section 1 . The Bylaws may be revised. A. Amendment of these Bylaws may be proposed in writing by any member of the CA-ACME. Written proposals shall be submitted to the Secretary. B. Such proposals shall be referred to a Bylaws review group appointed by the President for study and recommendation to the Board. If approved by the Board, the recommended amendment will be distributed in writing to the membership.
