Eastern High School Baseball Booster Club Bylaws The Eastern High School Baseball Booster Club is a nonprofit organization of interested parents who voluntarily assist in the promotion of the Eastern High School Baseball Team. Article I – Name and Offices Section 1 Name – The name of the club is the Eastern High School Baseball Booster Club. Section 2 Offices – The principal office of the Eastern High School Baseball Booster Club shall be located in Louisville, KY 40243 (Jefferson County) Article II - Purpose Section 1 Purpose – The purpose of the Eastern High School Baseball Booster Club is to support, encourage and promote the physical education of Eastern High School students who choose to participate in the athletic endeavors sanctioned by the Jefferson County Board of Education and the Administration of Eastern High School, with the primary emphasis focused on the Baseball Program. The main emphasis of the club will be to raise funds for baseball equipment, supplies, field maintenance and improvements, special projects and any other item deemed desirable by the Athletic Director and/or the Head Baseball Coach. No part of the funds raised shall benefit Booster Club members, directors, officers or other private persons. The Eastern High School Baseball Booster Club shall be authorized and empowered to make necessary payments and distributions in for the purposes set forth in the proposed article. Article III – Board of Directors & Officers Section I Powers – The business and property of the Eastern High School Baseball Booster Club shall be managed and directed by the Head Baseball Coach. The Head Baseball Coach will be the Chairman of the Board of Directors and the CEO of the Eastern High School Baseball Booster Club. The Head Baseball Coach may exercise all such powers of the Eastern High School Baseball Booster Club and do all such acts and things as are not reserved to the members. The Eastern High School Baseball Booster Club shall engage in activities that will assist or contribute to the furtherance of the Eastern High School Baseball Program in cooperation with the principal, athletic director and head baseball coach. All booster club fundraisers must be approved by the principal. Section 2 Members Board of Directors and Officers – The Head Baseball Coach will make all appointments to the Board of Directors and Officers of the Eastern High School Baseball Booster Club. Nominations will be made for all positions and interested persons should submit a written statement with their intent, qualifications and background and an appointment will be made from the nominations. Officers of the Booster Club shall be the Chairman of the Board/CEO (Head Baseball Coach), President, Vice President, Secretary and Treasurer. The same person may not hold two positions at the same time. Immediate family members of the principal, athletic director or any of the coaches may not hold an officer position. Newly appointed members will take office June 1 of each year. Vacancies - In the event a vacancy in any of the offices occurs as a result of resignation, termination or for any other reason, the Chairman of the Board of Directors may appoint someone to fill that position immediately. the Chairman of the Board of Directors may also remove any officer, whenever in his judgment that it is in the best interest of the program. Compensations – No director or officer of the club shall receive any salary, fees, payment or other compensation of any kind from the Eastern High School Baseball Booster Club or any other party as a result of his or her position with the Booster Club. Any person may be reimbursed by the Booster Club for all reasonable pre-approved expenses that benefits the program. Article IV – Officers Duties and Responsibilities Section 1 Chairman of the Board/CEO – The Chairman of the Board of Directors and the Chief Executive Officer will be the Head Baseball Coach. The Chairman of the Board of Directors will appoint all officers of the Booster Club. Nominations will be made for all positions by booster club members and the head baseball coach will take all written statements into consideration for these positions. In the event of a vacancy in the Head Baseball Coaching position, the Athletic Director will take this position until a new head coach is named. Section 2 President – The President shall be the principal officer of the organization and shall in general, supervise and control all the business and daily affairs of the Booster Club. He/she shall preside at all meeting and perform all necessary duties incident to the office and other such duties that may be needed. He/she may appoint committees or delegate authority and responsibility. The President may sign, with the other proper officers, any contracts, leases or other instruments which has been approved to be executed. Section 3 Vice President – In the absence of the President, or in the event of his/her inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all the powers of the President and be subject to the same restrictions. The Vice President shall assist the President in the operations of the organization and perform other duties as from time to time be assigned by the President or the Board of Directors. The Vice President shall also help the Treasurer in preparing and reviewing yearly financial statements. Section 4 Secretary – The Secretary of the Booster Club shall be responsible for proper mailing of notices of meetings; shall take and publish, in good form, the minutes of all meetings; shall be custodian of the records, membership rolls and instruments of the Club. In general, perform all duties incident of the office of Secretary. The Secretary shall present copies of the minutes of each monthly and/or special called meeting to the members. Section 5 Treasurer – The Treasurer shall be in charge of the Booster Club’s financial records. As Treasurer, he/she shall collect all membership dues, maintain original receipts for items purchased by the Booster Club, shall have established proper accounting procedures for the handling of the Booster Club funds and shall be responsible for seeing that the Booster Club is abiding by all financial regulations as set forth by Eastern High School. He/she shall report the financial condition of the Booster Club at all meetings and at other times when called upon by the President. At each monthly meeting, a brief financial report will be presented to its members. The Treasurer, along with the Vice President, must supply the President, the Head Coach, the Athletic Director and Principal a complete summary of all financial records of each fiscal year (January 1 – December 31), including the yearly expenditures and the balance of the booster club. Section 6 Financial Policy – The Booster Club will have one checking account and all checks in the excess of $300 will be required to have two signatures (Treasurer and President or Treasurer and Vice President). Funds may be deposited by either the Treasurer or the President with deposit receipts maintained by the Treasurer. The Head Baseball Coach will submit a yearly budget to the athletic director by June 1 every year and will give a copy of the budget to the President. Article V – Memberships and Meetings Section 1 Eligibility – Regular membership in the Eastern High School Baseball Booster Club shall be open to all parents of the players on the baseball team at Eastern High School. Associate memberships in the Eastern High School Baseball Booster Club shall be alumni or other adults subscribing to the objectives of the Booster Club. Associate members cannot hold office in the Booster Club, although they may become members of a committee or a special work group and will be assigned to any duties by the Head Baseball Coach. Section 2 Membership Status – A member shall be deemed in good standing when annual dues are paid. The amount of the dues will be determined by the Chairman of the Board of Directors. Membership may be terminated for, but not limited to, nonpayment of dues, resignation, or for cause. Any member that engages in activities detrimental to the Booster Club, the Baseball Team, the Eastern Athletic Department or Eastern High School may be terminated. Section 3 Meetings – Eastern High School Baseball Booster Club meetings will be held monthly and is open to all members and shall be held on a set day and time each month as determined by the Chairman of the Board of Directors. Special meetings will be called by the Chairman of the Board of Directors. Article VI – Accounting Section 1 Books and Records – The Booster Club shall keep correct books and records of all accounts. A Chart of Accounts that accurately reflects the income, revenue, expenses, assets and liabilities of the Booster Club shall be prepared and maintained by the Treasurer. All books and records of the Booster Club may be inspected by any member in good standing for any proper purpose at any reasonable time. The Booster Club agrees that it will not commit any act that will adversely affect the school district’s compliance with such laws and regulations, or any policies set forth by Eastern High School. Article VII – Amendments to Bylaws Section 1 Procedure – Bylaws may be altered, amended, repealed, and new Bylaws may be adopted by the Chairman of the Board of Directors with seven day written notice given to the Board of Directors. Section 2 Notice – When any amendments of the Bylaws have been made, copies of such amendments or a complete revised copy of the Bylaws as amended shall be presented to the Board of Directors within 30 days.
