Laws provide a minimum standard of behavior for people and business to follow.
However, there are many behaviors that are neither allowed nor disallowed by law. The guide that
then comes into play is ethics. Ethics refers to a code of moral conduct that sets for what is valued
as right or wrong behavior for a person or group. Ethical behavior relates to practices that are
considered acceptable or unacceptable.
Ethical behavior is closely linked to personal values-underlying beliefs and attitudes that
individuals or groups posses. To decide whether a particular action right or is it wrong regardless
of what the laws state? Therefore, ethical conduct goes beyond state and federal laws.
A collection of principles and rules of conduct based on what is right or wrong for an
organization is called business ethics. Any action that conforms to these moral principles is
ethical behavior. Not all firms have the same rules of conduct, however. What is right and wrong
can vary from manager to manager, business to business, and country to country. Generally,
however, moral conduct that is favorable to the largest number of people is considered ethically
desirable. Many organizations have established codes of ethics in the belief that ethical behavior
is in the best long-term interest of the business. A code of ethics is a formal, published collection
of values and rules that are used to guide the behavior of an organization toward its various
stockholders. An established code removes or reduces opportunities for unethical conduct. The
code deals with such issues as accepting business gifts, bribing government officials, and using
company property for personal use.

WHAT IS CORPORATION?
Corporation is an association of individuals, which has the right to carry on business in its
own name, to own property, and to incur debts. People who want to form a corporation require a
charter or articles of incorporation. This is a state-issued document, which legally recognizes the
existence of a new corporation.
The charter includes the legal name and presents address of the corporation. It describes
the purpose to create the corporation such as charitable, educational, governmental and so forth.
The charter also states detailed information on the maximum amounts and types of stock that the
corporation issues, provisions for length of time the corporation is allowed to exist, the adoption
of by laws, and other administrative matters.
People who own a corporation may be a small group like a local land development
company with your owner, or they may be very large like the millions of people who own shares
of the General Motors Corporation or International Business Machines. To raise large amounts of
capital, the corporation issues stock certificates, which are written evidence of the owners
(stockholders) investment or share in the company. The owners share in the total investment and
risk and divide any profits that are made.
A corporation has certain right granted by law : it may own and sell property, borrow
money, manage its own affairs, enter into contracts, and sue and be sued in court. A corporation is
liable for the payment of its own debts; individual owners are not responsible except to the extent
that they have invested money in the corporation. Their personal assets cannot be seized to pay
the debts of a corporation. Owners, thus, have limited liability.
