If cross sections are included with the plans, by executing the Contract you acknowledge that you expressly understand and agree that the cross sections do not constitute part of the Contract, do not necessarily represent actual job site conditions or show location, character, dimensions and details of the work to be performed, and are included in the plans only for convenience of bidders and their use is subject to the conditions and limitations of set forth herein. 6. If the Department used contour maps in the design of the project, the Department will make this information available to you subject to the conditions and limitations set forth herein. 7. If supplemental information not covered herein is available, the Department will make this information available to you subject to the conditions and limitations set forth herein. You may inspect or view all supplemental information at the Department’s office or obtain copies for your use, at your expense. Standard Provisions-14 STANDARD PROVISIONS You must not construe the availability or use of information described in this section as the Department’s waiver of the provisions contained in sixth paragraph of Section 2-1.30 and you are cautioned to make independent investigations and examinations to learn about the conditions that you may encounter in the performance of the work. You are also strongly encouraged to make independent investigations to obtain a better understanding of local material sources, including the quality and quantity of material available from the property and the type and extent of processing that is required in order to produce material conforming to the requirements of the specifications. The Department does not assume responsibility for representations concerning surface or subsurface conditions that its officers or agents make before your execution of the Contract, unless the representation is expressly stated in the Contract. The Department will not relieve you from properly fulfilling the terms of the Contract if you make a conclusion or interpretation based on your review of any supplemental information that the Department makes available to you. Such steps may include the following: 1. Seeking and obtaining relief from all appropriate federal, State and/or local agencies 2. Seeking and obtaining judicial relief from all appropriate federal and/or State courts Comply with the requirements of this section at your sole cost and expense without any increase in Contract price or Contract time on account of such compliance, regardless of whether such compliance would require additional labor, equipment, plant, materials and/or tools that the Contract does not expressly require. For purposes of this section a “labor dispute” means any concerted or non-concerted activity, which does or could potentially disrupt, interfere with, interrupt, delay or hamper the progress of the work. A labor dispute includes, but is not limited to, a refusal to work, strike, inter- or intra-union jurisdictional dispute, sympathy strike, work stoppage, withholding of labor, honoring a picket line, picketing, hand billing or other advice to the public that a labor dispute exists, slowdown, interference with the progress of the work of any kind for any labor-related reason, and boycotts for any purpose or reason including a dispute between an employer and labor organization. This section does not preclude the Department from independently exercising all remedies available to it under the Contract or that the law provides. The Department will make monthly progress payments within 30 days of the Engineer’s and Department’s written notice of approval. The Department will not make monthly progress payments for work that you do not complete in accordance with the Contract. If you perform work under an approved Change Order, the Engineer may require review of your records that support progress payment before payment is made. Replace section 9-1.16FE with: 9-1.16FE 2 Retentions The Department withholds 5 percent from each progress payment unless the Department finds during a properly noticed and normally scheduled public hearing prior to the bid that the project is substantially complex and requires a higher retention amount (Pub Cont Code § 7201). In addition, the Department deducts from each progress payment the following: 1. Any liquidated damages that have accrued to the date of the Engineer’s written notice of progress payment approval 2. Any sum to cover penalties assessed against the Department for your violation of federal, state, or local laws, regulations, requirements, or PLACs. 3. Any sums that the Department expends in performing any of your obligations under the Contract, which you have failed to perform 4. Any forfeited funds under Labor Code § 1727 5. Any other sums that the Department is entitled to withhold or recover under the terms of the Contract The Department’s failure to deduct any sum from a progress payment under this section does not constitute a waiver of the Department’s right to such sums. In addition to other amounts properly retained under this section, the Department deducts from progress payments an amount equal to 125% of the value claimed under a stop notice filed with the Department for labor, materials, supplies, equipment or other things of value furnished to or incorporated into the project for which payment was not received. The Department may release such funds upon receipt of evidence satisfactory to the Engineer that you have resolved such claim by settlement, stop notice bond or otherwise. You may obtain stop notice information directly from the Engineer. Standard Provisions-53 STANDARD PROVISIONS Replace section 9-1.16GF with: 9-1.16GF 2 Substitution for Performance Retentions You may request to substitute securities, at your sole cost and expense, equivalent to the amount of any money that the Department retains to ensure your performance of the Contract. You must deposit the securities with the Department or with a state or federally chartered bank in California that functions as an escrow agent. The Department will pay you any money that remains after your deposit of the securities with the Department or an escrow agent. Upon your satisfactory completion of the Contract, the Department will return your securities if you have deposited the same with the Department. In the alternative, you may request that the Department make payment of any money that the Department retains as it becomes due directly to the escrow agent at your expense. If you decide to choose this option, you may direct the escrow agent to invest the Department’s payments into securities and receive the interest earned on those investments upon the same terms provided in Pub Cont Code § 22300. Upon your satisfactory completion of the Contract, you will receive from the escrow agent all securities, interest, and payments that the escrow agent receives from the Department under Pub Cont Code § 22300. No later than 20 days following your receipt of an interest payment, you must pay each subcontractor their respective of amount of interest earned on the amount of retention withheld to ensure performance of the Contract, net of costs attributed to retention withheld from each subcontractor. Securities eligible for investment include: 1. Securities listed in Gov Code § 16430 2. Bank or savings and loan certificates of deposit 3. Interest-bearing demand deposit accounts 4. Standby letters of credit 5. Any other security that you and the Department agree upon If you wish to retain an escrow agent under this section, obtain an escrow agreement from the Department. The Department will not execute any other escrow agreement and you will not be entitled to any rights under this section if you execute any other agreement. For purposes of this section, “satisfactory completion of the Contract” means the Department’s final acceptance of the completed work. Add Replace section 9-1.16HG with: 9-1.16HG 2 Title As security for partial, progress, or other payments, title to work for which such payments are made shall pass to the Department at the time of payment. To the extent that title has not previously been vested in the Department by reason of payments, full title automatically passes to the Department at delivery of the work at the destination and time specified in the Contract. Such transferred title shall in each case be good, and free and clear from any and all security interests, liens, or other encumbrances. Standard Provisions-54 STANDARD PROVISIONS You promise and agree that you will not pledge, hypothecate, or otherwise encumber the items in any manner that would result in any lien, security interest, charge, or claim upon or against said items. The transfer of title under this section does not imply the Department’s acceptance, nor relieve you from the responsibility to strictly comply with the Contract, and does not relieve you of responsibility for any loss of or damage to items. Replace section 9-1.17D(2)(b) with: 9-1.17D(2)(b) Overhead Claims The Department will not recognize and compensate you for time-related overhead claims. Time-related overhead includes costs for field- and home-office overhead for the time required to complete the work. It does not include non-time-related costs such as mobilization, licenses, permits, and other charges incurred once during the Contract. Time-related overhead does not apply to subcontractors of any tier, suppliers, fabricators, manufacturers, or other parties associated with you. Costs for field office overhead are time-related costs associated with the normal and recurring construction activities not directly attributed to the Contract work such as: 1. Salaries, benefits, and equipment costs of: 1.1 Project managers 1.2 General superintendents 1.3 Field office managers 1.4 Field office staff assigned to the project 2. Rent 3. Utilities 4. Maintenance 5. Security 6. Supplies 7. Office equipment costs for the project's field office Costs for home-office overhead are fixed general and administrative costs for operating your business such as: 1. General administration 2. Insurance 3. Personnel and subcontract administration 4. Purchasing 5. Accounting 6. Project engineering and estimating Standard Provisions-55 2 STANDARD PROVISIONS Home-office overhead costs exclude expenses specifically related to: 1. Your other contracts or other businesses 2. Consultant and legal fees 2 Delete section 9-1.22 Standard Provisions-56 ADDENDUM NO. 2 – DETAILED REVISIONS AND CHANGES Part C Add to section 10-1.01 of the RSS for section 10-1: Temporary and permanent water line work shall be in accordance with the Eastern Municipal Water District (EMWD) specifications. Add to section 10-1.02 of the RSS for section 10-1: Do not place the uppermost layer of new pavement until all underlying conduits and loop detectors are installed. Before starting the traffic signal functional test at any location, all items of work related to signal control must be completed and all roadside signs, pavement delineation, and pavement markings must be in place at that location. In areas where cold plane and HMA overlay work is required on two adjacent lanes in one direction, the rightmost existing lane (number 2 lane) shall be constructed first. Work on the adjacent existing lane (number 1 lane) shall be completed on the following night, covering the same extents as the previous nights’ work on the number 2 lane. Where work is required on both lanes, the length of cold plane and HMA overlay performed on the first night in the number 2 lane shall be limited by the anticipated length of cold plane and HMA; plus any temporary Class 2 aggregate base “safety wedges”, tapers, left shoulder removal and pavement delineation; that is anticipated to be constructible on the number 1 lane during the following night. 2 Cold plane and HMA overlay work on Route 215 cannot take place between the Route 74 (Redlands Avenue)/215 Separation and the Nuevo Road OC until after the falsework has been removed from the Perris Boulevard OC and the D Street On-Ramp OC. After application of the open graded friction course in the final stage of construction, temporary pavement delineation, as approved by the Engineer, shall be used for 14 days prior to installation of rumble strips, permanent delineation, pavement markers and pavement markings. Existing fencing and other means that provide access control to the State right-of-way must not be removed until replacement measures have been submitted and approved by the Engineer. The sound wall on the west side of the freeway from approximately Station 651+20 to 710+00 must be constructed prior to freeway widening work begins. The construction of the sound wall on retaining wall on the east side of the freeway from approximately Station 984+20 to 1000+20 must be initiated within 30 days of the removal of the existing sound wall in that area. The temporary water lines to be constructed at Perris Boulevard must be in service prior to removal of the existing water lines. The permanent water lines to be constructed at Perris Boulevard must be in service prior to removal of the temporary water lines. 84 Add to section 12-3.08A(1): You may use the existing Type K temporary railing as shown on the plans for temporary traffic control purposes under the following conditions: 1. The existing Type K temporary railing must not be removed if there is no protection to prevent traffic from crossing the median 2. The existing Type K temporary railing must be inspected by the Engineer and the Contractor and the Contractor will remove and dispose of any damaged sections as determined by the Engineer 3. Existing Type K temporary railing must be painted to comply with section 12-3.08B(1) 4. The existing Type K temporary railing identified to be used for temporary traffic control must be installed per section 12-3.08C, including markers 5. The existing Type K temporary railing will become the property of the Contractor at the end of construction and must be disposed 6. Existing Type K temporary railing that is reused for temporary traffic control purposes will be measured and paid for per section 12-3.08D Add to section 12-3.08C: At your own expense, you may create additional ingress and egress openings in the Type K Temporary Railing at locations other than those locations shown on the plans with the approval of the Engineer. The approach ends and all railing associated with the additional openings of the Type K Temporary Railing must be installed and protected as required by these special provisions, Department Standard Specifications, Department Standard Plans and California MUTCD. Add to section 12-3.08D: Full compensation for all work, maintenance and repair of third party damage related to the additional Contractor-requested openings in the Type K Temporary Railing, including but not limited to signs, crash cushions, portable changeable message signs and temporary construction entrances must be considered as included in the payment for Type K Temporary Railing and no additional compensation will be allowed therefor. For Perris Blvd OC (Bridge No. 56-0850), the chain link fabric must be 9-gage and comply with AASHTO M 181 for Type IV fabric with a Class B, bonded black vinyl-coated fabric. The bond strength between the coating material and steel of the bonded vinyl-coated chain link fabric must be equal to or greater than the cohesive strength of the PVC coating material.
