To consolidate these efforts and initiate effective e governance over the entire state, a Wide Area networking Backbone was planned. In 2001 West Bengal State Wide Area Network (WBSWAN), the computer networking back bone for the Government of West Bengal, was launched. Initially it connected the District Headquarters to State Head quarters in Kolkata over individual 2 MBPS terrestrial Leased line provided by BSNL. The network was expanded in 2003 on sole initiative of GoWB by including 8 more commercially important Sub Divisions viz. Siliguri, Haldia , Alipurduar, Kalyani, Kharagpur, Bolpur, Assansol, Durgapur In 2004,the Department of Information Technology (DIT, GOI) under the Ministry of IT, Govt of India , embarked on a country wide e-governance Plan (NeGP). One of the major component of NeGP is establishment of inter operable SWAN in each state. As a part of NeGP WBSWAN expansion was sanctioned as two independent Projects: 1. Project A : Expansion of WBSWAN upto all Gram panchayats in Pilot District : Bardhaman 2. Project B : Expansion of WBSWAN upto all Blocks of balance 17 districts of West Bengal While implementation of Project A has been completed, implementation of Project B is in progress. 1.1 WBSWAN Basic Principles WBSWAN has been implemented as an integrated IP based Private network for GoWB carrying Data Voice and Video simultaneously. Current WBSWAN can be summarised as follows • • • • • • Composite IP based DATA,VOICE & VIDEO capable back bone Common facilities • VOIP network spread across the Districts • H.323 compliant Video end points connected to an MCU with multi session concurrent Video conferencing capability • Web enabled Mail server Several government departments like Finance, Health & Family Welfare, Commercial Tax, West Bengal Police, PHE, Administrative Training Institute have built departmental WAN based applications using WBSWAN backbone for District / sub division office connectivity Different connectivity medium and connectivity techniques used as per application demand and terrain requirement of individual lateral connectivity station To make all SWANs in the country uniform, a set of interoperability , security and connectivity guidelines have been laid out by DIT GOI. Since WBSWAN expansion is being taken up as a NeGP project, current design and implementation has been made to follow the same guidelines. Implementation WBSWAN expansion is done on PPP principle wherein Tulip Telecom is the chosen Network operator who has been contracted to provide WBEIDC LIMITED December 29, 2008 5 Setting up of WBSWAN Co-Located Nodes Request for Proposal operational support for 5 years. BSNL is the Bandwidth Service Provider and provides Leased Circuits to GoWB 1.2 POP & CO-LOCATED NODES All the District Head Quarters, Sub Division Head Quarters and Block offices in the State are to be included on the WBSWAN backbone. However DIT guidelines for the SWAN have stipulated that only one POP (Point of Presence) i.e. primary Switching Centre can be created in one town. If more than one administrative Head quarters (District head Quarter/ Sub Divisional Head Quarter/ Block office) are located in the same town then only one office has to be chosen where the POP can be created. For WBSWAN connectivity, the other Head quarters located in the same town would be treated as a Co-located Node. These Nodes will be the edge nodes of the WBSWAN and will uplink to the nearest POP. The connectivity modes and media will vary depending on the distance from the respective POP, availability of local resource, the ambient terrain etc. GoWB had segregated the nodes between POP and Co located node based on the above criteria. The same has been approved by DIT,GOI . In annexure A The List of the Colocated nodes and their Respective POPs are attached 1.3 CONNECTIVITY CLASSIFICATION OF CO-LOCATED NODES As the distance and terrain between the co-located nodes and their respective nodes vary the connectivity technique and medium varies. WBEIDC has surveyed the Leased Circuit facilities present at various locations as well as other ambient criteria and has classified the co-located primarily in 3 categories: Category A : If the distance of the nearest POP from the collocated node is > 2 Km, the proposed connectivity would be through 2 Mbps BSNL leased line. The basic architecture along with the equipment deployment details at the POP, and proposed connectivity schematic are shown in diagram 1 of annexure B. Category B: If the distance of the nearest POP is within 2 Km, but is greater than 150 metres, the connectivity can be achieved using dead copper pair leased from BSNL. proposed connectivity schematic are shown in diagram 2 of annexure B. . Category C: If the collocated node is situated within 150 mtrs from the WBSWAN POP, it can be connected with the WBSWAN back bone through LAN using Cat 6 cables. The Normal indoor cable laying shall be done through casings, while reinforced catenaries cable laying would be used for outdoor portions 1.4 Scope of current Project The scope of the project is to create the co-located nodes in the listed locations through WBEIDC LIMITED December 29, 2008 6 Setting up of WBSWAN Co-Located Nodes • • • • Request for Proposal Study the IP scheme and associated connectivity and security standards being followed in WBSWAN. Design a proper set of equipment for implementing the seamless integration of the co-located nodes supply and installation of the necessary equipment Help WBEIDC to procure the Leased Circuit from BSNL through proper liasoning and providing appropriate on site support for testing and integration of the Links Provide on site warranty support as per the desired criteria Details of equipment deployed in each category of the WBSWAN POPs are attached herewith in Annexure C. The proposed expansion should also follow the DIT,GOI guideline on inter operability and future expandability. Detailed Scope of Work, proposed connectivity diagram and required minimum specification of equipment to be used is enclosed in the section titled SCOPE OF WORK . While implementing the project, the support for the equipment supplied shall be for the entire period of the contract as stipulated in the warranty clause. Interface to the POP should be provided in such a manner that the existing configuration remains unaltered. In the event, certain configuration changes to be made to ensure continuous operation, it will be the responsibility of the contractor to get the same done through the WBSWAN network operator (TULIP)1, free of cost The contractor would hence be required to study the existing WBSWAN set up and follow the existing IP address scheme already in use. 1.5 EXECUTION MODALITIES The project is proposed to be executed in a supply, install, commission and support mode. The contractor would execute the project in a time bound manner . The general guidelines of implementation of the project and time schedule are detailed in subsequent sections. The payment terms are detailed in section titled Payment Schedule. The contractor would be chosen through a competitive bidding process through a response to this RFP. Government of West Bengal will provide suitable space at the respective co located node locations. In line with the entire WBSWAN project guidelines, the State Government will provide for the space (approx .100 sq ft area) and power source for creation of the colocated nodes. West Bengal Electronics Industries Development Corporation Limited (WBEIDC Ltd), the Implementing Agency appointed by DIT.GOI for the WBSWAN project, would coordinate with the district authorities for availability of sites etc. Once each site is completed, a Partial Acceptance Test would be carried out. Upon completion of all sites a Final Acceptance Test would be taken up. Payment will be released only on completion of final Acceptance Test.2 The contractor would provide onsite warranty maintenance support free of charge for the contract period of 3 years through deployment of suitable equipment, and arranging for spares . The service support should meet the norms as outlined in the section titled “Warranty support” to ensure a high uptime of all equipment supplied.. The bidder should 1 WBEIDC will , if needed, help the contractor in implementing the necessary changes at the POP end. However such change will be initiated if WBEIDC is technically convinced about the inevitable need for such change 2 In the event any site is not available with in 180 days from the commencement of the project by the Contractor, the FAT will be conducted with the completed site only. The contractor would be temporarily hold the equipment which could not be at their premises and once the sites are available should complete the commissioning with in 30 days WBEIDC LIMITED December 29, 2008 7 Setting up of WBSWAN Co-Located Nodes Request for Proposal quote Annual Maintenance charge for the 4th & 5th year for operation for each category of site individually. The terrestrial Leased Circuits/dead copper as per requirement, will be procured from BSNL as the Bandwidth provider . The cost towards the Leased Circuits for the entire period of the contract will be borne by the State Government independent of this contract. The payment to the Bandwidth provider will be made directly by the Government of West Bengal. WBEIDC LIMITED December 29, 2008 8 Setting up of WBSWAN Co-Located Nodes Request for Proposal INSTRUCTIONS TO BIDDERS Definitions In this document, the following terms shall have following respective meanings: “Acceptance Test Document” means a document, which defines procedures for testing the functioning of the Colocated Nodes of WBSWAN against requirements laid down in this document. “Agreement" means the Agreement to be signed between the successful bidder and WBEIDC LTD including all attachments, appendices, all documents incorporated by reference thereto together with any subsequent modifications, the RFP, the bid offer, the acceptance and all related correspondences, clarifications, presentations. “Bidder” means any firm offering the solution(s), service(s) and /or materials required in the RFP. The word Bidder when used in the pre award period shall be synonymous with Bidder, and when used after award of the Contract shall mean the successful Bidder with whom WBEIDC LTD signs the agreement for supply, install, commission and render services for the Colocated Nodes of WBSWAN. “Contract” is used synonymously with Agreement. “Contract Price” means the price to be paid to the Contractor for providing the Solution, in accordance with the payment terms. “Contractor” means the Bidder whose bid to perform the Contract has been accepted by WBEIDC LTD and is named as such in the Letter of Award. “Default Notice” shall mean the written notice of Default of the Agreement issued by one Party to the other. “Final Acceptance Test (FAT)” means the acceptance testing of the total network including equipment at all collocated nodes. “Fraudulent Practice” means a misrepresentation of facts in order to influence a procurement process or the execution of a Contract and includes collusive practice among Bidders (prior to or after Bid submission) designed to establish Bid prices at artificial non-competitive levels and to deprive the WBEIDC LTD and eventually Gov. of W. Bengal of the benefits of free and open competition. “Good Industry Practice” shall mean the exercise of that degree of skill, diligence and prudence which would reasonably and ordinarily be expected from a reasonably skilled WBEIDC LIMITED December 29, 2008 9 Setting up of WBSWAN Co-Located Nodes Request for Proposal and experienced Operator engaged in the same type of undertaking under the same or similar circumstances. “Government” / “Gov. of W. Bengal”/ GoWB means the Government of West Bengal. “GoI” shall stand for the Government of India. "Installation” means that the laying down and installation of the Solution in accordance with this Contract. “Party” means the WBEIDC LTD or the Bidder, as the case may be, and “Parties” means both of them. “Personnel” means persons hired by the Bidder as employees and assigned to the performance of the offered Solution or any part thereof. “Project” means the Supply, Installation and Commissioning of Co located nodes as detailed here under “Project Plan” means the document to be developed by the Contractor and approved by WBEIDC LTD, based on the requirements of the Contract and the Preliminary Project Plan included in the Contractor’s bid. For the sake of clarity, “the Agreed and Finalised Project Plan” refers to the version of the Project Plan submitted by the contractor after receiving the letter of Award and the same, approved by WBEIDC LTD. The project plan may be changed/ modified during the course of the project. Should the Project Plan conflict with the provisions of the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail. “Implementation Period” shall mean the period from the date of signing of the Agreement and up to the issuance of Final Acceptance Certificate for the project. “Services” means the work to be performed by the Bidder pursuant to this Contract, as described in the detailed Scope of Work. “Interest rate” means ‘364 days Government of India (GoI) Treasury Bills’ rate. "Law" shall mean any Act, notification, bye law, rules and regulations, directive, ordinance, order or instruction having the force of law enacted or issued by the Central Government and/ or the Government of West Bengal or any other Government or regulatory authority or political subdivision of government agency. “LOI” means issuing of Letter of Intent shall constitute the intention of the WBEIDC LTD to place the Purchase Order with the successful bidder. "Operator" means the company providing the services under Agreement. “Partial Acceptance Test (PAT)” means the provisional acceptance testing of respective Co Located Node after completion of activity outlined against individual node as detailed in “Scope of Work” WBEIDC LIMITED December 29, 2008 10 Setting up of WBSWAN Co-Located Nodes Request for Proposal “Period of Agreement" means 3 years from the date of Final acceptance of the Project “Requirements” shall mean and include schedules, details, description, statement of technical data, performance characteristics, standards (Indian as well as International) as applicable and specified in the Contract. “Site” shall mean the location(s) for which the Contract has been issued and where the service shall be provided as per agreement. “Service" means provision of Contracted service viz., operation, maintenance and associated services for Co located Nodes as per Section titled “Scope of Work “ “Termination Notice” means the written notice of termination of the Agreement issued by WBEIDC LTD "Uptime" means the time period when specified services are available with specified technical and service standards as mentioned in section titled Warranty Support "%Uptime" means ratio of 'up time' (in minutes) as mentioned in section titled Warranty Support "Service Down Time" (SDT) means the time period when specified services with specified technical and operational requirements as mentioned in section titled Warranty Support” are not available to Gov. of W. Bengal and its user departments and organisations. The network shall be operational on all days of a year and 24-hours/ day. “WBEIDC LTD” means West Bengal Electronics Industry Development Corporation Limited a Gov. of W. Bengal undertaking appointed as implementing Agency of the WBSWAN Expansion project on behalf of Department of Information Technology, GoWB referred to as WBEIDC LTD herein. WBEIDC LIMITED December 29, 2008 11 Setting up of WBSWAN Co-Located Nodes Request for Proposal Cost of bidding The Bidder shall bear all costs associated with the preparation and submission of the Bid, and WBEIDC LTD will in no case be responsible for those costs, regardless of the conduct or outcome of the bidding process. Bid document Bidder is expected to examine all instructions, forms, terms, and requirements in the bid document. The invitation to Bid together with all its attachments thereto, shall be considered to be read, understood and accepted by the Bidder unless deviations are specifically stated in seriatim by the Bidder. Failure to furnish all information required by the bid document or a Bid not substantially responsive to the bid document in every respect may result in the rejection of the Bid. Amendment of bid document At any time before the deadline for submission of bids, WBEIDC LTD for any reason, whether at its own initiative or in response to the clarifications requested by bidders may modify the bid document by amendment thereto. All bidders who have purchased the bid document will be notified of the amendment, and such modification will be binding on them. Modification and Withdrawal of Bids The Bidder may modify or withdraw its bid after submission, if written notice of the modification or withdrawal is received by WBEIDC LTD before the deadline prescribed for bid submission. The Bidder’s modification shall be prepared, sealed, marked and dispatched as follows: The Bidders shall provide an original and one (1) copy of any modifications to its bid, clearly identified as such, in two inner envelopes duly marked “Bid ModificationsOriginal” and “Bid Modifications-Copies”. The inner envelopes shall be sealed in an outer envelop, which shall be duly marked “Bid Modifications”. Other provisions concerning the marking and dispatch of bid modifications shall be in accordance with the RFP. A Bidder wishing to withdraw its bid shall notify WBEIDC LTD in writing prior to the deadline prescribed for bid submission. A withdrawal notice may be sent by post or by telefax followed by post confirmation postmarked not later than the deadline for submission of bids. The notice of withdrawal shall be addressed to WBEIDC LTD at the WBEIDC LIMITED December 29, 2008 12 Setting up of WBSWAN Co-Located Nodes Request for Proposal address as mentioned / stated in the documents, bear the tender reference number and the words “BID WTHDRAWAL NOTICE”. Bid Withdrawal notices received after the bid submission deadline will be ignored, and the submitted bid will be deemed to be a validly submitted bid. No bid may be withdrawn in the interval between the bid submission deadline and the expiration of the bid validity period specified in the RFP. Withdrawal of a bid during this interval may result in the Bidder’s forfeiture of its EMD, pursuant to this RFP. Language of bid The Bid prepared by the Bidder, as well as all correspondence and documents relating to the Bid exchanged by the Bidder and WBEIDC LTD, shall be in English. Supporting documents and printed literature furnished by the bidder may be in any other language provided they are accompanied by an accurate translation of the relevant pages in English. For purposes of interpretation of the bid, the translation shall govern Bidders solution The bidders are required to study the schematic and Bill of Material supplied with this document carefully. While working out the solution the bidder has to work with the broad item specification provided in the tender documents, conforming to the model, make and Part number (where ever provided). While submitting the bid the bidder has to detail out all components, including cable connectors etc, needed to complete the system B.O.M. The bidder is required to validate the system design retaining all major components detailed and specified. Deficiency in the broad system schematic supplied can never be cited as a cause for non performance of the system. As the contractor will be responsible for smooth functioning of network, availability of spares during the tenure of the warranty period, have to be taken care of by the contractor to maintain the guaranteed uptime. Eligible Bidder The bidder shall meet the following criteria for eligibility: for the project 1. The bidder shall be an Information Technology company or be a subsidiary of an Information Technology company and shall be either an Original Equipment Manufacturer or its Authorized System Integrator(s) in India. WBEIDC LIMITED December 29, 2008 13 Setting up of WBSWAN Co-Located Nodes Request for Proposal 2. The bidder must have been associated with a WAN project for e governance in India. The bidder should have adequately trained manpower and have configured and implemented similar systems in a WAN environment. 3. The bidder shall have company registration certificate, registration under Labour Laws Contract Labour (Regulation & Abolition Act) Act, valid sales tax registration certificate and valid service tax registration certificate and shall all licenses required to perform the works mentioned in the Scope of Work. 4. The bidder or the principal whose component is proposed to be used shall preferably have Quality certification (ISO 9000 etc ) 5. The bidder shall have a minimum annual turnover of Rupees 1 Crore in selling IT network solutions products for each of the past three years. 6. The bidder shall have independently completed at least two projects each of minimum value Rs 10 Lakhs involving networks of WANs within last five years having voice/ data/ video services in India or outside India. References (contact details, customer completion certificate, customer etc) for these projects shall be provided. . 7. The bidder should have a call centre operational between 9 AM to 7 PM on all days of the year. Each registered call would be provided a unique number. All received calls and their resolution details have to be communicated to WBEIDC LTD on a fortnightly basis during the entire period of the contract. 8. The bidder should provide an undertaking that in the event he wins the contract he would effect a response time for breakdown call with in next business day (nbd). 9. The local presence of the bidder in Kolkata is mandatory. In case bidder has no presence in Kolkata, bidder shall furnish an undertaking that an office shall be opened in Kolkata with sufficient personnel and inventory of spares within a month of award of the contract. 10. The Bidder should have adequate certified professionals, certified/ trained from the Original Equipment manufacturer (OEM) whose equipment would be quoted. 11. Bidders with experience in supporting/executing an IT project across the state of West Bengal would be preferred. BID SECURITY (EMD) Value of EMD:Rs.10,000/-. (Rs. Ten Thousand only) The Bidder shall submit EMD / Bid Guarantee amount along with Technical and Commercial Proposal in a separate sealed envelope super-scribed with EMD details. WBEIDC LIMITED December 29, 2008 14 Setting up of WBSWAN Co-Located Nodes Request for Proposal The proposals without EMD are liable to be rejected. EMD should be submitted under separate cover super scribed with EMD details and may be submitted in any of the following forms : A crossed Bank Draft/ Pay Order in favour of WBEIDC Ltd, payable at Kolkata issued by any Nationalised bank/Scheduled Bank. Conditions For Invocation of EMD: The EMD may be forfeited: If the Bidder withdraws its bid during the period of bid validity specified by the Purchaser. If the Bidder does not accept an arithmetical correction in its Bid Price. In the case of a successful Bidder, if the Bidder fails within the specified time limit to furnish the acceptance of Letter of Award. . Unsuccessful Bidder's Bid security shall be returned within sixty (60) days after the expiration of the period of Bid validity prescribed by WBEIDC LTD or decision of Award of contract, which ever is later. The Successful bidders EMD will be returned after the bidder provides the Requisite Performance guarantee or Successful Completion of the Final Acceptance Test. Evaluation Criteria Bid Security WBEIDC LIMITED December 29, 2008 16 Setting up of WBSWAN Co-Located Nodes Request for Proposal Bidders who have submitted the valid bid security ( EMD) as per the format shall be considered for further evaluation. Absence of proper EMD may lead to summary rejection of the bid. Organizational capability A detailed organization profile of the bidder outlining their capability in executing complex projects, skills and experience in integrating network, hardware and systems, their financial strength would be evaluated and rated. Technical The bid shall also be rated based on the following: i) Compliance to the requirement ii) Proposed CONNECTIVITY solution iii) Proposed time schedule iv) Proposal Presentation including the completeness of the technical bid. Financial Financial Bids of those who have techno-commercially qualified only shall be opened for further evaluation and would be taken into consideration for overall rating. WBEIDC LTD reserves the right to choose the most over all responsive bidder and not necessarily the bidder with lowest Financial Quote. Bid Evaluation The WBEIDC LTD will examine the bids to determine whether they are complete, whether any computational errors have been made, whether required sureties have been furnished, whether the documents have been properly signed, and whether the bids are generally in order. Before the detailed evaluation, the WBEIDC LTD will determine whether each bid is of acceptable quality, is complete, and is substantially responsive to the Bidding Documents. For purposes of this determination, a substantially responsive bid is one that conforms to all the terms, conditions, and specifications of the Bidding Documents without material deviations, exceptions, objections, conditionality, or reservations. A material deviation, exception, objection, conditionality, or reservation is one: (i) That limits in any substantial way the scope, quality, or performance of the Information System; (ii) That limits, in any substantial way that is inconsistent with the Bidding Documents, the WBEIDC LTD’s rights or the successful Bidder’s obligations under the Contract; WBEIDC LIMITED December 29, 2008 17 Setting up of WBSWAN Co-Located Nodes Request for Proposal (iii) The acceptance of which would unfairly affect the competitive position of other Bidders who have submitted substantially responsive bids. (iv) That the bidder is in no way contracted for some functionalities (or in knowledge of a possible contract) with the WBEIDC LTD or Government of West Bengal for the same project, from which it can unfairly influence the project. Under such circumstances, the bid would be termed as “not responsive” and be summarily rejected. If a bid is not substantially responsive, it will be rejected by the WBEIDC LTD and may not subsequently be made responsive by the Bidder by correction of the nonconformity. The WBEIDC LTD’s determination of bid responsiveness will be based on the contents of the bid itself and will be final and binding on the bidders. Examination of Techno-Commercial Bids The technical bids shall be examined for completeness and clarifications, if any, may be sought for from the respective Bidders in case the same is considered essential. Non conformity to the specifications of goods and services as mentioned in the Technical Section can lead to a bid being considered as “not substantially responsive” and hence be summarily disqualified. Evaluation of Commercial bids The commercial bids of only the technically qualifying bidders shall be opened for consideration All technical deviations would be rated and then would be normalized for financial evaluation. The normalizing process would be as follows: Goods and Services that are required but have been left out or are necessary to correct minor deviations of the bid will be added to the total bid price using costs taken from the highest prices from other responsive bids for the same Goods and Services or at prevailing list prices from published web site or documents, whichever is higher. .Commercial bids shall be compared for the complete scope of work as per the Price Proposal Schedule, inclusive of all taxes and duties. . No margin of preference will be granted for any other price component, and Bidders will not be permitted or required to modify the source of any hardware, Software, related equipment, Materials, products, or other Goods, as well as related Services after bid opening. Post Qualification The determination will evaluate the Bidder’s financial, technical, design, integration, customization, production, management, and support capabilities and will be based on an examination of the documentary evidence of the Bidder’s qualifications, as well as WBEIDC LIMITED December 29, 2008 18 Setting up of WBSWAN Co-Located Nodes Request for Proposal other information the WBEIDC LTD deems necessary and appropriate. This determination may include visits or interviews with the Bidder’s clients referenced in its bid, site inspections, and any other measures. At the time of post-qualification, the WBEIDC LTD may also carry out tests to determine that the performance or functionality of the networking solution offered meets those stated in the Detailed Technical Specification. Award of Contract An affirmative post-qualification determination will be a prerequisite for award of the Contract to the most overall responsive Bidder. A negative determination will result in rejection of the Bidder’s bid, in which event the WBEIDC LTD will proceed to the next lowest evaluated Bidder to make a similar determination of that Bidder’s capabilities to perform satisfactorily. The WBEIDC LTD will award the Contract to the successful Bidder whose bid has been determined to be substantially responsive after the final negotiation held with the most responsive bidder, if required. Contract Execution On receipt of the Letter of Award the contractor should sign the contract with WBEIDC LTD for execution of the project. Subsequently the contractor will have to arrange for the requisite material as per B.O.M. The material will have to be offered for pre delivery inspection at the contractor’s godown in Kolkata to be pre designated by the contractor. WBEIDC LTD may arrange for pre delivery inspection of the material. In the event the material is not acceptable for what so ever reason the material will have to be replaced by the vendor. On successful pre delivery inspection the vendor would raise location wise delivery challans on WBEIDC LTD. WBEIDC LTD will in turn provide the necessary documentation based on which the material will have to be delivered and installed at the designated locations. On successful installation by the contractor the system will be put through the Acceptance Test Routines. The acceptance Test will be carried out in presence of WBEIDC representative. The Acceptance test will be carried out as and when all activities relating to a particular site is carried out. The contractor will raise necessary invoice based on reaching mile stones described in section Titled “Payment Terms”. WBEIDC LIMITED December 29, 2008 19 Setting up of WBSWAN Co-Located Nodes Request for Proposal On successful completion of the Acceptance Test the warranty period count down will start. The warranty service support would have to be provided for 3 years from the date of system acceptance by WBEIDC LTD. Completion of Contract Unless otherwise terminated under the provisions of any other relevant clause of the document, contract shall be deemed to have been completed after issuance of successful completion of warranty support for the entire project which would be 3 years from the issuance of the System Acceptance from WBEIDC LTD in accordance with Acceptance Criteria as defined in the scope of work. Acceptance Certificate shall be issued for each Phase completed as and when the respective tasks associated with the Phase get completed Time Schedule The entire work should be completed within 3 months from the Contract. date of signing of Programme of Work The Contractor shall intimate WBEIDC LTD at least seven (7) days before the commencement of execution of the contract, submit to the purchaser a programme of work giving the estimated date that each part or branch of the work will be commenced and completed.. These programmes shall be subject to approval and/or modification by the purchaser. The contractor should time their execution so that it coincides with the Leased circuit availability and site readiness. The contractor should duly liason with agencies providing the above through WBEIDC and notify the purchaser in writing if they foresee any undue delay which eventually would affect the project implementation time lines. Contract performance guarantee As a guarantee for performance of the contract pertaining to proper running of the WAN system, WBEIDC LTD will retain 10% of the contract value as security. The security deposit @10% will be deducted from the progressive bills. For fulfilment of satisfactory warranty and support services from the contractor security deposit can be released on receipt of Bank guarantee for amount retained by WBEIDC LTD. The guarantee has to be executed in prescribed format to be supplied by WBEIDC LTD. However this can be effected only after 1 year of satisfactory completion of Warranty support i.e. trouble free operation of the WAN. The bank Guarantee would have to be valid for 2 years i.e. till the expiry of the warranty. WBEIDC LIMITED December 29, 2008 20 Setting up of WBSWAN Co-Located Nodes Request for Proposal However if there is any adverse report regarding warranty support and services, the validity of the bank guarantee may have to be increased so as to cover the additional warranty period In the event of repeated failure to meet the service level as mentioned in section under warranty services, the security deposit may be forfeited or the bank guarantee invoked without any further notice. Suspension of Work WBEIDC LTD shall have power at any time and from time to time by notice to the Contractor, to delay or suspend the progress of the work or any part of the work due to any other adequate reasons and on receipt of such notice, the Contractor shall forthwith suspend further progress of the work until further notice from WBEIDC LTD The Contractor shall recommence work immediately after receiving a notice to do so from WBEIDC LTD The whole or any part of the time lost for such delay or suspension shall, if WBEIDC LTD in its absolute discretion thinks fit, but not otherwise, be added to the time allowed for completion. Payment Terms Normally 80% of the payment will be made on successful completion of Partial Acceptance. This payment however will be made in 3 batches and the contractor will be eligible to claim in batches of 1/3rd of the total number of sites . Successful pre delivery (if opted for by the customer)3 and post delivery inspection report has to be submitted by the contractor along with the bill. The payment will be released only after deduction of proportional security deposit and statutory deduction of tax as per prevailing Government orders. Balance payment will be made on successful commissioning of the total number of sites and completion of Final acceptance of the system. The payment in each phase will be released only after deduction of proportional security deposit and statutory deduction of tax as per prevailing Government orders. Liability In case of a default on Contractor’s part or other liability, WBEIDC LTD shall be entitled to recover damages from Contractor. In each such instance, regardless of the basis on which WBEIDC LTD is entitled to claim damages from Contractor (including fundamental breach, negligence, misrepresentation, or other contract or tort claim), Contractor shall be liable for no more than: 1. Payments referred to in the Patents and Copyrights section below: 3 If WBEIDC waives the pre delivery inspection it will intimate the contractor in writing to that effect. The contractor will then have to submit the same along with the invoices for claiming the payment . WBEIDC LIMITED December 29, 2008 21 Setting up of WBSWAN Co-Located Nodes 2. Request for Proposal Liability for bodily injury (including death) or damage to real property and tangible personal property limited to that caused by Contractor’s negligence; and As to any other actual damage arising in any situation involving non performance by Contractor pursuant to, or in any way related to, the subject of this Agreement, the charge paid by WBEIDC LTD for the individual Product or Service that is the subject of the claim. 3. However, the Contractor shall not be liable for: (i) For any indirect, consequential loss or damage, lost profits, third party loss or damage to property or loss of or damage to data; and For any direct loss or damage that exceeds the total payments for Contract Price made or expected to be made to the Contractor hereunder. (ii) Patents & Copyright If a third party claims that a product delivered by the Contractor to WBEIDC LTD infringes that party’s patent or copyright, the Contractor shall defend WBEIDC LTD against that claim at Contractor’s expense and pay all costs, damages, and attorney’s fees that a court finally awards or that are included in a settlement approved by Contractor, provided that WBEIDC LTD (i) Promptly notifies Contractor in writing of the claim (ii) Allows Contractor to control, and cooperates with Contractor in the defence and any related settlement negotiations. Remedies: If such a claim is made or appears likely to be made, WBEIDC LTD would permit Contractor to enable WBEIDC LTD to continue to use the product, or to modify it, or replace it with one that is at least functionally equivalent. If Contractor determines that none of these alternatives is reasonably available, WBEIDC LTD agrees to return the product to Contractor on Contractor’s written request. Contractor will then give WBEIDC LTD a credit equal to: for a machine, WBEIDC LTD’s net book value (provided WBEIDC LTD has followed generally accepted accounting principles; for a generally available software product produced by Contractor (“Program”) the amount paid by WBEIDC LTD or 12 months’ charges (whichever is lesser); and for materials, the amount paid by WBEIDC LTD for the materials. These will be Contractor’s entire obligation regarding any claims of infringement. Claims for which Contractor is not responsible: The Contractor has no obligation for any claim based on the following: WBEIDC LTD’s modification of a product, or a program’s use other than in its specified operating environment; Infringement by a product not carrying the logo of the Contractor or an unwarranted program alone. WBEIDC LIMITED December 29, 2008 22 Setting up of WBSWAN Co-Located Nodes Request for Proposal Governing Laws This Contract shall be governed by and interpreted in accordance with Laws in force in India. The Courts at Kolkata shall have exclusive jurisdiction in all matters arising under the contract. The Contractor shall keep himself fully informed of all current national, state and municipal law and ordinances. He shall conduct the work in compliance with all such laws and ordinances. The Contractor, shall, at his own expense, obtain all necessary permits and licenses and pay all fees and taxes required by law. Workmen’s Compensation In every case in which by virtue of the provisions of the workmen’s compensation Act, 1923, or any other relevant acts and rules, compensation to a workmen employed by the Contractor, is payable, then this should be done by the Contractor. If WBEIDC LTD is obliged to make any compensation under the said rules and acts, then the amount shall be recovered without prejudice, from the bills and dues of the Contractor. WBEIDC LTD shall not be bound to contest any claim made against the Contractor in respect of workmen’s compensation Contractor’s Employees The Contractor shall comply with the provision of all labour legislation including the requirement of the payment of Wages Act, 1936 and the rules framed there under and modifications thereof in respect of men employed by him in carrying out the contract. The Contractor shall see that all authorized Sub-Contractors under him similarly comply with the above requirements. Safety Measures The Contractor shall in the course of execution of the work take all necessary precautions for the protection of all persons and property. The Contractor shall take adequate measures to protect the work and prevent accidents during the construction. In the event of any accident to any person or persons or damage or injury of any description to any person or property due to failure on the part of the contractor in taking proper precautionary measures the Contractor shall be responsible for and must make good the loss the damage at his own cost to the satisfaction of WBEIDC and employees of the WBEIDC shall be indemnified from all claims or liabilities arising there from or any expenses incurred on account thereof WBEIDC LIMITED December 29, 2008 23 Setting up of WBSWAN Co-Located Nodes Request for Proposal Equipment All hardware / software tools & tackles necessary for the work shall have to be procured by the Contractor unless otherwise specified elsewhere in these tender documents. The equipment used by the Contractor for a particular work must be appropriate for the type of work. The Contractor shall maintain the equipment used in the work properly so that they are in good working condition. In no case shall the Contractor use defective or imperfect equipment in the work. The Contractor shall arrange to replace or repair all defective equipment so that the progress of the work is not hampered. No defective equipment should be left at the site of work, and the Department shall not be responsible for any loss or damage to any of these equipments during the course of the execution of the work. Sub-Contractors The purchaser (WBEIDC LTD) does not recognize the existence of Sub-contractors. The Contractor’s responsibilities are not transferable. Termination for Default WBEIDC LTD may without prejudice to any other remedy or right of claim for breach of contract, by giving not less than 30 days written notice of default sent to the Contractor, terminate the Contract in whole or in part If the Contractor materially fails to render any or all the services within the time period (s) specified in the Contract or any extension thereof granted by WBEIDC LTD in writing and fails to remedy its failure within a period of thirty (30) days after receipt of the default notice from WBEIDC LTD. If the Contractor in the judgment of WBEIDC LTD has engaged in corrupt or fraudulent practices in competing or in executing the contract If the project (delivery , commissioning as well as warranty maintenance support ) is not carried out according to specification due to deficiency in service as per terms of the contract. In such case WBEIDC LTD will invoke the amount held back from the contractor as CPG In case the termination has to be done for non performance of Phase I and for which the go ahead of Phase II can not be accorded WBEIDC LTD may additionally invoke the EMD amount deposited with them. Bankruptcy If the Contractor becomes bankrupt or have a receiving order made against him or compound with his creditors or being a corporation commence to be wound up, not being a voluntary winding up for the purpose only or amalgamation or reconstruction, or carry on their business under a receiver for the benefit of their creditors or any of them, WBEIDC LTD shall be at liberty to terminate the engagement forthwith without any WBEIDC LIMITED December 29, 2008 24 Setting up of WBSWAN Co-Located Nodes Request for Proposal notice in writing to the Contractor or to the liquidator or receiver or to any person in whom the Contractor may become vested and without any compensation to give such liquidator or receiver or other person the option of carrying out the engagement subject to their providing a guarantee for the due and faithful performance of the engagement up to an amount to be determined by WBEIDC LTD. Suspension of Obligations The obligation stipulated in this specification can only be suspended in the case of any particular item of work, in the event of Force Majeure as defined in Clause 37 or as the result of an agreement between the parties. In the event of force majeure, neither of the parties may be considered in default of its obligations under the terms of this RFP. Force Majeure Force Majeure is hereby defined as any cause, which is beyond the control of the Contractor or WBEIDC LTD as the case may be, which such party could not foresee or with a reasonable amount of diligence could not have foreseen, and which substantially affect the performance of the Contract, such as: (a) War, hostilities, or warlike operations (whether a state of war be declared or not), invasion, act of foreign enemy, and civil war; (b) Rebellion, revolution, insurrection, mutiny, usurpation of civil or military government, conspiracy, riot, civil commotion, and terrorist acts; (c) Confiscation, nationalization, mobilization, commandeering or requisition by or under the order of any government or de jure or de facto authority or ruler, or any other act or failure to act of any local state or national government authority; (d) Strike, sabotage, lockout, embargo, import restriction, port congestion, lack of usual means of public transportation and communication, industrial dispute, shipwreck, shortage of power supply epidemics, quarantine, and plague; (e) Earthquake, landslide, volcanic activity, fire, flood or inundation, tidal wave, typhoon or cyclone, hurricane, nuclear and pressure waves, or other natural or physical disaster; If either party is prevented, hindered, or delayed from or in performing any of its obligations under the Contract by an event of Force Majeure, then it shall notify the other in writing of the occurrence of such event and the circumstances of the event of Force Majeure within fourteen (14) days after the occurrence of such event. The party who has given such notice shall be excused from the performance or punctual performance of its obligations under the Contract for so long as the relevant event of Force Majeure continues and to the extent that such party’s performance is prevented, hindered, or delayed. The party or parties affected by the event of Force Majeure shall use reasonable efforts to mitigate the effect of the event of Force Majeure upon its or their performance of the WBEIDC LIMITED December 29, 2008 25 Setting up of WBSWAN Co-Located Nodes Request for Proposal Contract and to fulfil its or their obligations under the Contract, but without prejudice to either party’s right to terminate the Contract. No delay or non-performance by either party to this Contract caused by the occurrence of any event of Force Majeure shall: (a) Constitute a default or breach of the Contract; (b) Give rise to any claim for damages or additional cost or expense occasioned by the delay or non-performance; if, and to the extent that, such delay or non-performance is caused by the occurrence of an event of Force Majeure. Insurance Taken by Contractor Appropriate insurance to cover all solution components for the transit period and until the time of its acceptance at the respective site is to be taken by the Contractor. As the contractor will carry the risk for the material in his books, the contractor should arrange insurance for the total system as installed and accepted under Final Acceptance Test for the entire period from the commencement of contract till the Acceptance Test is successfully achieved. Further, the Contractor is to take all required insurance coverages in respect of all its personnel who shall be working on this engagement Handling of Documents/ Confidentiality As and when required before final acceptance of work or upon termination of the Contract, the documents prepared specifically for this engagement (including originals) shall be handed over to WBEIDC LTD. WBEIDC LTD shall own copyright / on behalf of PHE Dept in materials created as the result of the Contractor's performance of services and a license back to use the same shall be granted. The Contractor shall take all necessary steps to ensure confidential handling of all information developed or acquired by him from WBEIDC LTD / DIT,GoWB under terms of the Contract or in performance thereof. The employees of the Contractor & his subcontractors who have been associated with the project may, subject to limitations of human memories use the experience and the general knowledge gained by them in the course of performance of this project Warranty The Contractor will warrant that products supplied under the Contract, are newly made and are free from defects in the design, engineering, and workmanship for a period of 3 years. The other details of warranty support are enumerated under the head Tender Specific execution guidelines, clause # 11 & 12 WBEIDC LIMITED December 29, 2008 26 Setting up of WBSWAN Co-Located Nodes Request for Proposal Contractor’s Responsibilities The Contractor shall conduct all Contracted activities with due care and diligence, in accordance with the Contract and with the skill and care expected of a competent provider of Infrastructure Solution facility creator, Subsystems, and other related services, or in accordance with best industry practices. The Contractor confirms that it has entered into this Contract on the basis of a proper examination of the data relating to the facility provided by WBEIDC LTD and on the basis of information that the Contractor could have obtained from a visual inspection of the site. The Contractor acknowledges that any failure to acquaint itself with all such data and information shall not relieve its responsibility for properly estimating the difficulty or cost of successfully performing the Contract. The Contractor shall be responsible for on site delivery, timely provision of all resources, information, and decision making under its control that are necessary to reach a mutually agreed and finalized project within the time schedule. The Contractor shall acquire in its name all permits, approvals, and/or licenses from all local, state, or national government authorities or public service undertakings that are necessary for the performance of the Contract. All software and other product licenses should be taken in the name of Public Health Dept Government of West Bengal The Contractor shall comply with all relevant laws in force in India. In particular, the Contractor shall provide and employ only such personnel who are skilled and experienced in their respective callings and supervisory staff who are competent to adequately supervise the work at hand. The Contractor assumes primary responsibility for all the testing for the Infrastructure Solution, in accordance with relevant provisions of this RFP. The contractor should commence services for the part of network as soon as Partial Acceptance Test as outlined in the RFP is achieved. After achieving successful completion of the Acceptance Test, the contractor should hand over all relevant documentation like configuration details of various Hardware and Software packages used, Connectivity diagram, licensing details, user name, password for routers etc. for the part of the network for which the Acceptance certificate has been issued by WBEIDC LTD. This is to be done to the satisfaction of WBEIDC LTD prior to submitting the invoice. To achieve the above deliverables the Contractor on receipt of the contract the would o o o o Designate a single point of contact for WBEIDC LTD within 7 days from the award of contract Activate help desk at Kolkata in respect of the current project and intimate Point of contact to Purchaser Submit detailed IMPLEMENTATION PLAN This should also indicate expected dates of the events. Delivery of equipment Installation and commissioning Integration with the Internet feed Coordination with SW vendor for setting up of Mail and Web Server Set up central monitoring facility Phase wise offering of System for Partial acceptance Final Acceptance Purchaser’s Responsibilities WBEIDC LTD shall be responsible for provision of all resources, access, and information, under its control that are necessary during implementation of work relating to this job. The confidentiality of the data being shared shall be maintained. The following facilities shall be provided for working on the assignment: WBEIDC LTD will work with GoWB to identify the site needed for installation of equipments WBEIDC LTD in consultation with the Government of West Bengal having already made advance payment for the Leased Line charges to BSNL would initiate the process of Bandwidth Allocation centrally. WBEIDC LTD or its representative will supervise the Installation and Commissioning Test of equipment and services including Partial Acceptance/ Final Acceptance Test as per laid down criteria. The contractor to conduct such tests shall provide all assistance. WBEIDC LTD will designate appropriate staff & end user for the training courses, to be given by the Contractor and shall endeavour to make all appropriate logistical arrangements for such training. . WBEIDC LTD will endeavour in conjunction with the local authorities of the Government of West Bengal to provide safe working conditions in and adjoining to its premises and to maintain security and safety of such places. No Waiver of Rights Neither the inspection by WBEIDC LTD or any of their agents nor any order by WBEIDC LTD for payment of money or any payment for or acceptance of, the whole or any part of the Works by WBEIDC LTD, nor any extension of time, nor any possession taken by WBEIDC LTD shall operate as a waiver of any provision of the Contract, or of any power reserved to WBEIDC LTD, or any right to damages here in provided, nor shall any WBEIDC LIMITED December 29, 2008 28 Setting up of WBSWAN Co-Located Nodes Request for Proposal waiver of any breach in the Contract be held to be a waiver of any other or subsequent breach. Grafts, Commissions, Gifts etc It is the Purchaser’s policy to require that Bidders, Suppliers, Contractors, and Consultants under contracts, observe the highest standard of ethics during the procurement and execution of such contracts. Any graft, commission, gift or advantage given, promised or offered by or on behalf of the Contractor or his partner, agent, officers, director, employee or servant or any one on his or their behalf in relation to the obtaining or to the execution of this or any other Contract with WBEIDC LTD, shall, in addition to any criminal liability which it may incur, subject the Contractor to the cancellation of this and all other contracts and also to payment of any loss or damage to WBEIDC LTD resulting from any cancellation. WBEIDC LTD shall then be entitled to deduct the amount so payable from any monies otherwise due to the Contractor under the Contract Enforcement of Terms The failure of either party to enforce at any time any of the provisions of this Contract or any rights in respect thereto or to exercise any option here in provided, shall in no way be construed to be a waiver of such provisions, rights or options or in any way to affect the validity of the Contract. The exercise by either party of any of its rights herein shall not preclude or prejudice either party from exercising the same or any other right it may have hereunder. Bid forms Wherever a specific form is prescribed in the Bid document, the Bidder shall use the form to provide relevant information. If the form does not provide space for any required information, space at the end of the form or additional sheets shall be used to convey the said information. For all other cases, the Bidder shall design a form to hold the required information. WBEIDC LTD shall not be bound by any printed conditions or provisions in the Bidder’s Bid Forms Lack of information to bidder The Bidder shall be deemed to have carefully examined all contract documents to his entire satisfaction. The queries have to reach the Purchaser 7 working days prior to the last date of bid submission. No queries outside those thus submitted will be entertained .WBEIDC LTD will respond to the queries latest by 4 working days prior to the to the last date of bid submission. .If the number queries from various parties are large WBEIDC LTD may arrange a pre bid conference and discuss the queries. No bid extension can be granted on account of queries. Validity Of Offer The proposals shall remain valid for a period of 180 days after the scheduled date for submission of the ‘Technical & Commercial Proposal’. In absence of compliance with the prescribed validity period the bid is liable to be rejected . In exceptional circumstances, the Purchaser may solicit the Bidder’s consent for extension of the bid validity period. When the Bidder extends the validity period, the Bidder shall do the same without any modification to the bid proposal Taxes & Duties The prices shall be inclusive of all taxes & levies including service tax. However the rate of Taxes should be indicated separately in the Price Schedule .The Purchaser shall reimburse taxes and levies at actual as applicable at the time of delivery. However, in case the Contractor wants to claim differential price for any levies e.g. customs duty, excise duty, the claim will be admissible only if substantiated with actual statutory documentation. The Purchaser shall be authorized to deduct any tax as applicable from the Bidder. WBEIDC LIMITED December 29, 2008 34 Setting up of WBSWAN Co-Located Nodes Request for Proposal Scope of Work Introduction The WBSWAN the captive networking backbone of the West Bengal is getting extended upto all Blocks in all Districts of West Bengal. Nodes are going to be created in each administrative office (District HQ, Sub Division HQ & Block HQ) . The nodes are going to be connected as backbone on minimum 2Mbps terrestrial leased circuits. The WBSWAN expansion is being taken up as part of NeGP activity of GOI and would follow various stipulation and guidelines formulated by the DIT,GOI As explained in the start of this documents, the nodes are classified in two classes . The primary nodes located in the highest hierarchical administrative set up in each town/ city are classified as “POP”s and will house the primary switching/ routing equipments. The subsidiary nodes in other administrative office are designated as the Co-located nodes which will form the edge nodes of the network. The co-located nodes will up link through the nearest POP and would generally not have any WAN down link connectivity. Constituent offices attached to these nodes administratively would normally join the WBSWAN link from the POP. (e.g. the Block HQ of Sadar SDHQs would up link directly to the DHQ as the Sadar SDHQ form the collocated node for its respective DHQs) Summary Scope of Work The project as described in this RFP is to ° ° ° create a basic computer node for the listed administrative offices by providing material as per the tentative BOM Connect the node over WAN /LAN to the respective hierarchically higher node designated as the POP The node would serve as the primary node for all computers/LAN located in the same office complex. The project would be carried out as a turn key supply, install commission mode. Apart from the connectivity details which would be as per the design submitted by the bidder, balance material will have to be compatible to specification as detailed in the BOM summary mentioned here forth. The details of the proposed connectivity scheme has to be submitted by the bidder along with detailed BOM drilling down to last details including patch chord , connection outlet etc. mentioning the make /model number etc. 3. Integrate the equipment supplied to realize the WBSWAN node. The integration and networking to be done seamlessly so that the various DATA service like IDVC can effectively be implemented. 4. A simple LAN has to be implemented to connect all equipment, including the IP phones supplied Tender Specific execution guidelines: 1. Equipments quoted should strictly adhere to the specification listed. Deviations, if any must be clearly mentioned in the response documents. WBEIDC reserves the sole discretion to Accept / reject the material quoted . 2. The connectivity scheme for each class to be specifically designed to realize the triple play (DATA, VOICE, VIDEO) functionality inherent to the WBSWAN 3. Detailed schematic and BOM to be worked out and quoted clearly. As the project is going to be a turn key project all material required to complete the connectivity should be included. Demand for reimbursement of expense incurred for any additional components beyond those quoted in the bid, to complete the execution, would not be admissible. 4. All components quoted should be of internationally reputed make and compatible to the balance part of the WBSWAN. 5. Any modem or communication equipment proposed for interfacing the L Line/ Dead Copper circuits from BSNL should be type approved from TEC. Bidder to quote TEC approval code number for such products quoted. 6. Connectivity Solution quoted should be established and well tried. The bidder should , if called for, would have to provide post qualification demonstration for the connectivity solution 7. The successful bidder as a part of Post qualification would have to supply one set of multi media PC and accessories for testing compatibility to IDVC software being deployed in WBSWAN for VC over custom designed software MCU 8.
