CONDITIONS OF SALE
1.
The sale is made by BANK KERJASAMA RAKYAT MALAYSIA BERHAD (“The Assignee”) in exercise of the rights and powers
conferred upon the Assignee pursuant to the Property Purchase Agreement, Property Sale Agreement and Deed of
Assignment all dated the 09th day of December, 2003 executed by Chan Wie Ching (f) (WN.KP.610112-13-5398)
(“The Assignor(s)”) in favour of the Assignee and is made subject to all conditions and category of land use, express or implied
or imposed upon or relating to or affecting the property.
2.
Subject to the reserve price, the highest bidder (being allowed by the Auctioneer) shall be the Purchaser and the Assignee shall
have the right to reject any bid. If any dispute shall arise as to the highest bidder, the property shall at the option of the
Assignee/Auctioneer be put up again for sale and resold of or the Assignee/Auctioneer may decide the dispute without a resale.
3.
The Assignee’s rights at sale:
3.1 Rights to bid
To bid at the auction sale without having to deposit with the Auctioneer the requisite 10% of the reserve price and in the
event the Assignee becoming the Purchaser to set off the purchase price against the amount due on the said Loan
Agreement and Deed of Assignment and Power of Attorney on the date of sale, plus the costs and expenses of the sale
and all costs due from the Assignor by way of cost in this auction sale.
3.2 Right to withdraw
To withdraw, postpone and call off the sale of the property at any time before the fall of the hammer
3.3 Right to resell after withdrawal
To sell the property withdrawn at any time or times subject to such conditions and provisions whether identical with or
differing wholly or in part from the conditions and provisions applicable to the property to be auctioned at the present
auction and in such manner as the Assignee may think fit
4.
No bid shall be less in advance of the previous bid than a sum to be fixed by the Auctioneer at the time the property is put up for
sale and no bidding shall be retracted.
5.
All bidders (except the Assignee) are required to deposit with the Auctioneer Bank Draft(s) or Cashier’s Order (s) in favour of
Bank Kerjasama Rakyat Malaysia Berhad for an amount equivalent to 10% of the reserve price for the property prior to the sale.
Such Bank Draft(s) or Cashier’s Order(s) may be used as deposit for successful bidder(s). The Banker drafts or Cashier’s
Order(s) of unsuccessful bidder(s) shall be returned to them immediately after the fall of the hammer.
6.
AUTHORITY TO ACT/BID
6.1 Any bidders who intends to bid on behalf of another person, body corporate or firm is required to deposit with the
Auctioneer a letter of authorisation to authorise him to bid on behalf of that person, body corporate or firm prior to the sale.
6.2 If the sale is restricted to individual and not to incorporated bodies or companies as specified by the Developer/landowner
and or other relevant authorities, it shall be sold to individual person only
6.3 If the sale is restricted to Bumiputra only, such bidder or agent shall be Bumiputra and when the bidder is a company, it will
be a Bumiputra company
6.4 All intending bidders shall be required to verify their identities by showing the Auctioneer their Identity Cards prior to the
commencement of the auction, failing which they shall not be entitled to bid

PROHIBITED TO ACT/BID
7.1 A bankrupt shall not be allowed to bid or act as agent of the bidder. Where the bidder is a foreigner or foreign controlled
company it shall be the bidder’s duty to ensure that the bidder is permitted by the prevailing laws, regulations and
guidelines to purchase the property. All application for approval by such foreign bidders shall be the sole responsibility and
cost of the bidder
7.2 In the event a bankrupt bids or acts as agent in relation to the sale of the property the bidding Deposit or Purchase Deposit,
as the case may be, shall be forfeited by the Assignee and the property may be put up for sale again at a date and time to
be fixed by the Assignee

PAYMENT
8.1 Immediately after the fall of the hammer, the successful Purchaser (other than the Assignee if they are the Purchasers)
shall pay to PRAISE MILLION SDN. BHD. a deposit of 10% of the amount of the purchase price by Bank Draft or Cashier
Order in favour of BANK KERJASAMA RAKYAT MALAYSIA BERHAD and to part payment thereof and shall sign the
Memorandum at the foot of the Proclamation of Sale. In default of payment of such deposit the property shall forthwith be
again put up for sale and the deposit of 10% of the reserve price shall be forfeited to the said Assignee. The deficiency in
price (if any) which may result on a resale or the purchase money if there is no resale as the case may be shall be
recoverable from the defaulting Purchaser.
8.2 The Purchaser must pay in the balance of the purchase price to the Assignee within ninety (90) days from the date of the
sale. The Purchaser may, before the expiry of the ninety (90) days’ period (the due date), apply to the Assignee for
extension from the due date of payment of the balance of the purchase price. If the Assignee grants to the Purchaser an
extension the Purchaser shall pay the Assignee interest on the balance of the purchase price at the rate to be determined
by the Assignee at its absolute discretion calculated on a daily rest basis for the duration of the extension granted.
8.3 In default of payment of the balance of the purchase price and/or interest with the period allowed the Assignee shall be
entitled to terminate the sale at its absolute discretion and the property shall be again put up for sale. The deposit after
defraying the expenses of the sale shall be forfeited by the Assignee and the deficiency in price (if any) which may result
on a resale or the balance of the purchase money if there is no resale shall be recoverable from the defaulting Purchaser.
9.
ASSIGNMENT/TRANSFER
9.1 Upon payment of the balance of the purchase price, the Assignee shall execute or cause to be executed at Purchaser’s
cost and expenses( including but not limited to the legal fees, stamp duties and registration fees ) in favour of the
Purchaser an Assignment of all rights, title, interest and benefits under the principal sale and purchase agreement entered
into between the Developer and Original Purchaser upon terms and conditions stipulated by the Assignee at its
absolute discretion.
9.2 If separate documents of title or strata title for the property has been issued whether before, on or after the sale the
Assignee shall not be required to register the charge(s) nor to procure a transfer in Form G as prescribed by the
Sarawak land Code (cap 81), but such transfer from the Developer or Proprietor ( as the case may be) shall be prepared by
and at the expense of the Purchaser who undertake to pay such sums and comply with the conditions (if any) imposed by
the Developer and/or Proprietor and/or their solicitor and/or the relevant authorities pertaining to the registration of such
transfer of the property
10 As from the time of the sale, the property shall be at the sole risk at the Purchaser as regards to any losses or damage of
whatsoever nature of howsoever occurring.

The Purchaser shall admit the identity of the property purchased by him with that comprised in the muniments offered by the
Assignee as the title of the property upon the evidence afforded by the comparison of the description in the particulars and
muniments respectively.
12 All necessary investigations and examination of the property required by the intending bidders for their purpose shall be made
by the intending bidders themselves and all expenses relating thereto shall be for their own account only.
13 The property is sold subject to all easements, existing leases, tenancies, caveats and occupiers there under and the Purchaser
shall be deemed to have full knowledge of the state and conditions of the property.
14 The property is believed and shall be taken to be correctly described without any obligation arising to define the same
respectively and no error, mis-statement or mis-description shall annul the sale nor shall any compensation be allowed in
respect thereof.
15 In the event, there is any balance of monies due to the Developer by the Assignor under the Original Sale and Purchase
Agreement, the Purchaser shall be liable to pay the Developer such balance (if any).
16 QUIT RENT & OTHER OUTGOING
a) Any arrears of quit rents, taxes, rates and assessment charges due and payable in respect of the property to any relevant
authority up to the date of sale shall be paid out of the purchase money and any sum due and payable after the date of the
sale shall be borne by the Purchaser; and
b) The Purchaser shall be liable to pay service and maintenance charges (if any) including charges, outgoings and any other
monies which may be due to any relevant authority or the developer or Proprietor or relevant third parties in respect of the
said property.
17 All cost and charges including but not limited to legal fees, stamp duty and registration fees in connection with incidental to or
pursuant to the Assignment of the property shall be borne by the Purchaser.
18 The Purchaser, after payment of the balance of the purchase price, shall at their/his/her own expenses take possession of the
property without obligation on the part of the Assignee or his Agents to give vacant possession.
19 The Assignee has no notice or knowledge of any encroachment or that the government or other authority has any immediate
intention of acquiring the whole or any part of the property for roads or any improvement schemes and if such encroachment
shall be found to exist or if the Government or any local authority has any such intention the same shall not annul any sale, shall
any abatement or compensation be allowed in respect thereof.
20 For the purpose of these conditions time shall be deemed to be essence of the contract.
21 In the event of the sale being set aside for any reason whatsoever by the Assignee at its sole discretion or Order of Court or
consent not being obtained from the Developer and or any other authorities ( other than for reasons attributable to any act of
default or omission by the Purchaser) on expiry of the time period prescribed for completion, then the Assignee is absolutely
entitled to terminate the sale by giving the Purchaser written notice thereof, in which case:
a) If in the meanwhile the Purchaser has entered into possession of the property, then the Purchaser is liable at his own costs
to reinstate the property to the original condition as at the auction sale and thereafter peaceably to yield up vacant
possession of the property to the Assignee within 7 days upon service of the notice terminating the sale
b) The costs/expenses reasonably incurred by the Assignee in connection with the sale, as well as the costs to reinstate
damages (if any) to the property caused by the Purchaser in possession thereof shall be deducted and set-off against the
Deposit or TPP and thereafter the residue (if any) shall be refunded to the Purchaser free of interest and upon such
refund, the Purchaser shall not have any further claim or demand whatsoever against the Assignee/Bank or any other party
in respect of this sale . For this purpose a certificate signed by any officer of the Assignee/Bank certifying the amount of such
expenses or costs shall be deemed final/conclusive and bidding upon the Purchaser
c) In the event of consent not being obtained from the Developer/landowner and/or other relevant authorities due to the act of
default or omission by the Purchaser, the Assignee/Bank shall be entitled to forfeit the Bidding
Deposit
22 The said property shall be sold subject to consent from the Developer or any other relevant authority. If any, it shall be the
responsibility of the Purchaser to apply for consent form the Developer or any other relevant authority and any fees, charges
and expenses in connection with or incidental to the application shall be borne by the Purchaser.
23 The Property is sold on an “as is where is” basis without any assurance of vacant possession upon delivery.
24 Statements made in the Proclamation of Sale and Conditions of Sale is made without responsibility of the Assignee, its
Solicitors and the Auctioneer.
CONTRACT
MEMORANDUM of SALE : On the 21st July, 2014, the Auctioneer sold by Public Auction the property identified as Parcel
No. H1/2-3 Third Floor Block H Eden Heights (formerly known as Evergreen Park) of Parent Lots 1918 and 1920
Block 16 Kuching Central Land District (Parcel No. H1/2-3, Third Floor, Block H of Eden Heights Condominium,
Kuching, Sarawak) (thereinafter referred to as “the Property”) to the highest bidder whose particulars are stated below
subject to the aforesaid Conditions of Sale. The highest bidder has been declared as the Purchaser of the Property for the
