MANUFACTURING CONFIDENTIALITY AGREEMENT
By and between PROGRESSIVE LABORATORIES, Inc., 1701 W. Walnut Hill Ln., Irving,
TX 75038-7962 (“Manufacturer”) and
(“Client”), who make
this agreement pursuant to which Manufacturer has or will have access to and privy to secret
knowledge and confidential information of Client in regard to chemical formula, test data,
assay methods, or other proprietary data owned by Client.
Manufacturer recognizes that the continued confidentiality of Client’s information is of the
utmost importance and that the Client’s Trade Secrets be maintained and continued in complete
secrecy and that the integrity of those Trade Secrets be scrupulously maintained and preserved
both during and after the term of this agreement.
Manufacturer agrees that it shall in no manner whatsoever make known, divulge, disclose,
expose, furnish, sell, or otherwise communicate to any person, firm or corporation, any of the
Client’s Trade Secrets for its own personal use or advantage, directly or indirectly, unless
otherwise approved in writing by Client.
Manufacturer shall at all times take reasonable precautions against Client’s Trade Secrets
Being learned or acquired by any unauthorized person, firm or corporation.
This agreement prohibits Manufacturer from producing or selling any of the Client’s formulas
To any other concern unless otherwise approved in writing.
This agreement shall be construed in accordance with the laws of the State of Texas. Venue
shall be in Dallas County, Texas. The prevailing parting in any litigation arising from this
agreement shall be entitled to an award of reasonable attorney’s fees and court costs.
