SALE OF PART OF LEASEHOLD PROPERTY THIS DEED OF SALE is made on this ________ day of _______________ between Sh._______________ s/o Sh.____________ R/o ________________ hereinafter called "the Vendor" (which expression shall unless repugnant to the context or meaning thereof include his heirs, executors, administrators, legal representatives and assigns) of the one part. WHEREAS 1. NOW THIS DEED WITNESSETH AS FOLLOWS: 1. In consideration of the sum of Rs. _____________ to be paid at the time of the registration of this deed by the Purchaser to the Vendor, the Vendor as lessee hereby conveys, assigns and transfers to the Purchasers ALL that said land more particularly described in the schedule annexed hereto and thereon shown with its boundaries coloured red and comprised in the aforementioned lease deed TO HOLD the same to the Purchaser for the residue now unexpired of the said term of years and the renewal or renewals thereof subject henceforth to the payment of the yearly rent of Rs. _____________ reserved by and the performance and observance of covenants and conditions on the part of the lessee contained in the aforesaid lease deed. 2. The Vendor hereby covenants with the Purchaser as follows: a. That all rents and the covenants and conditions reserved and contained as per the said lease deed have, on the part of the Vendor, been duly paid and observed and performed up to the date hereof and that that the Vendor has done nothing which shall have the effect of the forfeiture of the said lease deed or which shall invalidate the said lease deed. b. That the Purchaser shall quietly entered into the said property and held and enjoyed, www.feeleminds.com the rents and profits received therefrom without any interruption or disturbance by the Vendor or any person claiming through or under him and without any lawful disturbance or interruption by any other person whomsoever. c. That the Vendor shall, at all reasonable times and at the cost of the person requiring the same, sign, execute and do all other acts, deeds and things as may be necessary for further assuring the said property to the Purchaser, his heirs or assigns as may reasonably be required. 3. The Vendor and the Purchaser hereby covenants with each other as follows: a. That the Vendor and the Purchaser will, at all times hereafter during the subsistence of the said lease deed, pay the yearly rent of Rs.____________ and Rs.________________ respectively out of the total yearly rent of Rs.____________ reserved by the said lease deed and observe and perform all the covenants and conditions reserved and contained as per the said lease deed and henceforth, on the part of the lessee, to be observed and performed, b. That the Purchaser and the Vendor will, at all times hereafter during the subsistence of the said lease deed, keep indemnified the Vendor from and against the payment of rent as aforesaid and the observance and performance of the said covenants and conditions reserved and contained as per the said lease deed and all actions, claims and demands, whatsoever, for or on account of the same or in connection therewith so far as they relate to the portions of the property comprised in the said lease belonging to them, respectively. 4. That all taxes, municipal or otherwise in regard to the said property shall be borne and paid by the Vendor upto the date of registration of this sale deed and thereafter by the Purchaser. 5. That the Vendor has obtained the requisite income tax clearance certificate from the authorities concerned to get the sale deed registered in favour of the Purchaser. 6. That all the expenses of stamp duty, transfer charges of Municipal Corporation and registration fee, etc., of this sale deed be borne and paid by Purchaser.
