Incorporated: INCORPORATED in Jersey, Channel Islands Sept. 28, 2010. On Nov. 23, 2010, a scheme of
arrangement became effective which created a new group holding company (New Wolseley) organized in
Jersey. Old Wolseley was incorporated in England and Wales. The company was formed in 1889.
Background: Wolseley plc distributes plumbing and heating products, and building materials in the United
States, Canada, the United Kingdom, the Nordic, and Central Europe. The company offers plumbing supplies to
the residential, commercial and industrial sectors for new construction and the repair, maintenance, and
improvement projects; and bathroom, kitchen, lighting, ground drainage, and timber products, as well as tools
and safety equipment, insulation and plaster boards, doors and joineries, and fixings and adhesives. It also
distributes pipes, valves, fittings, hydrants, meters, and related water and waste water management products to
residential, commercial, and municipal contractors; and heating, ventilation, air conditioning, and refrigeration
equipment for repair and replacement to specialist contractors. In addition, the company provides supply chain
management solutions for maintenance, repair, and operations; and supplies and distributes fasteners and
