CONSIGNMENT AGREEMENT

Sparkly Ragz agrees to use its best efforts to sell the goods for the benefit of the
Consignor. All prices are set by Sparkly Ragz and can be adjusted at any time. Items
consigned will remain on the sales floor for a 60 day consignment period. Sparkly Ragz
reserves the right to re-price or markdown an item at any time.

Any goods Sparkly Ragz is unable to sell at the end of the 60 day consignment period,
may be returned to the Consignor at the expense of the Consignor. All unsold goods
must be picked up within 7 days following the expiration of the consignment period.
Unclaimed goods become the property of Sparkly Ragz. Sparkly Ragz reserves the
right to return unclaimed items to the sales floor as store property or donate, on the
store’s behalf, to a charity of their choice.

The consignor agrees to accept an amount equal to 40% of the final selling price of the
goods, exclusive of any sales tax & fees, when requesting a check or 50% of the final
selling price of the goods, exclusive of any sales tax & fees, when payout is used as a
store credit. Consignor payouts can be used toward a store purchase at any time during
the month. Checks will be available, in store for pickup, the 2nd day of each month for
the previous month’s sales.

Fees: The following fees will be assessed on all consignor accounts:
Consignor access monthly fee – a $1.00 monthly fee will be charged on the last day of each
month for any month an account has active consignments. This fee provides the consignor with
up to the minute access to updates regarding items they have on consignment as well as available
balance on their account.
Other fees such as a $1.00 buying fee for items that sell for over $20.00 and shared credit card
processing fees, not to exceed 1.5%, will be taken into account prior to determining the
consignor’s total payout.

Consign at your own risk. Although we do our best to provide a secure environment for
your items, Sparkly Ragz is not liable for loss of your consigned items.

At anytime during the consignment period, the Consignor may reclaim unsold goods by
contacting Sparkly Ragz with a 5 day notice period.

This agreement shall be governed by the laws of the state of California and shall be
binding upon the parties. No person shall have a right or cause of action arising out of or
resulting from this agreement except those who are parties to it and their successors in
interest.

This agreement, including any attached exhibits and addenda, constitutes the entire
agreement of the parties. No representations or promises have been made except those
that are set out in this agreement. This agreement may not be modified except in writing
signed by all of the parties.

The terms of this agreement shall supersede any previous agreements in place with
Sparkly Ragz.
Please note, all items consigned must be free and clear of any liens and encumbrances.
