PINEY GREEN SOCCER CLUB BYLAWS ARTICLE I NAME The name of this organization is Piney Green Soccer Club; hereafter referred to as PGSC. ARTICLE II Section 1 – PURPOSE The primary purpose of PGSC is to teach, foster, promote, and advance the cause of youth soccer in both recreational and competitive league play and to guard the interests of its teams and registered members (both players and coaches). The intent is to teach good sportsmanship, educate all participants in the fundamentals of the game as well as enhance the skills of all players. PGSC is dedicated to the idea that the game of soccer is a fun, healthy and worthwhile activity for all children. Section 2 – GOAL The goal of PGSC is to provide a soccer program that prepares each player for any level of play that his/her desire, skill and talent allow – from recreational through highly competitive. To accomplish this, PGSC will provide recreation and challenge teams for league play under the scheduling authority of Eastern Carolina Soccer Association, hereafter referred to as ECSA. PGSC will support Onslow Classic Soccer Association, hereafter referred to as OCSA, by preparing the most skilled players for participation in higher levels of play, announcing OCSA tryouts, and providing the required officers to serve on the Executive Board and Board of Directors as outlined in Rule IV, paragraphs 4001 and 4003 of this document. PGSC will not sponsor programs for boys and girls over the age of 18. ARTICLE III OFFICES As there is no permanent club office space, the duly elected President of PGSC will be the registered agent and his/her home address will serve as point of contact for all business and correspondence. ARTICLE IV AFFILIATION PGSC is a member of ECSA, OCSA, North Carolina Youth Soccer Association (NCYSA), and U.S. Youth Soccer. Except as otherwise noted in this document, or where local conditions prevent as determined by the Executive Committee, the Federation Internationals de Football Association (FIFA) and “Laws of the Game and Universal Guide for Referees” shall provide the rules and regulation for games sponsored by or participated in by PGSC. ARTICLE V ADMINISTRATION Section 1-GOVERNING BODY The elected officers (President, Vice President, 2nd Vice President for Challenge/Classic, Secretary, Treasurer, Registrar, and Commissioner) shall serve as the Executive Committee responsible for the day to day operation of the club. Each individual team’s Head Coach and one parent from each team may serve on the Board of Directors (BOD). Section 2-MEMBERSHIP Registered players and their parents/legal guardians, registered coaches, and the elected Executive Committee shall make up the membership of PGSC. Membership is open to all of the community unless restricted for risk, legal or disciplinary reasons as determined by the Executive Committee. Section 3-ELECTION OF OFFICERS The Executive Committee will be elected at the Annual General Meeting (AGM). Each Head Coach is automatically a member of the BOD and each team may elect one parent to serve on the BOD. Section 4-ANNUAL GENERAL MEETING The Annual General Meeting will be scheduled during April of each year and attendance is open to all members. In addition to elections, any BOD member may provide comments or concerns pertaining to the previous or upcoming playing year. Any member who so desires will be afforded the floor to address the Executive Committee/Board of Directors; comments are limited to two (2) minutes. ARTICLE VI AMENDMENTS Intent to propose an amendment to the bylaws may be made at any Executive Committee/BOD meeting, however voting will be postponed a minimum of thirty (30) days to allow publication of the intent. After thirty days, the intended amendment may be moved, seconded and voted on by the BOD. A two-thirds majority of the BOD members present will be required to amend any bylaw. PGSC Rules are “standing” and may be amended by a majority vote of the Executive Committee, subject to the ratification of the BOD. ////////////////////////////////////////////////////////////////////// PINEY GREEN SOCCER CLUB RULES RULE I MEMBERSHIP 1001. MEMBERSHIP is determined after players have been properly registered and fees paid for the ensuing season. 1002. VOTING RIGHTS – The BOD are representatives of the entire membership and will vote on behalf of the members they represent along with the Executive Committee. The President may comment and suggest, but will only vote in the case of a tie. Rule II EXECUTIVE COMMITTEE, BOD & APPOINTED POSITIONS 2001. THE EXECUTIVE COMMITTEE is made up of the following elected officers: President, Vice President, 2nd VP for Challenge/Classic, Secretary, Treasurer, Registrar, and Commissioner. 2002. ELECTION OF OFFICERS will take place at the AGM and will serve for a period of one year (June 1 –May 31) unless resigned or removed. 2003. RESIGNATION AND REMOVAL – Any elected officer, BOD member or coach may be removed by a majority vote of the Executive Committee, with or without cause, when it is considered to be in the best interest of the club. Any officer, BOD member or coach may resign at any time by communicating his/her desire in writing to the Executive Committee. Unless an “as of” date is specified, the resignation will be immediate. 2004. DUTIES OF THE ELECTED OFFICERS shall be assumed as of June 1 unless earlier release of duties by the incumbent is requested. 2004.01 (a) THE PRESIDENT shall direct and supervise the management of the club in accordance with the Bylaws & Rules. (b) THE PRESIDENT will preside over all meetings of the Executive Committee and BOD, sign all legal documents on behalf of the club, act as spokesperson for the club and represent the club at ECSA Presidents Meetings, OCSA BOD Meetings and NCYSA Meetings. (c) THE PRESIDENT shall appoint a Micro-Soccer Coordinator, Risk Management Representative and Discipline & Appeals Representative. (d) THE PRESIDENT shall appoint temporary committees as required or requested by the Executive Committee or BOD. (e) THE PRESIDENT shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office. 2004.02 (a) THE VICE PRESIDENT shall assume the duties of the President in his/her absence and assume tasks as requested by the President. (b) THE VICE PRESIDENT shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office. 2004.03 (a) THE 2nd VICE PRESIDENT FOR CHALLENGE/CLASSIC will collect a written resume’ from anyone desiring to coach a challenge team and make recommendations to the Executive Committee on selection of challenge coaches. (b) THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall schedule, coordinate, ensure publication of, and, if necessary, assist in the tryout/selection process of challenge teams. (c) THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall act as challenge representative to ECSA. (d) THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall act as the Classic Representative to OCSA, serve on the Executive Board of OCSA, and keep the Executive Committee informed OCSA activities, plans and other matters of interest or concern to PGSC. (e) THE 2ND VICE PRESIDENT FOR CHALLENGE/CLASSIC shall relinquish all club papers, files, records, and property in his/her possession at the conclusion of term in office. 2004.04 (a) THE SECRETARY shall keep the minutes of all PGSC meetings. (b) THE SECRETARY shall ensure all notices are publicized in accordance with these Bylaws & Rules. (c) THE SECRETARY shall act as custodian of all records including the official (signed) copy of these Bylaws & Rules. (d) THE SECRETARY shall keep records of each members address and phone number up to three years of active participation in PGSC. (e) THE SECRETARY shall obtain and maintain annual financial reports from the Treasurer. (f) THE SECRETARY shall relinquish all papers, files, records, and club property in his/her possession at the conclusion of term in office. 2004.05 (a) THE TREASURER shall maintain records of all financial assets and transactions of PGSC. (b) THE TREASURER shall maintain receive, deposit or disperse all funds in a timely manner. (c) THE TREASURER shall keep full and accurate account of PGSC finances and present a quarterly financial report to the Executive Committee. (d) THE TREASURER shall cause a true statement of operations for the fiscal year, in reasonable detail, to be reported to the Executive Committee and filed with the Secretary within 60 days of the conclusion of the fiscal year. (e) THE TREASURER shall surrender all records for inspection by an Audit Committee when requested. (f) THE TREASURER shall relinquish all books, paper, files, and club property at the conclusion of his/her term in office. 2004.05 (a) THE REGISTRAR shall attend all required NCYSA certification clinics. (b) THE REGISTRAR, along with assistant registrar(s), will cause the proper registration of players and coaches. (c) THE REGISTRAR shall perform his/her duties in accordance with NCYSA Registrar Handbook. 2004.05 (a) THE COMMISSIONER shall act as liaison between PGSC and NCYSA. (b) THE COMMISSIONER ill be responsible for the alignment of teams in each age group. (c) THE COMMISSIONER shall assist the President in the day to day operation of PGSC. (d) THE COMMISSIONER shall relinquish all papers, files, records, and property at the conclusion of his/her term in office. 2004.06 (a) THE MICRO-SOCCER COORDINATOR will assist and advise the President, Commissioner and Executive Committee on matters pertaining to the Under6 and Under8 teams including scheduling, structure and modified rules of play. (b) THE MICRO-SOCCER COORDINATOR shall relinquish all papers, files, records, and club property at the conclusion of his/her term. 2004.07 (a) THE RISK MANAGEMENT REPRESENTATIVE shall attend all required NCYSA certification clinics. (b) THE RISK MANAGEMENT REPRESENTATIVE shall report all risk concerns/solutions to the Executive Committee. (c) THE RISK MANAGEMENT REPRESENTATIVE shall be familiar with NCYSA Rules, Section 6, and perform his/her duties in accordance with the same. (d) THE RISK MANAGEMENT REPRESENTATIVE shall relinquish all papers, files, records, and club property at the conclusion of his/her term. 2004.08 (a) THE DISCIPLINE & APPEALS REPRESENTATIVE shall attend all required NCYSA certification clinics. (b) THE DISCIPLINE & APPEALS REPRESENTATIVE shall be familiar with the NCYSA Discipline & Appeals Manual as well as NCYSA Rules, Section 5, and perform his/her duties in accordance with the same. (c) THE DISCIPLINE & APPEALS REPRESENTATIVE shall relinquish all papers, files, records, and club property at the conclusion of his/her term. RULE III MEETINGS 3001. Meetings of the Executive Committee and BOD will be called when necessary in accordance with Article V (c) of PGSC Bylaws. 3002. Time and place of meetings will be announced as outlined in Article V (c) & (d) of PGSC Bylaws. 3003. A quorum is constituted if 25% of the BOD are present or, in the case of the Executive Committee, a majority of elected officers are present. 3004. The Order of Business will be as follows: (a) Call to Order (b) Determination of a Quorum (c) Reading/Acceptance of the Minutes of Previous Meeting (d) Old Business (e) New Business (g) Good of the Club (h) Adjournment 3005. Parliamentary procedures will be accordance with the latest edition of “Robert’s Rules of Order.” RULE IV RECORDS & REPORTS 4001. All records pertaining to individual offices and committees will be retained by that officer or committee chairperson. All other records and all reports will be maintained by the secretary. 4002.01 Any and all records may be called for inspection by the Executive Committee and should be surrendered in a timely manner. .02 An Audit Committee should be formed and an audit of PGSC financial records should take place: a) Within thirty (30) days of election of officers b) Whenever the Treasurer’s Office is vacated RULE V AMENDMENTS 5001. Proposed changes to PGSC Bylaws may be voted upon by the BOD after a minimum of 30 days has elapsed and proper notification has been given. 5002. Changes to the duties and/or authority of elected officers may be made by a majority vote of the Executive Committee, subject to the ratification of the BOD. 5003. Changes to PGSC Rules may be made by a majority vote of the Executive Committee subject to the ratification of the BOD. RULE VI RULES OF PLAY 6001. Rules of Play as set by FIFA will be followed unless otherwise modified by U.S. Youth Soccer, NCYSA, ECSA or, in the case of U-6 and U8, PGSC Executive Committee. RULE VII AGE LIMITS 7001. PGSC will field teams, as numbers permit, from Under 6 to Under–19, within the limits of U.S. Youth Soccer, NCYSA and ECSA. 7002. To be eligible for a particular age group, a player may not have attained that age before 1 August of the upcoming playing year (fall/spring). 7003. Although generally discouraged, players may “play up” an age group if his/her abilities justify it and the players parents permit it. RULE XIII PROOF OF AGE 8001. All players will present a copy of their birth certificate to PGSC, which will be held on file while the player participates in PGSC. RULE IX ROSTER LIMITATIONS 9001. Team roster limits for Under-9 and above will be in accordance with NCYSA Rules. 9002. Team roster limits for Under-8 and below are outlined in appendix (a) and (b). RULE X PLAYER RELEASE PROCEDURES 10001. Procedures to release players from one team or level to play with another team will be in strict compliance with NCYSA Rule 2. 10002. Procedures to “drop” players from a team will be in strict compliance with NCYSA Rule 2. RULE XI SUBSTITUTIONS 11001. Substitutions for age groups/divisions playing halves will be in accordance with FIFA, NCYSA and ECSA rules. 11002. Age groups/divisions playing quarters may substitute only at the beginning of each quarter, occurrence of injury, or issuance of a caution by the official. RULE XII FORFEITURES 12001. Forfeit procedures for Under-9 and above will be in accordance with ECSA Rules. 12002. As score is not kept for Under-8 and below, forfeit does not apply. RULE XIII CODE OF CONDUCT 13001. PGSC Coaches Code of Ethics (appendix (c)) will be issued to all coaches prior to each playing season and a signed copy from each coach will be maintained by the secretary. 13002. Parents of all players will be schooled on proper parental/spectator behavior and sign PGSC Parents Pledge (appendix (d)). RULE XIV SUSPENSION 14001. Suspension of any coach/team will be accordance with NCYSA and ECSA Rules. Length of suspension may be increased by PGSC Executive Committee. RULE XV CONTROLLED SUBSTANCES 15001. Under no circumstances will alcohol or tobacco products be used on or around PGSC playing fields. RULE XVI RISK MANAGEMENT PROGRAM 16001. NCYSA Rules, Section 6 will be strictly adhered to under the supervision of the Risk Management Representative. RULE XVII DISCIPLINE & APPEALS (D&A) 17001. NCYSA Rules, Section 5 will be strictly adhered to under the supervision of D&A Representative and the Executive Committee. RULE XVIII CHALLENGE LEAGUE 18001. PGSC may field challenge teams in age groups Under-10 through Under-19 providing there are sufficient numbers of players with the appropriate skill level to compete in an age group offered by ECSA. PGSC WILL NOT field a challenge team unless the talent pool justifies a team in any particular age group. 18002. Publicized tryouts must be held to ensure the most skilled players have the opportunity to be selected. 18003. Challenge matches will be scheduled by ECSA. Only the Commissioner of ECSA is authorized to reschedule a challenge match. 18004. Section 7B of NCYSA Rules and ECSA Challenge Policy will be strictly adhered to. RULE XIX CLASSIC LEAGUE 19001. PGSC supports, assists and participates in the administration of OCSA in the following areas: a) PGSC President serves on the OCSA BOD b) PGSC 2nd VP for Challenge/Classic serves on the Executive Board of OCSA c) PGSC will train, identify and recommend highly skilled players to tryout for OCSA teams. RULE XX FINES & FEES 20001. Fines for forfeit and other violations which affect league play will be enforced as outlined in NCYSA and ECSA Rules.
