NOTICE OF RESOLUTIONS PASSED
AT THE FIRST MEETING OF THE THIRD TERM OF
THE SUPERVISORY COMMITTEE
The first meeting of the third term of the Supervisory Committee of Jingwei Textile Machinery
Company Limited (the “Company”) was held at the Conference Room, Level 7, the First
Shanghai Centre, No. 39 Liangmaqiao Road, Zhaoyang District, Beijing, the PRC in the
afternoon of 15th August, 2001. All of the 7 Supervisors were present which is in compliance
with the requirements under the Companies Law of the PRC and the articles of association of the
Company. The meeting was chaired by Mr. Yin Shouen, Chairman of the Supervisory
Committee. After thorough discussions, Mr. Yin Shouen was appointed as the Chairman and Mr.
Liu Shitong as the Vice Chairman of the Supervisory Committee. (Enclosed are the biographies
of Mr. Yin Shouen and Mr. Liu Shitong.)

Biography of Mr. Yin Shouen
Mr. Yin Shouen, born in April 1941, senior engineer, university graduate. Since June 1988, Mr.
Yin served in China National Textile Machinery Corporation (now China Textile Machinery
(Group) Company Limited) and had held the posts of deputy supervisor of the complete
engineering department, assistant chief engineer and deputy supervisor of the complete
engineering department, chief engineer, assistant general manager and chief engineer and
sub-party member, and deputy chairman. Since 15th August, 1998, he was appointed the
Chairman of the second term of Board of Directors of the Company.

Biography of Mr. Liu Shitong
Mr. Liu Shitong, born in July 1941, senior economist, is a university graduate. Since 1983, Mr.
Liu had served as the deputy head of the production planning section of Jingwei Textile
Machinery Plant, a deputy director, chief economist, first deputy director and director of Jingwei
Textile Machinery Plant, and the director of Xianyang Textile Machinery Plant. Mr. Liu had
served as the vice chairman of the first and second term of Board of Directors and the general
manager of the Company since 15th August 1995.
