Applicable taxes and duties should be mentioned separately.
The contract will be valid for a period of one year effective from date of award of
contract. Based on performance, the contract can be extended mutually for further
period of one year on the same terms and conditions.
Please note that the services rendered must be effective for three months period at
least and must carry guarantee to this effect.
The work will be executed and carried out under the direction and guidance of the
Balmer Lawrie & Co. Ltd.
Tender Submission:
Bids to be submitted in the format attached (Annexure II) in a sealed cover super
scribing Tender No. and deposited in the Tender Box (Ground floor) at 5, J.N. Heredia
Marg, Ballard Estate, Mumbai – 400001 latest by 3.00 pm on or before 06th October
2014.
Offers received from unregistered vendors will not be entertained. Those interested
to be empanelled with the Company for providing Pest Control Services are
required to register and only after completion of registration formalities / process,
they would be considered for subsequent tenders.
Tenderer must mention their PAN NO. / BANK ACCOUNT NO.
Validity: Offers must be valid for 90 days from the closing date of Tender.
Terms of Payment:
Payment will be made on quarterly basis on certification by the Company’s officer in
charge. The payment would be made within 15 days from the date of submission of
bills.
Termination:
Contract will be subject to termination with one month’s notice period from either
side.
While offering, please be informed that in the event of your non-compliance to any
of the stipulations as specified herein, Company also reserves the right to take
appropriate action including termination of contract without notice.
General Safety and Security Regulation:
The entire work shall be carried out in the specified premises. Proper safety and
security rules and regulations shall have to be adhered to. The work shall be done on
after obtaining authorized work permits. The bidder shall allow only those workers
who have the authorized permits. Necessary employee’s compensation / insurance
policy must be taken by the tender before undertaking the job. Please note that in
case of accident of any workmen, the entire responsibility for such employee will be
the contractor.
Right of split Ordering:
M/s. Balmer Lawrie & Co. Ltd. reserves the right to split the order amongst two or
more bidders. Rate quoted for this tender shall be valid for such split ordering.
Conformance with tender terms:
Tenders not conforming to the above mentioned requirements are liable to
rejected. Bids of any Tender may be rejected if conflict of interest between the
Bidder and the Company is detected at any stage. Tenders must put their seal &
signature on all the pages of this tender including Annexure A in conformance with
Tender Terms.
Right of Acceptance / Rejection:
M/s. Balmer Lawrie & Co. Ltd. reserves the right to accept or reject any tender either
in part or in full without assigning any reason whatsoever.
Arbitration:
If any dispute or difference arises between the Parties inter alia in respect of the
interpretation of this Agreement or of the rights or liabilities of either in respect of
anything done or omitted or to be done or omitted hereunder, the Parties shall
endeavor to settle such dispute amicably.
If not, such dispute or difference shall be referred for adjudication at Mumbai to a
sole arbitrator to be appointed by COO [IP], Balmer Lawrie & Co. Ltd.
The place of Arbitration shall be Mumbai, India. The arbitration proceedings shall be
in the English language. Cost of Arbitration shall be equally shared between the
Parties. It is expected that the arbitral award shall be a speaking award setting out
reasons thereof. In making the award, the arbitrator(s) shall be bound by the
intention of the Parties insofar as the same can be ascertained from this Agreement.
FORCE MAJEURE CLAUSE
If at any time during the continuance of this contract, the performance in whole or
part by either party of any obligation under this contract shall be prevented or
delayed by reasons of any war, hostility, acts of public enemy, civil commotion,
sabotage, fires, floods, explosions, epidemics, quarantine restrictions or acts of God
(hereinafter referred to as events) then provided notice of the happening any such
events if given by either party to the other within 21 days from the date of
occurrence thereof neither party shall be by reason of such event be entitled to
terminate this contract nor shall either party have any claim for damage against the
other in respect of such non performance or delay in performance and deliveries
under the contract shall be resumed as soon as practicable after such event has
come to an end or ceased to exist and decision of the COO (Industrial Packaging),
Balmer Lawrie & Co. Ltd., as to whether the deliveries has been so resumed or not
shall be final and conclusive, provided further that if the performance in whole or
part of any obligation under this contract is prevented or delayed by reasons of any
such event for period exceeding 60 days, either party may at its option terminate
the agreement.
The vendor should confirm whether the provisions of the Micro, Small and Medium
Enterprises Act, 2006 are applicable to them. If so, have they been registered under the
same? If yes, then a copy of the registration certificate to be enclosed.

Annexure I
General Terms and Conditions
1)
The Company shall be the final authority to decide on the acceptance or
rejection of an offer and / or award of contract to a party or parties. The offer
should be valid for acceptance for 90 days from the date of opening the tender.
2)
Service Tax Registration / Pan / EPF Code Nos. should be mentioned and copies of
the same must be furnished.
3)
The successful bidder will be informed in writing regarding the award of the
contract.
4)
Payment shall be made within 20 days from the date of submission of bills and on
certification by the occupant for services rendered.
5)
The contract will be subject to termination with one month’s notice period from
either side.
6)
Details of similar work undertaken may also be enclosed with proof along with the
offer.
7)
While offering, please be informed that in the event of your non-compliance to
any of the stipulations as specified herein above, Company also reserves the right
to take appropriate action including termination of contract without notice.
8)
