Attention local artists:
On behalf of Crossing All Bridges Learning Centre, I would like to invite you to participate in an
inaugural (with hopes to be annual) Art in the Square, public art exhibit and sale to be held on
Saturday, September 27th between 11-4pm.
Art in the Square is envisioned to be an accessible public event, showcasing professional artists of
various styles, techniques, and abilities from Brantford and the County of Brant. It will be held in
Harmony Square to enable the public to browse artworks and engage buskers and food vendors.
Harmony Square is an excellent community hub and we are expecting great public support. The
purpose of this event is to showcase the vibrant artistic talent within the region while creating an
inclusive setting for adult artists with disabilities. It will highlight the creativity, innovation and
excellence of local artists and art educational programs. Crossing All Bridges is invested in
facilitating meaningful opportunities for adults with disabilities and considers this initiative a viable
social enterprise (or business model that values both social, economic and cultural benefit). The
marketing of this event is made possible through the generosity of a City of Brantford Cultural
Innovation Fund and The Brantford Community Foundation.
In keeping with the accessibility of the event, interested artists need only sign a participation
contract and will not be required to pay any vendor charges or fees from sales. Agreement to
participate must be confirmed by signed contract by July 15th, 2014 in order to participate and space
will be arranged on a first come, first serve basis. Artists may be asked to submit a photograph or
digital image of their work prior to having their contract accepted. Attached please find a copy of the
contract that you can fill in and submit. An online version can also be found on our website.

Artist Contract for Art in the Square
THIS AGREEMENT entered into this __________ day of__________
BETWEEN:
FIRST PARTY (Hereafter referred to as the "Artist");

SECOND PARTY (Hereafter referred to as “Organizer”);

IN CONSIDERATION of the mutual covenants and obligations hereinafter set forth, the
parties agree as follows:
1. ART SHOW & SALE
The Artist accepts this contract to render the services:
(i) display their own works of art with the possibility of sale at Art in the Square public
event at Harmony Square in Brantford on September 27th between 11 am and 4 pm.
(ii) to arrange their own transportation and set up of display prior to 10:30 am.
(iii) to arrange their own transportation and removal of display after 4:00 pm.
(iv) to provide their own easels/means of displaying their artworks, including table(s),
chairs, cash box and float.
2. PAYMENT
No charge will be issued to the Artist for the presentation or sale of their works by the
Organizer nor shall the Organizer be responsible to the Artist payment for their
participation.

3. DUTIES OF ORGANIZER
The Organizer hereby undertakes and agrees as follows:
(a) To coordinate and arrange the Art in the Square event, including all marketing.
(b) To ensure the comfort of the public therein comply with professional safety standards.
(c) To curb the continuances of any disruptions which may serve to hinder the safety or
comfort of the Artist or public.
(d) To provide its own personnel and volunteers to assist on the day of the event.
(f) To ensure that it has entered into a valid and subsisting agreement with the City of
Brantford for the Art in the Square event; a copy of such lease or license provided to Artist
upon request.
(g) To ensure that prior to the Art in the Square event, all necessary permits, consents,
licenses have been obtained and all fees with respect thereto and any other fees and taxes
have been duly paid.
(h) To ensure that, for the period of the event, there exists general liability insurance with
respect to the Art in the Squre event not less than Two Million Dollars ($2,000,000.00) in
respect of any accident, in respect of any injuries to or death of one or more persons and
loss or damage to property.
4. PROMOTION AND PUBLICITY
(i) The Organization alone shall be responsible for the promotion and advertisement of the
Art in the Square event and shall pay all expenses resulting there from, provided that all
such promotion and advertising shall be carried out in a manner and style commensurate
with the professional reputation of the Artist and shall, in no way, serve to injure or in any
way diminish such reputation or the rights of the Artist in and to the professional name of
Artist.
(ii) The Artist grants to Organizer the right to make use of Artist's name, pre approved
photographs and other likenesses only for the purpose of advertising, publicizing and
promoting Art in the Square. In any such advertising, publicity or promotion, the Artist shall
not be directly represented or announced as endorsing the event.
5. PHOTOGRAPHS AND RECORDINGS
The Organization reserves the right to take photographs and video footage of the event for
the marketing and advertising of future Art in the Square event, unless notified directly by
the Artist of their refusal in writing 2 weeks prior to the event. The Organization will not be
held responsible for photographs or video footage taken by members of the public.
6. AUTONOMY OF ARTIST
The Organization acknowledges that Organization is not the agent of the Artist and shall not
hold itself out to the public as so being, and that further, the Organization has no authority,
in any way, to bind or commit the Artist nor shall Organizer in any way obligate the
Artist, unless specifically authorized herein.

7. FORCE MAJEURE
If either party is delayed or interrupted from the performance of its obligations
hereunder by reason of an act of God, fire, flood, war, public disaster, strikes or labour
difficulties, governmental enactment, regulation or order, emergency, or any other cause
beyond its control, such party shall not be liable to the other therefore and the parties shall,
if each so desires and where feasible, make such further arrangements as are mutually
satisfactory to the parties to carryout the purpose and intent of this agreement.
8. TERMINATION
If either party shall fail to perform any of its respective obligations hereunder the other
party may terminate this agreement forthwith upon notice to the
other party and the party so terminating the agreement shall be relieved of
any of its obligations hereunder, without prejudice to any rights to seek damages or such
other right or remedy as it may have at law.
9. NOTICES
All notices, demands, or statements provided for in this agreement and any other notices
which may be deemed necessary hereunder shall be in writing and delivered
personally or forwarded by mail postage to the following addresses. Such notices shall be
conclusively deemed to have been received or made upon the day which such notice was
personally delivered, or if mailed, then on the second business date following the date of
mailing.
10. CONFLICT OF INTEREST
Artists should consider their ability to conscientiously fulfill their responsibilities to the
Event before signing the contract. Artists should disclose, and where required, refrain from
any activity which might conflict or appear to conflict with the Event. You should avoid
situations in which a conflict of interest, or the appearance of a conflict, could arise.
11. ENTIRETY
This is the entire Agreement between the parties hereto and it shall not be modified orally
and no waiver, amendment or modification shall be binding or effective unless in writing
and signed by the party sought to be bound.
12. INDEPENDENT CONTRACTORS
The parties hereto are acting as independent contractors hereunder not as joint ventures,
employees or partners of the other.
13. HEADINGS

The headings contained in this Agreement are for convenience and reference purposes only.
They do not form a part hereof and shall not affect the meaning or interpretation of this
agreement.
14. JURISDICTION
This agreement shall be governed by and construed in accordance with the laws of the
Province of Ontario.
IN WITNESS WHEREOF the parties have duly executed this Agreement each on the date
written below. Copies of the signed contract will be returned to the Artist by the Organizer.
