(ASSOCIATIONS)

In consideration of the premium charged, it is hereby understood and agreed that the

CrisisFund Coverage Section is amended as follows:

1. In Clause 2. DEFINITIONS, paragraph (b), the definition of “CrisisFund Event,” is amended by appending the following to the end thereof:

CrisisFund Event” also means a Association Crisis.

Clause 2. DEFINITIONS is amended by appending the following definitions to the end thereof:

AS(a) "Association Crisis" means:

(1) Management Crisis: The death, incapacity or criminal indictment of any directors, trustees or officers of an Association, including, but not limited to, the executive director, or any employee of an Association, for whom such Association has purchased and continues to maintain key individual life insurance.

(2) Contribution Revocation: The withdrawal or return of a nongovernmental grant, contribution or bequest to an Association in excess of $500,000.

(3) Bankruptcy: The public announcement that an Association intends to file for bankruptcy protection or that a third party is seeking to file for involuntary bankruptcy on behalf of an Association; or that bankruptcy proceedings are imminent, whether voluntary or involuntary.

(4) Regulatory Crisis: The public announcement of the commencement or threat of commencement of litigation or governmental, regulatory or criminal proceedings against an Association.

(5) Mass Tort: The public announcement or accusation that an Association, in the conduct of its business, has caused the (i) bodily injury, sickness, disease, or death of any person, including mental distress, mental injury, mental anguish, mental tension, pain and suffering, shock or humiliation (collectively, "Mental Distress"), but only if such Mental

Distress arises from and is accompanied by injury to the claimant's body, sickness, disease or death or (ii) damage to or destruction of any tangible group of properties, including the loss of use thereof.

(6) Publicity Event: The publication of materially unfavorable information in a newspaper (or other general circulation) or on a radio or television news report regarding an Association that can reasonably be considered

4. to lessen public confidence in the competence, integrity or viability of such Association to conduct business.

References in this definition to the term "Association" shall have the meaning ascribed to such term in the Associations Coverage Section.

Solely with respect to any Association Crisis, in Clause 2. DEFINITIONS, paragraph (e), the definition of “Crisis Loss,” is deleted in its entirety and replaced with the following:

(e) “Crisis Loss” means the following reasonable expenses necessitated by or in connection with an Association's response to a CrisisFund Event, and incurred by such Association during a CrisisFund Event, within ninety (90) days prior to and in anticipation of a CrisisFund Event, and/or within one (1) year of the end of a CrisisFund Event for:

(1) the reasonable and necessary fees and expenses incurred by a Crisis Firm in the performance of Crisis Services for an Association;

(2) the reasonable and necessary fees and expenses incurred in the printing, advertising, mailing of materials intended to inform or educate the general public about the CrisisFund Event; or

(3) travel costs incurred by employees or agents of an Association or the

Crisis Firm, arising from or in connection with the CrisisFund Event; provided, however, Crisis Loss shall not include compensation, fees, benefits, overhead or internal charges of any Association.

References in this definition to the term "Association" shall have the meaning ascribed to such term in the Associations Coverage Section.

Solely with respect to any Association Crisis, in Clause 2. DEFINITIONS, paragraph (d), the definition of “Crisis Services,” is deleted in its entirety and replaced with the following:

(d) "Crisis Services" means those services performed by a Crisis Firm in advising an

Association on minimizing potential harm to Association arising from the

Association Crisis; including, but not limited to, maintaining and restoring public and employee confidence in such Association.

References in this definition to the term "Association" shall have the meaning ascribed to such term in the Associations Coverage Section.

ALL OTHER TERMS, CONDITIONS AND EXCLUSIONS REMAIN UNCHANGED.
