Brookfield Properties 1200 Smith Street Suite 1200 Houston, Texas 77002 Tel (713) 651-1515 Fax (713) 951-0209 INSURANCE REQUIREMENTS Contractor, at its sole cost and expense shall procure and maintain at all times during the performance of the Work, with insurance companies acceptable to Landlord, the types and amounts of insurance set forth below as evidence by a certificate of Insurance; 1. Worker Compensation and Employer's Liability Insurance in the name of the Contractor sufficient under the law of Texas covering all persons or subcontractors employed by the Contractor engaged in the performance of the Work or service to be performed under the Contract. The policy covering this insurance shall be endorsed to provide for all states coverage, voluntary compensation coverage and occupational disease. Worker's Compensation coverage shall be in an amount no less than the statutory minimum. Employer's Liability shall have a minimum limit of $1,000,000.00 (one million dollars) for each accident. 2. Commercial General Liability, Bodily Injury, Personal Injury Coverage, Contractual Liability and Property Damage Liability with minimum limits of $2,000,000.00 (two million dollars) per occurrence. 3. Comprehensive Automobile Liability covering all owned, non-owned and hired vehicles with a combined single limit of not less than $1,000,000 (one million dollars) per occurrence. 4. Excess Liability Umbrella with minimum limits of $5,000,000.00 (five million dollars) per occurrence in excess of the insurance coverage set forth in paragraph (1), (2) and (3) above. 5. Builder's Risk insurance in an amount equal to 100% of the value of the completed work, if required. Cullen Allen Holdings, L.P. shall be named as certificate holder and Additional Insureds will be Brookfield Properties Management LLC, Cullen Allen Holdings, L.P. and their respective parent entities, controlling entities, affiliates, shareholders, partners (including partners of partners), subsidiaries and related entities, and any successors and assigns of such entities, LaSalle Bank National Association, as Trustee in Trust For Holders of TrizecHahn Office Properties Trust Commercial Mortgage Pass-Through Certificates, Series 2001-TZH c/o Wells Fargo Bank N.A. as Servicer, P. O. Box 7042, San Francisco, CA 94120-042 is Lender Payee and Mortgagee on all policies required to be carried by the Contractor except Workers Compensation. The Contractor's insurers, including Worker's Compensation insurers, shall waive rights of subrogation against Landlord, Landlord's officers, employees, associates, affiliates and assigns. The Contractor's insurers shall agree that in the event of the claim or suite resulting directly or indirectly from the Work, Contractor's insurance shall be primary and Landlord's insurance excess thereto and excess of any other valid and collectible insurance. Landlord shall be given a thirty (30) day written notice of cancellation or material change in Contractors policies. Prior to commencement of the Work, the Contractor shall furnish Landlord a Certificate of Insurance setting out all coverages, limits and conditions stated above.
