Areas of Expertise
Nasir PKM Abdul is an Of Counsel with Gide in Ho Chi Minh City/Hanoi and heads the Vietnam M&A/
Corporate practice. Nasir has substantial experience in representing foreign clients on a broad range of
corporate and transactional matters in the areas of foreign investments, M&A/Corporate, international
contracts and real estate transactions.
In particular, Nasir has extensive experience in advising multinationals and listed companies on cross
border acquisitions across a number of sectors, including manufacturing and processing, heavy
industries, agribusiness, real estate and construction, advertising, media and communication, and
financial services.
Nasir also has considerable experience as a dispute lawyer acting for foreign and Vietnamese
corporations in various civil and commercial matters in Vietnam, including both international and
domestic arbitration proceedings. He is appointed by the Vietnam International Arbitration Centre to
serve as one of a select number of foreign experts on their recommended List of International
Arbitrators.
Prior to joining Gide, Nasir led the Vietnam M&A/Corporate practice of an international firm for five
years, having previously managed the Vietnam-based offices of a European firm for four years and
worked for 5 years with a US firm in Paris. Nasir is qualified as a French Avocat à la Cour.
Nasir has been named as a leading individual for Corporate / M&A in Vietnam by Chambers Asia
Pacific and Chambers Global 2013, and is recommended in the Asia-Pacific Legal 500 2012 for
Corporate/M&A in Vietnam.

M&A / Corporate

Advising a multinational power conglomerate in relation to a strategic joint venture with Vietnam
State-owned power generation group for the reconditioning of parts of power plant gas turbines

Advising a major Japanese conglomerate in relation to the acquisition of a Vietnamese company,
which operates one of the largest industrial parks in South Vietnam

Advising a European-based agro-industrial multinational on the 100% acquisition of a Vietnamese
company (acquisitions of domestic companies by foreign investors in the local agri-business sector
are currently relatively rare due to the limited market penetration by foreign investors)

Advising the food subsidiary of Manila-based conglomerate Aboitiz Equity Ventures on the
acquisition of Vinh Hoan 1 Feed JSC, the fourth largest aqua feed producer in Vietnam and a
subsidiary of Vinh Hoan Corporation -Vietnam's largest exporter of pangasius (Asian catfish).

Advising a leading European company in the fields of electronics, stationery and cigarette lighters
on the 100% acquisition of two major Vietnamese lighters manufacturers

Advising a leading French reinsurance group in relation to the proposed acquisition of a strategic
stake in Vietnam National Reinsurance Corporation

Advising a French distribution group in relation to the establishment of the very first 100%-foreign
owned company in Vietnam-based retail supermarket activities

Advising a major Japanese trading house in relation to the expansion of its woodchip capacity in
Vietnam by carrying out three joint venture projects
Real Estate, Projects and Construction

Advising a French-led foreign consortium on performance issues in relation to the engineering,
procurement and construction turnkey contracts on the Dung Quat Refinery in Central Vietnam

Advising a European financial group on the acquisition of a major real estate development project
in Hanoi, and in subsequent ICC arbitrations against its general contractor and the vendors

Advising the Japanese operator of one of the largest industrial parks in South Vietnam on the
formulation of land lease agreements and land-related issues under Vietnam’s complex land
administration regime (including sale and lease-back arrangements)

Advising a Japanese conglomerate and affiliates in relation to a consortium arrangement with (i) a
foreign-based subsidiary and (ii) a Vietnamese State-owned construction company to bid for a
major bridge project in Vietnam (including structuring and regulatory advice as well as all aspects of
the tender documents)
Banking/ Finance

Advising a leading Vietnamese fund manager on the establishment and management of a Vietnamfocused offshore fund

Advising Vietnam's national flag carrier in relation to the USD 457 million ECA-backed financing of 8
Airbus A-321 aircraft and two spare engines, one of the largest aircraft financing deals in the history
of Vietnam, and on the subsequent financing of 5 additional A-321 aircraft

Advising a New York-based hedge fund in relation to multiple equity line of credit arrangements
with Vietnamese corporations

Advising foreign lenders in multiple syndicated loans to Vietnamese State-owned corporations

Advising a global insurance company on the establishment of a joint venture life insurance
company with a major Vietnam State-owned commercial bank, a transaction that involved
substantial negotiations with Vietnam’s Ministry of Finance and took nearly 2 years to complete in
Vietnam's highly-regulated market
Dispute Resolution

Advising the Vietnamese Government in its defence of investment treaty claims made before a
European institution for international dispute resolution

Advising a PRC high-tech company in its defence of an arbitration brought by a Vietnam Stateowned company before the Vietnam International Arbitration Centre, in relation to sales contracts

Advising a US-based equipment and machinery multinational in relation to commercial and
trademark disputes with a US-invested Vietnamese entity

Advising a video game publishing and developing multinational in relation to civil court action and
related proceedings in Vietnam against Vietnamese companies and individuals

Advising a Swiss-based global trading conglomerate on the recognition and enforcement of a
foreign arbitral award (such matters are currently relatively rare in the Vietnamese context due to
regulatory/procedural constraints)

Advising a PRC high-tech company, in its defence of a VIAC arbitration brought by a Vietnamese
company, arising from a dispute regarding shipments of mobile phones into Vietnam

Advising a Hong Kong company in relation to commercial disputes and related proceedings in
Vietnam
