Job description and person specification Job Title: Board Associate Reports to: Board Secretary/Head of Governance and Strategy Purpose: To provide Board secretarial and governance services to a range of LPFA’s investment focused committees. Also to assist in the delivery of team objectives in the areas of Board and Committee management, performance reporting, programme management, internal governance. Key Responsibilities: To assist the Board Secretary in providing an effective Board and Committee reporting function with a focus on providing governance support to LPFA’s investment partnerships and Stewardship Committee. This will include the organisation of meetings, minuting and adherence to the Constitutional Document/partnership governance documents. Governance responsibilities may include but will not be limited to: Corporate secretarial services Preparing and delivering filings with the appropriate authorities where necessary Keeping LLP in good standing Assisting with the filing of annual accounts and tax returns by liaising with appointed accountants and/or tax advisors Preparation for the Joint Management Committee and the Joint investment committee meetings, including minute taking Preparation for board/committee meetings and minute taking Liaison with external advisors Maintenance of statutory books where necessary To organise, co-ordinate, minute and provide support to the Strategic Investment Advisory Board including a research function where necessary. Contribute to the risk management framework in relation to their particular areas of corporate governance, namely the investment related partnerships and the team risk register programme. Ensure activities meet and integrate with the organisational requirements for quality management, health and safety and environmental policies and comply with the legislative framework within which the authority operates. To work with the Board Secretary and Deputy Board Secretary on internal and external governance matters including maintenance of LPFA’s governance policies, external annual reporting and internal reporting in the areas of governance to the Executive Committee. Company secretarial experience and experience of supporting Committees, particularly within an investment focused environment. Board and 2. Excellent ICT skills including excel, word and desktop publishing. 3. Excellent organisational skills. 4. Effective written and verbal communication and experience of drafting Board reports. 5. Supportive team player. 6. Ability to develop and maintain good working relationships, and work flexibly across professional and operational boundaries. 7. Commitment to excellent customer service. Required Qualification, Skills and Experience 1. Educated to degree level or relevant professional qualification i.e. part ICSA qualified. 2. Experience of basic research and the preparation of reports. 3. Possess some company secretarial experience in an investment environment. 4.
