President Ross Bradshaw noted a quorum of the Board present and called the annual NATA meeting to order at 1:32 p.m.

Meet and welcome new Board members Merry Green, McCollum, Inc. and Jim Moore, Baxter Auto Parts.

Meet Drew Butler, Hays and Companies - Mr. Butler updated the Board on the new Affordable Care Act and Health Insurance Exchanges for under 50 employees and over 50 employees. NATA will participate in the Exchanges once they become operational.

Legislative Report - Darrrell Fuller

Lobbyist Fuller reviewed the bills that had a chance to make it into laws in the 2013 session. The

Oregon Dealer Education Bill sponsored by NATA is moving through committee. Chair Mary Ann Trout updated the Board on the bill's progress and discussed a meeting with interested parties that resulted in a better understanding of the need to update continuing education. From that meeting, changes made to the bill increases its effectiveness.

The CTE bill is also moving through committee, hopefully resulting in better funding sources for the trades Career and Technical Training.

Accept Membership Voting for 2013 Board: Crest reported that 44 ballots were returned, and NATA

Board members up for election received either a majority of 42, 43 or 44 votes. Ron Reichen moved and Scott Asla seconded a motion to accept the vote of membership for the 2013 Board of Directors:

Bob Anderson; Scott Asla; Ross Bradshaw; Rick Field; Jerry Geiszler; Merry Green; Jake Hammer; Jim

Moore; Monte Reed; Ron Reichen; Catherine Skiens; Jerry Titus; and Mary Ann Trout: the Board voted the motion unanimously.

Discussion (Ross Bradshaw) - Executive Committee Rotation

Elect Officers of the 2013 NATA Board of Directors: Ross Bradshaw, President; Mary Ann Trout, Vice

President; Jim Moore, Secretary, and Jake Hammer, Treasurer. The Board voted these officers unanimously.

Approval of Minutes of September 11, 2013 - Jerry Geiszler moved and Rick Field seconded a motion to approve the minutes as written; the Board voted the motion unanimously.

Review Financial Reports: Rick Field moved and Mary Ann Trout seconded a motion to approve the new format for the financial reports (Profit and Loss and Balance Sheet) on a 12-month basis and to approve the 2013 annual budget; the Board voted the motion unanimously.

Appoint OATA Board Members for another Two-Year Term - Bob Anderson moved and Mary Ann Trout seconded a motion to re-appoint John Meyerhofer and Nancy Scheewe to two-year terms; the Board voted the motion unanimously.

Board Roundtable - In the interest of time, it was decided to move discussion of NATA goal-setting to the next Board meeting in the second quarter of 2013.

Education/Training - Rick Field, Jake Hammer, Monte Reed and Jerry Geiszler

Legislative - Mary Ann Trout (Ch.), Jerry Geiszler, Bob Anderson, and Catherine Skiens

Nominating - Ross Bradshaw (Ch.), Mary Ann Trout, Jim Moore and Jake Hammer

Executive Director Report - Crest reviewed the actions of national groups AASP (Automotive

Aftermarket Service Providers), ASAAA (Alliance of State Automotive Aftermarket Associations) and

AAIA (Automotive Aftermarket Industry Association).

Adjournment - Ron Reichen moved and Bob Anderson seconded a motion to adjourn at 4:30 p.m.; the

Board voted the motion unanimously.
