RailNetEurope Oelzeltgasse 3/8 1030 Vienna Austria (hereinafter "RNE") and 2. [NAME] [address1] [address1] (hereinafter "PCS User") (RNE and the PCS User hereinafter each referred to as a "Party" and collectively the "Parties"). RECITALS (A) RNE has designed and developed the Path Coordination System ("PCS"). PCS is an internet based communication system for the coordination of timetables in international passenger and freight rail transport. It supports its users with information regarding availability and parameters of international train paths, and eases the coordination process through the automated alignment of path requests and path offers and by data exchange between the IT systems of connected infrastructure managers, allocation bodies and path applicants. PCS consists of hardware and software components (the central system). (B) Each PCS User transfers and receives Data either automatically via its own domestic system or manually into/from PCS. (C) RNE has the exclusive right to operate PCS and to grant licenses to others to access the data contained in the database of PCS. (D) RNE intends to grant a license to the PCS User with the right to use and access PCS. 3 PCS-User Agreement 1 Definitions In addition to the other terms defined elsewhere in this Agreement, the following words and terms shall have the meaning set forth below. Agreement means this agreement between RNE and the PCS-User. Change Control Board (CCB) means the advisory body pursuant to clause 2.4.1. Data means the collection of information that is stored in PCS or any information provided or to be entered into PCS by PCS-Users. Data Exchange means any upload and download of Data to or from PCS. Data Manager means the person identified as contact person (and/or its substitute, as the case may be) by RNE or the PCS-User which is sufficiently familiar with the technical concepts of PCS and the Data Exchange. Downtime means the time period in which any Data Exchange with PCS is not possible due to a central systems malfunction and which could result in loss of Data packets or Data integrity of not completed or interrupted transfers. Maximum Downtime means the total time period of Downtime allowed. Parties means RNE and the PCS-User. PCS means RNE's Path Coordination System, an internet based communication system for the coordination of timetables in international passenger and freight rail transport. User-Helpdesk Every day between 9:00 a.m. and 4:00 p.m. (CET) except on Saturdays, Sundays and on statutory holidays in Austria. 2nd Level Service Desk Monday to Sunday 24 hours per day. Reaction Time means the maximum time allowed for a Party to initiate remedial actions following a certain event. 2 Objectives 2.1 PCS is a path coordination system for international passenger and freight rail transport designed, developed and operated by RNE. PCS consists of hardware and software components which form the central system. Front-end applications are distributed to, and executed by, the PCS Users. RNE is responsible for the operation of PCS subject to the terms of this Agreement, but cannot verify in each case the quality, correctness, completeness or timing of the Data stored in the PCS. 4 PCS-User Agreement 2.2 The PCS User shall transfer the Data containing the relevant path request/path offer automatically from its domestic system or by way of manual input to PCS, and shall secure the Data Exchange process and the accuracy, quality and updating of its Data. 2.3 PCS is merely a tool for pooling and aligning path requests and path offers of PCS Users in order to facilitate their timetabling process. However, by providing PCS, RNE does not in any way assume the responsibility of national rail traffic control or management authorities, rail operators or infrastructure managers, whose operations and liability will continue to be determined by applicable law governing safety. 2.4 PCS Governance 2.4.1 RNE has established the CCB as an advisory body to RNE on a contractual basis which is competent for the further development of PCS and to decide about proposed measures with a view to technical and financial feasibility, practicability and development priorities. 2.4.2 The PCS governance, PCS User participation and involvement and procedural aspects are set forth in detail in Annex A. 2.5 Development of PCS 2.5.1 RNE shall further develop PCS according to the decisions of RNE's general assembly and shall take into account any advice or recommendations of the CCB. 2.5.2 RNE shall inform the PCS User about updates and new releases of PCS on a yearly basis and in each case at least two months ahead of any new release. RNE shall provide the PCS User with a copy of the any release notes, test reports and other documentation relating to the changes of every new release. 2.5.3 RNE shall inform the PCS-User about the service delivery level of its supplier on a yearly basis. 2.5.4 Software deployment is arranged by RNE or its subcontractors. 2.6 Third Party Software Components RNE shall manage all third party software components of PCS (middleware or operation system). 3 Duration This Agreement shall enter into force ……… [on date / upon due execution] for an indefinite period of time until terminated pursuant to clause 12 of this Agreement. 4 Services of RNE and Operation of PCS 4.1 Operation of PCS 4.1.1 RNE shall provide the PCS User with access to PCS for Data Exchange. 4.1.2 For the purposes of Data Exchange, RNE shall supply a web based internet tool for the manual input of path offers/requests and operate a technical system-to-system communication interface which enables automatic data exchange between PCS and the PCS User's domestic system ("PCS Integration Platform" or "PCS IP"). The specifications of the interface for Data Exchange are specified in the PCS documentation pursuant to clause 4.1.5 and by PCS Support. 4.1.3 The PCS User will have access to Data of other PCS Users in PCS. Data of other PCS Users is subject to confidentiality pursuant to clause 7. The Parties agree that they will not enter any information into PCS that would qualify as "personal or sensitive data" in the meaning of the laws applicable to the PCS User and the person or entity concerned without the required authorization. 4.1.4 The PCS User shall have the right to access PCS as set forth in more detail in the PCS Reference Manual, including inter alia the right to: retrieve and use the contents of the Data stored in PCS by way of Data Exchange; generate and modify one or more PCS dossiers (i.e., data records of a single train path, including train number and train parameter); and have sufficient storage capacity for several versions of a PCS dossier created during the planning process for a requests. 5 PCS-User Agreement 4.1.5 RNE shall provide all relevant documentation necessary for a PCS User to use PCS as set forth in Annex A and to implement a Data Exchange with PCS as set forth in Annex C. 4.1.6 The rights granted to a PCS User under this Agreement to access, use and exchange Data with PCS are non-exclusive and expire upon termination of this Agreement. The PCS User understands and agrees that RNE has at any time the right to share Data and to allow Data Exchange with other users of PCS and to use and share all Data in this manner also after the termination of this Agreement. 4.1.7 RNE has the right to update and/or modify PCS to meet legal, commercial, administrative and/or technical requirements and future developments. RNE will inform the PCS User about any updates and changes to PCS and/or any new or discontinued features as early as possible. 4.1.8 The User shall have the right to research the Data stored in PCS and to use the retrieved results exclusively for its own use or to render its logistics services to its customers or partners (but in no case as an intermediary, hub or information service provider for Data on trains, train paths or timetabling). 4.1.9 RNE will offer PCS training sessions free of charge at the annual RNE event "PCS Day", which will be announced on RNE's website at the beginning of the year. 4.2 System Availability RNE shall procure that, except as permitted in this Agreement, PCS is accessible and available for Data Exchange as follows: Regular time of operation: Monday to Sunday 24 hours per day except the Downtime needed to assure the system availability. Service Level: The general service level for PCS is 98.5% per annum (the "Service Level"). Regular maintenance: Wednesday evening between 08:00 p.m. and 10:00 p.m. (Vienna time), for a maximum of 120 minutes. Maximum Downtime: The Maximum Downtime is 1.5% and will be measured per quarter. The Maximum Downtime does not include regular maintenance time needed to secure or improve normal system operation and availability. The latter is part of the general Service Level. Helpdesk: Every day between 9:00 a.m. and 4:00 p.m. (CET) except on Saturdays, Sundays and on statutory holidays in Austria. Reaction Time: 4 hours after the report of an incident within the regular time of operation of PCS. 6 PCS-User Agreement 4.3 Incident Management 4.3.1 RNE, or a subcontractor on behalf of RNE, shall offer a helpdesk with telephone support in English (the "PCS Support"). Contact details and availability of PCS Support are set forth in Annex B. 4.3.2 For submitted incident reports and feedback, RNE shall provide – in addition to the maintenance services pursuant to clause 4.2 – a ticket registration tool (OTRS incident tool) to receive and collect emails on incidents and feedback regarding PCS by the PCS User around the clock. PCS Users' emails to PCS Support shall automatically be registered as tickets in the ticketing system and the PCS User shall receive an automated reply email as confirmation. Tickets will be labeled and assigned with a unique ticket ID which will be used on any further communication on the matter between the PCS User and PCS Support. 4.4 Maintenance Service 4.4.1 RNE reserves the right to make PCS unavailable for maintenance and shall notify the PCS User at least 72 hours in advance of any planned maintenance works outside of the regular maintenance schedule. Timely notified Downtimes are subject to the general Services Level and not to the Maximum Downtime threshold pursuant to clause 4.2. 4.4.2 In case of an emergency or if there is a need for urgent work to be carried out, in each case to be determined in the reasonable discretion of RNE, RNE reserves the right to make PCS unavailable without giving any notice in advance. 4.5 Backup and Recovery of Lost Data 4.5.1 RNE a daily backup of all Data stored in PCS. The restore of backups of Data of the central system is available to the PCS User at no additional costs. 4.5.2 RNE shall keep any backups of Data for a period of at least 10 years from the backup's recording. 5 Obligations of the PCS User 5.1 Data Exchange 5.1.1 The PCS User shall provide and enter the Data that is required to set up and process the international timetabling process if it is involved or affected by a PCS dossier and shall cooperate with the other partners involved or indicated in the PCS dossier to successfully complete the international timetabling process. 5.1.2 The PCS User shall set up an automated process for Data Exchange so that the Data of its domestic system is automatically transferred to PCS or enter the Data into PCS by manual input. 5.1.3 The PCS User shall use its domestic system to collect Data and transfer the Data to the PCS using the specification of the interface format of the PCS Integration Platform as stipulated by the CCB or the PCS Technical Board (as defined in Annex A). 5.1.4 RNE shall specify the details regarding Data Exchange, the transfer, the quality, the format and the time of the delivery of Data in the PCS documentation (see clause 4.1.5 and Annex C) or via PCS Support. 5.1.5 In case Data cannot be transferred to PCS as provided for by this Agreement (e.g. due to a failure of the domestic system, Downtime, loss of internet connection, etc.), the PCS User shall transfer missing Data as soon as possible (if still appropriate). If the failure has been caused by PCS, the performance levels for PCS shall be adjusted accordingly. 5.1.6 The PCS User shall observe and comply with the obligations set out in Annex A, in particular with regard to the technical aspects of PCS and cooperation. 5.1.7 The PCS-User shall – within reasonable time – report malfunctions of, or errors reported by, the system to PCS Support giving details as precisely as possible on the malfunctions, error or problem and the time of the event (and, if ascertainable, whether it is recurring or reproducible). 5.1.8 During the term of this Agreement, the PCS User shall maintain an internet connection. 7 PCS-User Agreement 5.2 Domestic Data Manager 5.2.1 The PCS User is responsible for the quality and accuracy of the delivered domestic Data. 5.2.2 Each PCS User shall appoint a Data Manager within four calendar weeks upon the signing of this Agreement as the contact person for issues regarding quality management of its domestic Data (Annex B). The PCS User shall bear its own costs for the data quality management of domestic Data required for Data Exchange with PCS. 5.2.3 The Data Manager of the PCS User shall be available: Service hours: Every day between 9:00 a.m. and 4:00 p.m. (time of PCS User's country) except on Saturdays, Sundays and on statutory holidays of the PCS User's country. Reaction Time: 4 hours within regular service hours of PCS Member’s Quality Manager. 5.3 Availability of Data Exchange via PCS Integration Platform Time of operation: Maximum Downtime: Regular maintenance: Monday to Sunday 24 hours per day except the Downtime needed to assure the system availability. The PCS User shall with all reasonable means seek to ensure that the availability of a PCS User's Data allows PCS to meet this general Service Level pursuant to clause 4.2. Wednesday evening between 08:00 p.m. and 10:00 p.m. (CET), for a maximum of 120 minutes. 8 PCS-User Agreement 5.4 Announced Maintenance Services 5.4.1 If a PCS User wishes to carry out scheduled maintenance works on its domestic system that exceeds 60 minutes and impacts PCS (e.g. performed outside of PCS' regular maintenance schedule), the PCS User shall notify RNE or PCS Support at least 72 hours in advance. 5.4.2 In case of an emergency or if there is a need for urgent work to be carried out, the PCS User reserves the right to make its domestic system unavailable without giving any notice in advance. 6 Notices 6.1 Notice details of the Parties are specified in Annex B. 6.2 Any information, other than transfer of Data, exchanged between the Parties shall take place through the contact points mentioned in Annex B. 6.3 The Parties will inform each other in writing about any changes in their contact data, in particular with regard to their e mail and postal addresses. Until a Party has validly received the new contact details of the other Party, any communication served on the last notified contact information will be considered to have been validly received. 6.4 RNE shall send information relating to PCS functionality by an e-mail newsletter to the PCS User and publish the same on the PCS website and/or in an update of the PCS documentation published annually. 6.5 Any other communications or notices, in particular those relating to the validity or terms of this Agreement or the mutual rights and responsibilities of the Parties, required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been duly given if (a) delivered personally, (b) mailed by registered or certified mail (return receipt requested), (c) sent by overnight courier, or (d) by e mail. 6.6 Any such other notices and communications shall be deemed to have been received, (a) if by personal delivery at the time of actual delivery; (b) if by certified or registered mail, on the third business day after the mailing thereof; (c) if sent by overnight courier on the day of actual delivery; and (d) if by email, as soon the receipt of such e-mail has been acknowledged by the recipient by return e mail (automatically generated notices or communications shall be disregarded for the purposes of what constitutes a return e mail; if a Party has requested a confirmatory reply email, the recipient Party shall promptly honor this request upon the email's receipt and sent an acknowledgement). 7 Confidentiality and Data Protection 7.1 RNE shall ensure that access to PCS is secured by login name and password and configured that its Data is only accessible to the PCS User (and its authorized personnel). For each person to be authorized to access PCS on behalf of the PCS User, the PCS User shall provide the person's contact data (personnel number, name, email, telephone number and position) to PCS Support. The PCS User shall keep RNE updated about any changes regarding any authorized persons, in particular deregister persons whose access is not required any further or shall be deactivated. RNE has the right to disable any account which has not been used for more than 6 (six) calendar months. On the 5th month of non-usage of an account RNE will send an alert notice by email to PCS User. 7.2 In this Agreement, "Confidential Information" means (1) any and all Data contained in PCS and (2) any other information and documents marked by one Party as confidential or which is, based on its contents or appearance, of confidential nature, regardless of the form in which such information is communicated or maintained (binary data, excel files, diagrams, tables, slides, printouts, etc.), including, without being limited to, information relating to services, customers, fees, suppliers, financial information or internal structure and management, with the exception of information generally available to the public. 7.3 The Parties undertake to hold all Confidential Information as entirely secret and confidential and to use Confidential Information only for the purpose for which the PCS has been created and limited to their own business operations and when providing services to their customers. The Parties undertake to ensure that their respective directors, officers, employees, advisers and agents will keep entirely secret and confidential all Confidential Information. 7.4 The Parties shall implement and maintain security procedures and measures, in order to ensure the protection, integrity and authenticity of exchanged Data against the risks of unauthorized access, alteration, delay, destruction or loss. 9 PCS-User Agreement 7.5 Any authorized transmission of Confidential Information shall be subject to the same degree of confidentiality as provided for by this clause 7 unless agreed otherwise. 7.6 Each Party may disclose Confidential Information to the extent it is requested by judicial authorities, regulatory bodies or any requirement of mandatory law. 8 Limitation of Liability 8.1 The Parties disclaim to the fullest extent permitted by law any warranty (express or implied) with respect to the obligations assumed by them under this Agreement or which might otherwise be implied by or incorporated into this Agreement by reference, in particular relating to the operation of the PCS, the Data (quality, accurateness or completeness), Service Level, Downtime, Helpdesk, PCS Support, the supply and operation of software or any related documentation. 8.2 Any liability of RNE and the PCS User under this Agreement and in connection with the operation of PCS, Data Exchange and the Data shall be excluded or limited to the fullest extent permissible under applicable law. This exclusion and limitation of liability is irrespective of the legal grounds and relates in particular to any claims based on rescission, error, non-occurrence of expectations, reduction of the true value of the consideration received by half, contractual damages, tort, statutory warranty, unjust enrichment law or any other legal theory and shall exclude the recovery of any kind of loss, be it direct damages; loss of expected revenue, income or opportunity; loss of profit; loss of goodwill or reputation or any indirect or consequential damage. 8.3 RNE is not liable for any damages suffered by the PCS User due to Downtime, a failure of its access to PCS or a failure of its ability to retrieve Data from it (including any damages suffered due to a disregard of, or the respective implementation into, PCS of a change request submitted by a PCS User). 8.4 RNE is not liable for any damages or business losses or any loss or corruption of any data, database or software suffered by the PCS User due to usage of PCS`s login names and passwords from PCS User`s unauthorized personnel. 8.5 RNE is not liable for the completeness and/or correctness of the Data provided by PCS Users. Likewise the PCS User is not liable towards RNE or any other PCS User or third parties for the completeness and/or correctness of the Data stored in PCS. This Agreement shall not constitute a contract for the benefit of, and shall not have any protective effect in favor of, other PCS Users or third parties in general. 8.6 The Parties sole remedy in case of a conduct by the other Party that would ordinarily give rise to liability under the causes of action or legal theories for which liability is disclaimed and waived pursuant to the provisions of this clause 8, is to terminate this Agreement vis-à-vis the breaching Party pursuant to clause 12.2. 9 Intellectual Property Rights 9.1 PCS, the PCS website, form and contents, the software (running on the central system or the frontend applications), the Data stored in PCS and the PCS documentation are the exclusive intellectual property of RNE. 9.2 The PCS User shall, during the term of this Agreement and at all times hereafter, refrain from any action which could enable it or third parties to copy or reproduce PCS as an international system. 10 PCS-User Agreement 10 Adjustment of the Agreement 10.1 Any amendments or modification to this Agreement shall be made in writing in order to be effective. Oral promises shall be ineffective until confirmed in writing. If the above formal requirement is amended or changed, such amendment or change shall also be made in writing in order to be effective. 10.2 If a clause in this Agreement becomes invalid, unenforceable and/or found to be incomplete, it shall be deemed automatically replaced by a legally valid and enforceable clause with similar commercial content. The invalidity or incompleteness of a clause does not influence the validity of other clauses or this Agreement. 10.3 Notwithstanding the provisions set in the Article 10.1, RNE's general assembly may amend, or provide that the CCB is granted the right to amend, the terms of Annex A effective for all PCS Users by adopting a respective resolution (or subject to a respective resolution of the representatives of the CCB). 11 Applicable Law and Venue 11.1 This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Austria. Applicability of Austrian law of conflicts/international private law is excluded. 11.2 The court having jurisdiction over commercial matters for the first district of Vienna shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement, including those connected with its conclusion, entering into force and termination. 12 Termination 12.1 Either Party may terminate this Agreement by written notice effective at the end of each calendar month by observing a three calendar months' notice period. 12.2 Either Party may immediately terminate this Agreement for good cause if the other Party severely and/or repeatedly breaches a material provision of this Agreement. A severe breach giving rise to immediate termination of this Agreement at the first occurrence is inter alia a violation of confidentiality and data protection pursuant to clause 7 or the breach of intellectual property rights pursuant to clause 9. 13 Assignment No Party shall assign, transfer (in full or in part), charge or otherwise deal with any of its rights under this Agreement nor grant, declare, create or dispose of any right or interest in it, without the prior written consent of the other Party or except as otherwise expressly provided in this Agreement or in accordance with this clause 13. 14 Miscellaneous 14.1 Nothing in this Agreement shall be deemed to constitute a partnership between the Parties. 14.2 This Agreement, together with its Annexes, contains the whole agreement between the Parties and supersedes all previous agreements, whether oral or in writing, between the Parties relating to its subject matter. 14.3 This Agreement shall be executed in two counterparts, one for each Party. Questions: Questions regarding system behaviour, as well as reports about unexpected system behaviour have to be reported by PCS-User to PCS Support during the support availability times. New users: PCS-User has to register any authorised person they want to have for PCS via PCS Support per email by providing the basic contact data of the new authorised person that shall be specified and/or requested by PCS Support within the support availability times. Issue management is handled in English and Issues shall be addressed to PCS Support. Change Requests PCS Users (PCS community) are encouraged to specify change requests to improve PCS. The change requests have to be specified to one of the instances listed below: - PCS Support (per email in English) - PCS User Group (PCS UG) - PCS Change Control Board (PCS CCB) All change requests shall be checked by PCS Manager and RNE Sales & Timetabling Manager. Further processing of change requests is handled as described in the tasks of PCS Manager, RNE Sales & Timetabling Manager, PCS CCB, PCS Technical Board (PCS TB) and PCS UG. PCS Sales & Timetabling Manager Leads the RNE Sales & Timetabling Working Group. The job description corresponds to the IROGs of RNE approved by RNE General Assembly. PCS Manager Leads the software development of PCS. Analyses all Change Requests proposed by PCS community. Provides the feasibility and financial analysis for the further development of PCS according to the changes required by the PCS community. PCS User Group (UG) PCS UG consists of active PCS users who want to participate in evaluation of PCS system as well as in proposing the improvement measures (Change Requests) for the system. The members of PCS UG are required to take an active role in the reviewing and testing of new 12 PCS-User Agreement releases of PCS including the implementations of all Change Requests that have been approved for development by PCS CCB. PCS UG meets quarterly in Vienna (another meeting place can be proposed by PCS UG member, in that case, the company of the PCS UG member takes over the costs of meeting facilities). PCS UG meetings are held in English. PCS Change Control Board (CCB) PCS CCB consists of the members of the RNE Sales & Timetabling Working Group. The chairman of PCS CCB is the chairman of the RNE Sales & Timetabling Working Group, namely the RNE Sales & Timetabling Manager. PCS CCB has a mandate of RNE General Assembly (the highest decision body of RNE) to decide about the further development of PCS. Therefore, PCS CCB makes a final approval for the development of Change Requests placed by the PCS community: CCB decides about the priorities of the development by considering the practical and financial feasibility. PCS CCB has the right to forward, analyse and propose the Change Requests also asked by RNE Managing Board and RNE General Assembly. PCS Technical Board (TB) PCS TB consists of the IT experts nominated by PCS-Users who have signed this agreement. The TB-members are responsible for impact analysis of the releases of PCS to the automatic data exchange with their domestic systems via PCS Integration Platform. TB-members are notified about all developments on the PCS Integration Platform through RNE project communication tool “Projectplace”. PCS Integration Platform (IP) PCS Integration Platform is a technical system-to-system communication interface which enables automatic data exchange between PCS. The interface specification is given in the PCS Documentation and can be provided on demand by PCS Support any time.
