WAFCS & WA-FACSE Agreement 2015 Family and Consumer Sciences Annual Conference This agreement is made by and between the Washington Association of Family & Consumer Sciences (WAFCS) and the Washington State Family & Consumer Sciences Educators section of Washington Association of Career & Technical Educators (WA-FACSE). In consideration of the mutual promises contained herein, the sufficiency of which is hereby acknowledged, WAFCS and WA-FACSE agree as follows: 1. Scope of Agreement: WAFCS and WA-FACSE shall form a partnership for the 2015 Family and Consumer Sciences Annual Conference (hereafter referred to as the Annual Conference) to be held October 19 & 20, 2015, at the Great Wolf Lodge, Grand Mound, Washington. Pre- Conference activities sponsored by either or both associations will be held on October 18, 2015. 2. Term: The term of this agreement will commence on February 20, 2015, and end on June 30, 2016 and will be reviewed annually. 3. Relationship of the Parties: The relationship of WAFCS and WA-FACSE shall be one partnership under this Agreement. Each partner shall continue to be represented as an individual organization and collectively as the 2015 Annual Conference Planning Committee. 4. Funding: Registration fees paid by attendees will primarily fund the Family and Consumer Sciences Annual Conference. 5. Division of profits: The division of profits of the Annual Conference will be 35% to WAFCS and 65% to WA-FACSE. The WA-FACSE Treasurer will manage funds received. a. A financial report on Annual conference will be drafted within 90 days of the close of conference and sent to the Conference Planning Committee. The final report will be submitted to the WA-FACSE Executive Director, Leslie Nuttman, and the WAFCS Executive Director, Diane Grossenbacher, by June 30.* b. Distribution of funds to WAFCS will take place in two parts. The first payment, approximately half of the WAFCS portion of the conference income, will be made by February 1 and the final payment will be made at the end of the WA-FACSE fiscal year, by June 30.* 6. Conference Expenses: All expenses related to the planning and implementation of the conference will run through the WA-FACSE organization and will be designated as expenses for this annual conference. The planning committee will track all expenses related to the conference for the purpose of establishing a budget for the upcoming conference. 7. Conference Registration Rates: The conference registration rates will be determined by the Conference Planning Committee based upon the conference expenses as determined by the previous year’s conference and projected expenses. 8. Administration and Planning: The partners commit to planning, implementing and evaluating the program in a collaborative manner. The WA-FACSE President-Elect will have the authority to sign contracts and documents for this conference. 9. Theme: a. Traditionally, the theme followed is the same as the current AAFCS theme b. For 2015 the theme is Advancing Family and Consumer Sciences! 10. Division of Responsibilities: The division of responsibilities for the organization of the Annual Conference will be negotiated annually and determined by a mutually agreed upon date. a. Keynote Speakers: The conference planning committee will mutually agree upon the keynote speakers for the opening luncheon and closing luncheon. b. Conference Breakout Sessions: The number of breakout sessions, and rotations of the sessions of the, will be determined based upon the conference site. The breakouts should represent roughly 60% “education” sessions, 20% theme-based sessions, and 20% hands-on sessions for each rotation of sessions. Both parties will work together to achieve the goals set forth, however neither part will be considered negligent if the goals are not met. c. Speaker Thank You Gifts: Speaker certificates and gifts will be determined by the planning committee. Responsibility for generating certificates and providing thank you gifts will be determined within the planning committee. Amazon gift cards in the amount of $10 per speaker has been identified as the speaker gift for the 2015 conference. d. Conference Exhibitors: WA-FACSE will be in charge of obtaining “Business/Education” Exhibitors. WAFCS will be in charge of obtaining the “Leisure Room” Vendors. WAFCS will organize and implement the Silent Auction. e. Pre- and Post-Conference Events: WA-FACSE will organize pre- and/or postconference events by providing “education” workshops, as per participant desires. Proceeds from these events will be distributed to the sponsoring organization. 11. Registration: Registration will be completed online. Assistance will be extended to those who are unable to register online. a. Payment methods accepted will be checks, credit cards, and purchase orders. b. All checks and purchase orders will be sent to the WA-FACSE Treasurer. 12. Philanthropy: The conference planning committee may choose to support a particular group/issue through an activity and/or fundraiser associated with the annual conference. The committee will invite ideas for such a philanthropy from both organizations, but will make the final determination of the philanthropy and the associated activities. 13. Insurance: Each partner association will maintain and document appropriate liability insurance according to scope and nature of the Annual Conference activities proposed. 14. Indemnification: Each party shall indemnify, defend, and hold harmless the indemnified party, its respective officers and members, from all and against all demands, claims, causes of action, losses, damages, costs, and expenses of any kind (including, without limitation, reasonable attorney fees), and other liabilities asserted or claimed by anyone, including employees of the indemnifying, arising from or in connection with the performance or nonperformance hereof by the indemnifying party or the negligent or intentional acts or omission of the indemnifying party, its respective officers, employees or agents in performing its obligations hereunder. The obligations with respect to indemnification set forth in this Section shall survive the termination of this agreement. 15. Limitation on Liability: In no event shall either party be obligated or liable for another for any consequential, incidental, indirect, special or punitive damages arising out of or in connection with this Agreement. 16. Confidential Information: During the course of providing the services described herein, partners may receive “Confidential Information” from each other. Any Confidential Information shall be received and maintained in accordance with applicable law and institutional policy, and shall not be disclosed to any third party. Confidential Information shall not be used for any purpose other than those purposes specified in this Agreement. 17. Non-exclusivity: Any partner may not engage in other activities inconsistent with performance of its obligations under this Agreement. 18. Future Agreements: Debriefing of the 2015 Annual Conference will take place following the conference with representation by the Conference Planning Committee.
