TERMS AND CONDITIONS
1. Definitions and Interpretation
In these Terms and Conditions (“Conditions”):
“Magis/Gulled” means Gulled Agenturer AB;
“Customer” means the person (including a registered company or partnership) that accepts a quotation
or offer from Magis for the sale of the Goods or whose order of Goods is accepted by Magis;
“Contract” means any contract between Magis and the Customer for the sale and purchase of Goods;
“Goods” means any furniture and/or accessories which Magis is to supply in accordance with these
conditions.
2. Application of Terms
(a) Subject to any variation under Condition 2(b) the Contract shall be on these Conditions to the
exclusion of all other terms and conditions (including any terms or conditions which the Customer
purports to apply under any purchase order, confi rmation of order, specifi cation or other document).
(b) These Conditions apply to all Magis’s sales and any variation to these Conditions and any
representations about the Goods shall not be binding unless expressly agreed in writing by Magis.
The Customer acknowledges that it has not relied on any statement, promise or representation made or
given by or on behalf of Magis which is not set out in the Contract. Nothing in this condition shall exclude
or limit Magis’s liability for fraudulent misrepresentation.
(c) Each order or acceptance of a quotation for Goods by the Customer from Magis shall be deemed to
be an offer by the Customer to purchase Goods subject to these Conditions.
(d) Any reference in these Conditions to any provision of a statute shall be construed as a reference to
that provision as amended, re-enacted or extended at the relevant time.
3. Orders
(a) Unless otherwise agreed, the prices applying to any orders will be the prices valid at the time of
despatch of the Goods. All prices are in SEK unless otherwise stated. Magis/Gulled will execute the
orders (totally or partially) according to the availability of the Goods requested at that particular time.
(b) The Customer is responsible for ascertaining whether the Goods ordered are suitable for and
sufficient for its purpose.
4. Specification
(a) IIlustrations supplied by Magis/Gulled or contained in Magis/Gulled’s catalogues, price lists and
advertising material are by way of general description and are approximate only and not binding on
Magis/Gulled in any way.
(b) It is Magis/Gulled policy to develop and improve its products and accordingly Magis/Gulled reserves
the right to change the specification of, or discontinue, any of the Goods without prior notice.
(c) The Customer acknowledges that the patents, copyrights, trademarks, service rights goodwill,
reputation and any other rights (registered or unregistered) in or related to the Goods are and shall
remain the property of Magis/Gulled. Without prejudice to the above, the Customer acknowledges and
agrees that it shall not reproduce any images, drawings, plans or specifications of or relating to the
Goods without Magis/Gulled’s prior written consent.
5. Delivery
(a) The goods is delivered Free Warehouse Malmö and place for delivery shall be Gulled’s premises. 40
days should be allowed for delivery of Goods. All delivery dates are estimates only and the time of
delivery shall not be of the essence.
(b) Magis/Gulled shall not be liable for late delivery and delay in delivery shall in no case entitle the
Customer to cancel the order unless such cancellation is agreed by Magis/Gulled in writing.
(c) Magis/Gulled may deliver the Goods by separate instalments. Each separate instalment shall be
invoiced and paid for in accordance with the provisions of the Contract. No cancellation or termination of
any one instalment shall entitle the Customer to repudiate or cancel any other instalments.
(d) If for any reason the Customer fails to accept delivery of, or requests that Magis/Gulled delays
delivery of any of the Goods when they are ready for delivery:
Tuding, without limitation, storage and insurance).
6. Cancellation
The Customer may not cancel an order without the consent of Magis/Gulled. Magis/Gulled reserves the
right to refuse cancellations of orders (total or partial) in cases where the cancellation is received by
Magis/Gulled more than 3 working days after the date of receipt of the order or in any case where the
order has already been accepted by Magis/Gulled or the Goods have already been manufactured.
7. Packing
Prices include packing unless otherwise stated. Orders must conform to the unit per package figure, as
indicated in the pricelist. If they do not, Magis/Gulled reserves the right to charge a supplement of SEK
75.00 in respect of the incomplete carton in order to cover additional packaging costs. In any case
where special packing is requested, Magis/Gulled may make an extra charge.
8. Title and Risk
(a) The Goods are at the risk of the Customer from the time the Goods are handed over to the carrier
pursuant to article 1378 of the Italian Civil Code. Article 5(d) of the present Terms and Conditions shall
also apply.
(b) Notwithstanding delivery and passing of risk, the Goods shall remain the property of Magis/Gulled
until all monies due from the Customer to Magis/Gulled have been paid in full.
9. Liability
(a) Subject to Condition 5 the following provisions set out the entire financial liability of Magis/Gulled
(including any liability for the acts or omissions of its employees, agents and sub-contractors) to the
Customer arising out of or in connection with the Goods and/or these Conditions.
(b) All warranties, conditions and other terms implied by the law are, to the fullest extent permitted by
law, excluded from the Contract.
(c) Nothing in these Conditions excludes or limits the liability of Magis/Gulled:
(i) for any matter which it would be illegal for Magis/Gulled to exclude or attempt to exclude its liability; or
(ii) for gross negligence or wilful misconduct pursuant to article 1229 of the Italian Civil Code.
(d) Subject to Condition 9(b) and Condition 9(c) Magis/Gulled’s total liability in contract, tort (including
negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection
with the performance or contemplated performance of the Contract shall be limited to the Contract price
and Magis/Gulled shall not be liable to the Customer for:
(i) any pure economic loss, loss of profit, loss of business, depletion of goodwill or otherwise, in each
case whetherdirect, indirect or consequential, or any claims for consequential compensation whatsoever
(howsoever caused) which arise out of or in connection with the Contract.
(ii) for defects in the Goods caused by fair wear and tear, abnormal or unsuitable conditions of storage or
use or any act, neglect or default of the Customer or of any third party;
(iii) for other defects or vices in the Goods unless the Customer shall notify Magis/Gulled within 8 days of
receipt of the Goods;
(iv) for death or personal injury of the Customer and the Customer’s employees, agents and subcontractors;
(v) for any damage (including death or personal injury) suffered by the Costumer’s clients arising out of or
in connection with the Goods.

(e) Upon the Customer receiving the Goods, the number of the cartons is to be checked against the
number stated on the delivery note. Any possible shortage or damage to any carton must be notified on
the delivery note.
(f) Claims falling within the criteria set out in this Condition 9 will only be considered upon receipt of a
written explanation from the Customer, setting out full details of the claim, including the relevant invoice
number as issued byMagis/Gulled in respect of the Goods.
10. Return of Goods
Return of Goods will be accepted only with Magis/Gulled’ written consent. A 15% charge may apply to
unauthorized returns.
11. Payment
(a) Payment terms shall be as specified by Magis/Gulled from time to time.
(b) Time for payment of any sums due under the Contract shall be of the essence.
(c) Without prejudice to Condition 11(b), in the event of any delay in payment Magis/Gulled shall be
entitled to charge interest on any outstanding balance at the rate of 2% per annum above the base rate
of such reputable bank as Magis/Gulled may from time to time nominate.
(d) Magis/Gulled reserves the right to suspend the provision of Goods to the Customer where any
amounts are overdue under, or the Customer is in breach of, any contract between Magis/Gulled and
the Customer, until all such amounts have been paid in full.
(e) The Customer shall not be entitled by reason of any set-off, counterclaim, abatement or analogous
Deduction to withhold payment of any amount due to Magis/Gulled, without prior written consent from
Magis/Gulled.
12. General
(a) Each right or remedy of Magis/Gulled under the Contract is without prejudice to any other right or
remedy Magis/Gulled may have, whether under the Contract or not.
(b) Magis/Gulled shall not be regarded as in breach of the Contract to the extent that it is prevented from
or hindered in fulfilling its obligations by any circumstances outside its reasonable control (such as: any
act of God, war, riot, strike, lock-out, governmental control or regulation, abnormal weather conditions,
accident or breakdown) provided that Magis/Gulled shall have given written notice to the Customer of
such circumstances within a reasonable time after learning of them.
(c) If any provision of the Contract is found by any court, tribunal or administrative body of competent
jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall to
the extent of such illegality, invalidity, voidness, voidability, unenforceability or unreasonableness be
deemed severable and the remaining provisions of the Contract and the remainder of such provision
shall continue in full force and effect.
(d) Failure or delay by Magis/Gulled in enforcing or partially enforcing any provision of the Contract shall
not be construed as a waiver of any of its rights under the Contract and any waiver by Magis/Gulled of
any breach of, or any default under, any provision of the Contract by the Customer shall not be deemed
a waiver of any subsequent breach or default and shall in no way affect the other terms of the Contract.
(e) The parties to the Contract do not intend that any term of the Contract shall be enforceable by any
person that is not a party to it.
(f) This Contract shall be governed by Italian law.
(g) Any dispute arising out of or in connection with the Contract and/or the present Terms and
Conditions shall be submitted to the exclusive jurisdiction of the Court of Treviso (Italy).
QUALITY CERTIFICATION
In October 2004, Magis was granted the Quality Certifi cation of the Swiss certifi cation bureau SQS (an
IQNet partner) for its management system.
The certifi cation by an accredited external bureau allows Magis to implement a quality management
system that meets the international standards of UNI EN ISO 9001:2000.
In December 2007, Magis was granted the ISO 14001:2004 Environmental Certifi cation of the Swiss
certifi cation bureau SQS for its environmental management system.
THE ME TOO COLLECTION PRODUCTS CONFORM TO THE MOST
RECENT DIRECTIVES AND LAWS ON CHILDREN’S SAFETY.
MAGIS’S MATERIALS AND THEIR MAINTENANCE
METALS
Magis uses the following metals in the manufacturing of its products: steel and aluminum tubing, steel
plate, steel and stainless steel rod, aluminum sheeting, extruded aluminum profi les and die-cast
aluminum.
Surface treatments used:
On steel: chromium plating, cold galvanising, hot galvanising, epoxy coating, cataphoresis coating with
polyester.
On aluminum sheeting, aluminum tubing and extruded aluminum profi les: natural and black anodising.
On die-cast aluminum: polishing, epoxy coating, titanisation coating with polyester.
Only products bearing the inscription “Suitable for Outdoor Use” should be used outside.
Products not specifi cally marked with the words “Suitable for Outdoor Use”” must not be used outside
because they would be subject to permanent damage by the elements.
We advise you to consult with our company before using outdoor products in extreme weather
conditions.
CLEANING OF METALS
We recommend using a soft rag, either dry or wet.
When needed, use ph-balanced soap diluted in water.
Do not use abrasive sponges as they may leave scratches.
Immediately dry after washing with a soft rag or chamois leather. Never leave water or other liquids to sit
on metal parts.
Avoid contact with all acidic substances.
Periodic maintenance and cleaning allows the products to keep their original look and lengthens the
duration of their performance.
As die-cast aluminium is not treated with any chemical products or any kind of painting, small marks or
irregularities, which might be visible on the surface, should not be considered as faults, but on the
contrary as technical results of the nature of aluminium itself. Aluminium is very likely to dull while using.
Regular care is therefore necessary to maintain its original appearance. We recommend using specific
cleaning products for aluminium.
PLASTICS
The plastic materials used by Magis are numerous. Their choice depends on the desired visual effect
and particular durability requirements. In addition, certain additives can be used to guarantee that the
plastics pass the most stringent safety tests.
All Magis’s plastics are organic and fully recyclable. Their life cycles are long, which is an advantage for
the environment.
At the end of their life-cycle, we recommend taking the products or parts of the products to specialised
recycling centres.
All products and product parts are coloured throughout and not painted, with the exception of the
metallic silver version of the Bombo Family (stool, chair, side tables).
The plastics most used in Magis’ production are polypropylene (PP) and ABS.

Avoid using acidic products, solvents and products containing ammonia.
Plastic products marked with the label “Suitable for Outdoor Use” can be used outside. However,
prolonged exposure to sunlight may cause the fading of colours. This is due to the fact that there are
currently no additives available on the market that protect plastics from colour fading.
Periodic maintenance and cleaning allows the products to keep their original look and lengthens the
duration of their performance.
WOOD
Because wood is a natural material, there are small differences between the products. These are not to
be considered faults, but a characteristic of a natural material.
CLEANING OF WOOD
We recommend using a soft rag, either dry or wet.
If desired, use ph-balanced liquid soap especially formulated for wood, diluted in water.
Do not use abrasive sponges, as they may leave scratches.
Avoid using acidic products, solvents and products containing ammonia.
Avoid exposure to sunlight as this may permanently discolour the surface.
Periodic maintenance and cleaning allows the products to keep their original look and lengthens the
duration of their performance.

INSTRUCTIONS FOR SIMPLIFIED READING OF THE PRICE LIST
Each product is listed with the description of its materials, article reference, colours and finishes.
The finishes for steel, aluminium, plywood and HPL laminate, as well as the plastic colours, are followed by a number.
The same number in the 2014/2015 catalogue represents finishes and colours and is intended to act as a guide as to the
actual finish and colour.
For the chairs and some of the tables, actual colour samples are also available.
The colour number is followed by one of the following abbreviations:
C = which stands for matt or glossy colours
TL = which stands for translucent colours
TR = which stands for transparent colours
To order correctly, please specify the article reference plus the code of the colour/finish.
