The Services Provider License Agreement (SPLA)
Program allows an organization to license
Microsoft products and use them to provide
software services to its customers.
A three-year agreement term that can be
extended.
Payment terms:
• Monthly reporting and payment based on use
• Sku price protection (As long as the product is not
available in the price list and was reported during the
agreement)
•
The SPLA makes offering software services simple
because you, not the customer, are the licensee.

Subscriber Access License
A SAL is required for each individual user or device that is
authorized to access or otherwise use the software:
A SAL is generally required for each individual who is authorized to use the
software in any given month.

When using the SAL option, a separate Server License is not needed.
* Not all products are available to be licensed in the SAL mode. Examples of
products licensed with a SAL: Microsoft SQL Server, Microsoft Exchange
Server, Microsoft Office, and Microsoft Dynamics business software.
Benefits of the Per Subscriber model include the following:
* Subscribers can access any number of servers.
* Service providers can "scale out.”
* Service providers have minimal start-up costs.

•Each Per Processor License (PL) allows an unlimited number of users
• to access the software that is installed on that processor for products
•licensed through a per-processor model.
Not all products are available to be licensed in the PL mode. Examples
of products licensed through a per-processor model: the Windows
Server operating system and Share Point Server.
Benefits of the PL Model include:
•
* Processor licenses are easier to monitor and count.
•
* Processor licenses do not require SALs for internal/external
•
users.
•
* Processor licenses are economical across a variety of business
•
scenarios where the use of the software can vary.

Under the new Per Core licensing model, each server running SQL Server
2012 software or any of its components (such as Reporting Services or
Integration Services) must be assigned an appropriate number of SQL
Server 2012 core licenses.

Option to download media or order fulfillment media from the reseller.
Ability to internally test and evaluate the Microsoft products for up to 90 days.

where distribution is legally allowed.
Include downgrades rights
Offer a free 60-day trial period for prospective customers.
Include affiliates under a single agreement.
