This Statement of Work (“SOW”), dated 1 de Junio de 2015 (the
“SOW Effective Date”) is issued pursuant to the Professional
Services Agreement between SugarCRM Inc., located at 10050 N.
Wolfe Rd., Suite SW2-130, Cupertino, CA 95014 (“SugarCRM”) and
Berlingo, located at Lago Texcoco numero 112 ltra B colonia
Anahuac CP 11320 (“Company”), dated June 20, 2015 (the
“Agreement”).
El presente Alcance del Trabajo (“SOW”, por sus siglas en inglés:
Statement of Work), de fecha 1 de Junio de 2015 (la “Fecha de
Inicio de Vigencia del SOW”) se emite de conformidad con el
Contrato de Prestación de Servicios Profesionales entre SugarCRM
Inc., ubicada en 10050 N. Wolfe Rd., Suite SW2.130, Cupertino, CA
95014 (“SugarCRM”) y Berlingo, ubicada en Berlingo, located at
Lago Texcoco numero 112 ltra B colonia Anahuac CP 11320
(“Sociedad”), de fecha 1 de Junio de 2015 (el “Contrato”).
SugarCRM y la Sociedad acuerdan que el presente SOW está
sujeto a los términos y condiciones establecidos en el Contrato. Los
términos en mayúscula utilizados pero no definidos en este SOW
tendrán el significado que se les atribuye en el Contrato. Los
precios que figuran en este SOW tienen una validez de quince (15)
días a partir de la Fecha de Inicio de Vigencia del SOW. La
Sociedad comprende y acepta que los Servicios descritos en el
presente documento deben ser utilizados dentro de los doce (12)
meses a partir de la Fecha de Inicio de Vigencia del SOW.
SugarCRM and Company agree that this SOW is subject to the
terms and conditions set forth in the Agreement. Capitalized terms
used but not defined in this SOW shall have the same meaning
ascribed to them in the Agreement. The quoted prices contained in
this SOW are valid for fifteen (15) days from the SOW Effective
Date. Company understands and agrees that the Services
described herein must be utilized within twelve (12) months from the
SOW Effective Date.

and the Agreement specified above:

3. Assumptions.
3. Supuestos.
Cualquier servicio o actividad no descrita en el
presente SOW no se incluye en el alcance de esta
contratación.
Los estimados del proyecto se basan en el Proyecto
que será terminado en la Fecha de Terminación de los
Trabajos establecida anteriormente. Los cambios en la
duración o alcance de los Servicios del Proyecto
requerirán la solicitud de cambios mediante el uso del
Formato de Solicitud de Cambio descrito a
continuación en la Sección 7, y dichos cambios podrán
incurrir en costos adicionales.
No se permitirán ajustes o cambios a los Entregables
después del Periodo de Aceptación.
El equipo del Proyecto o los Precios del Proyecto
deben seguir los siguientes lineamientos y es probable
que el calendario se vea afectado:

Dentro de los cinco (5) días hábiles de haber
identificado el problema(s) del Proyecto, las
partes deberán resolver o establecer un plan
conjunto para resolver el(los) problema(s)
del Proyecto mediante la evaluación del
impacto potencial al Proyecto, incluyendo el
análisis de la programación y presupuesto.

Las decisiones empresariales se deben
tomar dentro de los cinco (5) días hábiles
tras recibir la solicitud.
o
La aceptación debe realizarse dentro de los
cinco (5) días hábiles de haber recibido el
Entregable. De lo contrario, el Entregable se
considerará aceptado al término del quinto
día después de la entrega por parte de
SugarCRM.
La Sociedad asignará a un Gerente de Proyecto
dedicado al Proyecto.
La Sociedad es responsable de limpiar sus datos y
proveer datos en el formato específico de CRM.
La implementación no incluirá nuevos módulos
SugarCRM o personalizaciones.

Any service or activity not described in this SOW is not
included in the scope of this engagement.
Project estimates are based on the Project being
completed by the Work End Date set forth above.
Changes to length or scope of Project Services will
require change requests through the use of the
Change Request Form described below in Section 7,
and such changes may incur additional costs.
No adjustments or changes to Deliverables will be
permitted after the Acceptance Period.
The following guidelines need to be followed by the
Project team or the Project Pricing and schedule will
likely be impacted:
o
Within five (5) business days of Project
issue(s) being identified, the parties must
resolve or establish a joint plan to resolve,
the Project issue(s) by assessing the
potential impact to the Project, including
analysis of timeline and budget.
o
Business decisions must be made within five
(5) business days of the request.
o
Acceptance must be made within five (5)
business days of receiving the Deliverable.
Otherwise the Deliverable is considered
accepted at the end of the fifth day after
delivery by SugarCRM.
Company will assign a dedicated Project Manager to
the Project.
Company is responsible for cleaning data and for
providing data in the specified SugarCRM format.
Implementation will not include new SugarCRM
modules or customizations.

5. Fees and Payment. Fees, together with expenses, will be

7. Responsibilities. The following key responsibilities are
critical to implementation success:

Support. After thirty (30) days, if there are any
Defects discovered in the Services or Deliverables,
then a new SOW will be required for support of the
Deliverables under this SOW, unless other support
arrangements have been agreed upon by Company
and SugarCRM.

Issue Resolution: It is assumed that all project
issues will be resolved quickly by the appropriate
Company and/or SugarCRM staff, including
business and/or data owners. Company will
escalate to its Project Manager or other appropriate
staff for unresolved issues. Quick issue resolution
will be critical to ensure the project timeline is met.

Company Involvement: It is assumed that
Company’s business representatives; process
owners, data owners, and system experts will be
available as needed to participate in requirement
discovery, data understanding, and validation.
Company will provide personnel that are
knowledgeable about the technical and business
aspects involved in the project. Frequent and active
Company involvement is a critical success factor for
the project.

procesos, propietarios de datos y expertos en
sistemas estarán disponibles según sea necesario

IT Staff Assistance: It is assumed that Company’s
IT technical resources will provide assistance
throughout the project and will be available for
training in system operations. Company’s IT staff
participation is crucial to completing the project in a
timely manner.

configuration, client workstation setup, and software
purchase. Company is responsible for the speed of
the network connection between the source data
and the SugarCRM host. [This does not apply to
Sugar On-Demand implementations]

project initiation, the resources within Company that

these resources prior to beginning of work will be an
integral component for project success.

SugarCRM will demonstrate how to use the
customized portions of the SugarCRM product
developed under this SOW during the Company
review sessions.

Work Environment: SugarCRM will conduct
development remotely from SugarCRM facilities.
However if work is required at Company site, it is
assumed that Company will provide adequate
workstations including desks, phones, voicemail and
e-mail/internet access for SugarCRM’s staff working
on Company’s site, if any. Non-functioning working
environment can be critical to ensure the project
timeline is met.

acceso al correo electrónico/internet para el personal
de SugarCRM trabajando en el sitio de la Sociedad,
en su caso. Un ambiente de trabajo no funcional
puede ser crítico para asegurar que se cumpla con el
calendario del proyecto.
