1. Proposal Details
1.1
Software Agreement
This agreement is between Towards Vision Technologies Private Ltd (hereafter
called TVT) operating from 496, Udyog Vihar Phase 5, Gurugram -122001 with and
eSewa Fonepay Private Limited, (hereinafter called “The Customer”) having its
Registered Office at Hattishar, Kathmandu Nepal.

The Customer is using C-Zentrix Call Center Software which includes CZentrix software services & Hardware (if any). This document outlines the
Renewal of AMC cost for the period of 1 year w.e.f. 1st April 2022 to 31st
March 2023.

Software License
The software provided to “the customer” by TVT is either licensed by TVT or its business
partners. The software provided is licensed to “the customer” only. “The customer”
does not have the right to sub-license the software unless agreed upon at the time of
finalizing the order. “The customer” is not authorized to make any copies of the
software license, except for backup copies of the software for disaster recovery
purposes. “The customer” has the right to use the software licenses but does not get
any ownership rights.
Intellectual Property Rights
Intellectual Property Rights means all rights in copyrights, patents, registered and
unregistered trademarks, know-how, registered designs, trade secrets and all other
rights of intellectual property belonging to TVT and / or its suppliers / licensors / affiliates
as recognized by the law in force in India and / or abroad.
No rights or licenses to the intellectual property rights are implied or granted to “the
customer”, except as stated otherwise in this Agreement
Warranty, Maintenance and Support Services
TVT provides free of charge warranty for its Software for a period of 12 months from
date of installation. The warranty extends also to any open source Software included
in the package.
TVT understands the importance of “the customer” operations and will attend service
calls promptly. TVT will in many cases provide the service from a central service cell by
remotely logging into the equipment. This enables it to render prompt and effective
service to “the customer”. This remote service is contingent on “the customer” making
available to TVT, access to the equipment, through the web.
While TVT shall efficiently attend to the service, it shall not be liable for any incidental,
special or consequential damages, and loss of profit or loss in business opportunities
for any delay in rectifying the defect except and as otherwise stated.

AMC Contract Terms
1. In case, customer refuses to go ahead with the AMC for remaining licenses, the
rest of the licenses will be removed from the server.
2. These extra unused licenses will be then installed on either client’s location over a
different server (with no telephony architecture) or at C-Zentrix Cloud Servers. This
licenses will be the property of the client and can be reused after releasing the
AMC of the respective number of licenses.
3. All licenses which gets released here after will be billed as per pro-rate basis on the
AMC cost
4. The licenses which don’t get renewed in the financial year 2022-2023 will not be
considered for the AMC again for the financial year 2023-24. Only those licenses
will be considered for the AMC again which gets used in 2020-2021
5. In case customer wants to use the unused licenses once again in the financial year
2022-23, full AMC of 2022-23 along with full AMC cost of the previous year(s) will
be applicable to make that license usable once again.
6. No pro-rate cost will be applicable for the unused licenses in 2022-2023 AMC
payment
Chargeable Service
1. Reinstallation.
2. On-Site Support on National Holidays
3. Migration of complete process from one server to another server.
4. Designing of new IVR flow subsequent to initial installation and its acceptance.
4.1 Advance IVR development with API integration cost applicable.
4.2 Skill-based IVR and Agents Priority will be chargeable.
4.3 IVR queue wait time and position changes are chargeable
5. New CRM Screen subsequent to initial installation and its acceptance
5.1 Advance CRM development & Multi level disposition creation cost applicable.
6. Any new reports customization is chargeable. No change request will be
accepted for the existing Reports Format.
7. Any new feature and customization changes, independent of the existing
customizations, in default agent/admin/reports interface is chargeable

Disclaimer:
In case, customer refuses to go ahead with the AMC. Following services will be
stopped with immediate effect.
1. All future customization over UI.
2. All bug (if any) fixing.
3. Telephony Upgrades in future.
4. Request for future customization and integration that is associated (in any manner)
with previously done changes.
5. Change request over existing customized solution.
6. Reinstallation will be an EXTRA cost.
7. Migration of Licenses from one server to another server.
8. Back-up server creation.
9. Future increment of Licenses on the existing Severs.
Payment Terms
1. Taxes Extra as per actual
2. Payment Terms: 100% advance with the PO.
3. In case of any third party application integration or creation of new reports
and customization TVT will be charging INR 10,000/- per man day for the effort
involved. This is not covered under the standard AMC.
