Agent Agreement Hitsavegroup is offering its service to you to allow you make a change in within you by creating an employment in one way or another,forming or creating a better world for you. By accepting this Agreement, either by clicking a box indicating your acceptance or by executing an application or service order form that references this Agreement, you agree to be bound by this Agreement. The term “you” refers to a person(a “Registered Agent”). The term “we” refers to Hitsavegroup. If you accept this Agreement, you represent that you have the capacity to be bound by it. You may not use the platform and you may not accept this Agreement if you are not of a legal age to form a binding contract with Hitsavegroup. 1.THE CONTRACT This is basically an agreement between you and we that you accept to work for we,we in turn pay you not salary but commission for aiding us run our platform, we will be liable to the registering authority if may there be conflict between you and the public,however we will not allow you to cause havoke or chaos in anyway or put we in a bad picture or otherwise use us as a trademark to run your very own selfmade business,we will not allow this and by that we may end up in turn to prosecute you or suspending your contract with us or even terminating it completely or both.We will therefore be your employer and you have no otherwise but to work definitely for us and be for we,we will give you all the materials we own including our ID, you will therefore utilize all our resource be it our email addresses or website and banking applications that we acquire or own.This contract shall be in force only till we have the right to terminate it or you decline the contract. 2. ACCOUNT INFORMATION You may submit information about one or more mobile payment accounts that you may have with a Network (“Account Information”). This Account Information will only be used for the sole purpose of paying you your monthly commissions.When submitting Account Information, you agree that you are authorized to access the account and otherwise have the necessary authority to provide Hitsavegroup with access to any Account Information. 3. REGISTRATION Upon registration, you will select a user ID and password. You are responsible for maintaining the confidentiality of your password that, together with your user ID, allows you to access the platform. That user ID and password, together with any mobile number or other contact information you provide, form your “Registration Information.” By providing us with your e-mail address or other contact information, such as a mobile number, you agree that we may communicate with you electronically to that e-mail address or mobile number as part of the Service and that any communications sent to those addresses will serve as a formal notice under this Agreement. PAYMENTS .1Payments from we shall be exclusively excited from AIRTEL MONEY,you therefore agree to be bound by this and that you will acquire the right operator to allow our payments to you. .2Payments from you shall be exclusively executed from AIRTEL MONEY unless otherwise communicated from we,we will require you to top up your float balances through airtel. We therefore put that AIRTEL MONEY shall be our major payment method and way. THE USE OF OUR PLATFORM Once a contract between we and you will have been made you will have access to all our services including our website interfaces/ portal you are therefore discouraged to use the platform to store illegal documents,trade illegal business within it or even trade our very own website to people who may at one point distort information stored in our websites and software,if at any point this is realized,we will have only one option to terminate your contract with us permanently, we would advice that you use our platform in the right way and appropriately. COMMISSIONS We base on our contract this and you will only get commissions if you work for them commissions shall be granted to you without fail every 10th of the month of every month. Commissions may fail to be granted to you if : 1)You don't follow our transactional guide 2) You fail to comply to the contract you signed with us.(this includes our agreement with you) You will therefore have full control over us to pay you up not later than the agreed date,as we have agreed in the contract this commission shall not be termed as salary but shall be summed up according to the efforts you make per month. We will be paying this to your AIRTEL MONEY account. TRANSACTIONAL GUIDE You are required to make every transactions in presence of the original Clients ID,we stress that this should be done on every withdrawal and on every registration, if we find that you haven't complied to this guide then you will completely fail to receive your commission that month. You will also be required to stop suspicious transactions before the transaction is made complete from our end I.e within 30 minutes after a transaction is made from your side,if you fail to stop suspicious transactions and they are made complete from our end, you will be penalized and you will not receive 25% of your commission that month. You will loose your commission based on the dead end income when a client previously brought leaves,this shall be +1+-1 basis therefore its your duty to keep track of all your clients and make sure they are constantly available, you will loose when a client leaves and you will forever gain when a client is gained,you therefore should pick possible clients who are serious in their savings and not on the aim that you a cash getter you may end up having no cash ending to be a very sad affair. You will also loose your monthly commission by 15% of that month when you do not do all that is required while making registration of clients,processing loans and sensitive documentation, you should therefore follow all that is required promptly to avoid penalties. SERVICE DELIVERY 4.1. Our Responsibilities. We shall provide our basic support for the Service to you at no additional charge and use commercially reasonable efforts to make the Service available 12 hours a day, 7 days a week, except for: (1) planned downtime (of which we shall give at least 8 hours notice via text message or email, or (2) any unavailability caused by circumstances beyond our reasonable control, including without limitation, acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor problems (other than those involving our employees), Internet service provider failures or delays, or denial of service attacks. We shall provide the Service only in accordance with applicable laws and government regulations. 4.2. Our Protection of Your Data. We shall maintain appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of your data. We shall not (a) modify your data, (b) disclose your data except for commercial purposes relating to the Service or as compelled by law , or (c) access your data except to provide the Service and prevent or address service or technical problems, or at your request in connection with customer support matters. 4.3. Personal Information. The use of any information that we collect at part of providing the Service is governed by the Privacy Policy. 4.4. Your Responsibilities. You shall (i) be responsible for Users’ compliance with this Agreement, (ii) be responsible for the accuracy, quality and legality of your data and of the means by which you acquired your Data, (iii) use commercially reasonable efforts to prevent unauthorized access to or use of the Service, and notify Us promptly of any such unauthorized access or use, and (iv) use the Service only in accordance with the applicable laws and government regulations. You shall not (a) make the Service available to anyone other than yourself, (b) sell, resell, rent or lease the Service, (c) use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortuous material, or to store or transmit material in violation of third-party privacy rights, (d) use the Service to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of the Service or third-party data contained therein, or (f) attempt to gain unauthorized access to the Service or their related systems or networks. NOTICE Electronic notices will be sent to the email address or mobile number you have provided as your primary email address or mobile number. If your email address or mobile number changes, you are responsible for informing us of that change as soon as reasonably possible. RIGHTS YOU GRANT By submitting Account Information and other content to Hitsavegroup through the platform, you are licensing that content to Hitsavegroup solely for the purpose of providing the Service. Hitsavegroup may use and store the content, but only to provide the Service to you. You agree that Hitsavegroup may use your feedback, suggestions, or ideas in any way, including in future modifications of the Service/platform, other products or services, advertising or marketing materials. You grant Hitsavegroup a perpetual, worldwide, fully transferable, sub-licensable, irrevocable, fully paid-up, royalty free license to use the feedback you provide to Hitsavegroup in any way. Hitsavegroup will not sell, publish or share your feedback in a way that could identify you without your explicit permission. YOUR LICENSE Hitsavegroup grants you a personal, limited, non-exclusive, revocable, non- transferable license, without the right to sublicense, to electronically access and use the Service/platform. The Service includes our website, our software, programs, documentation, tools, internet-based services, components, and any updates (including software maintenance, service information, help content, bug fixes or maintenance releases) provided to you by Hitsavegroup. You will be entitled to download updates to the Service, subject to any additional terms made known to you at that time, when Hitsavegroup makes these updates available. You may not, nor may you permit any third party to do any of the following: (i) access or attempt to access Hitsavegroup systems, programs or data that are not made available to public use: (ii) copy, reproduce, republish, upload, post, transmit, resell or distribute in any way material from Hitsavegroup; (iii) permit any third party to use and benefit from the Service via a rental, lease, timesharing, service bureau or other arrangement; (iv) transfer any rights granted to you under this Agreement; (v) work around any of the technical limitations of the Service, use any tool to enable features or functionalities that are otherwise disabled in the platform/service, or decompile, disassemble or otherwise reverse engineer the Service, except to the extent that such restriction is expressly prohibited by law; (vi) perform or attempt to perform any actions that would interfere with the proper working of the Service/platform, prevent access to or use of the Service by our other agents and users, or impose an unreasonable or disproportionately large load on our infrastructure; or (vii) otherwise use the Service except as expressly allowed under this section. INDEMNIFICATION You shall defend, indemnify and hold harmless Hitsavegroup and its officers, directors, shareholders, and employees, from and against all claims and expenses, including but not limited to attorneys fees, in whole or in part arising out of or attributable to any breach of this Agreement by you. TERM This Agreement will continue to apply until terminated by either you or Hitsavegroup as set out below. If you want to terminate your legal agreement with Hitsavegroup , you may do so by emailing us at support@hitsavegroup.co.ke Hitsavegroup may terminate this Agreement immediately upon notice to the email address or mobile number that comprises your Registration Information. 19.AMENDMENTS AND MODIFICATIONS Hitsavegroup may modify this Agreement from time to time by updating the site and/ or providing written notice to you. You are deemed to accept and agree to be bound by any changes to the Agreement when you use the Service after those changes are posted. GOVERNING LAW This Agreement, and your relationship with Hitsavegroup under this Agreement, shall be governed by the laws of KENYA . SUSPENSION You shall be suspended from using our platform,if we figure out that you are not a well performing agent or in one way or another are a bad influencer to either our agents or clients,we shall also suspend you from our platform if we learn that you havent complied to this agreement. REFUND We will refund fully your investments to you if you are suspended,fully terminated to use our service or platform or if its by your will that you want terminate the contract this will take a maximum of 45 days,being a great period to clear your usage,we will however not pay fees that are not within us this includes outstanding loan balances.
